Baker & McKenzie Acts on the Largest Commercial Real Estate Transaction in Ukraine
Baker & McKenzie announced today that it has acted as a legal counsel to the closed joint stock company “Nerukhomist Stolytsi” (“NEST”), one of the largest Ukrainian developers and operators of the commercial and residential real estate, in connection with approximately EUR104 million sale of Iceberg Business Center to Eurasia Group. This transaction marks one of the largest commercial property deals in terms of the deal’s value ever done in the Kyiv real estate market.

The Baker & McKenzie Real Estate team was supervised by Serhiy Piontkovsky (Partner), led by Lina Nemchenko (Senior Associate) and Maxim Sokiran (Associate). Antonina Yaholnyk (Senior Associate) and Olga Belyakova (Associate) advised on competition law matters and assisted in obtaining merger control clearances from the Antimonopoly Committee of Ukraine. Iceberg Business Center, located on 73-79 Zhylyanska St, is one of the largest (39 095 sq. m) A-class centrally-located business centers of the capital. NEST, founded 10 years ago, has now grown to become one of Ukraine’s most successful real estate companies. Currently, NEST has a large property portfolio, consisting of over 10 completed and ongoing projects in Kyiv focused on commercial and residential property.

Willkie, Farr & Gallagher, LLP

Frankfurt Office Assists 3i in the €1.5 Billion Acquisition of Scandlines
it was announced that a consortium under the leadership of Allianz Capital Partners GmbH (ACP), Munich; 3i, Copenhagen and Frankfurt; and strategic partner Deutsche Seereederei GmbH (DSR), Rostock is purchasing the shares of Scandlines Group. An agreement was signed with the previous owners, Deutsche Bahn AG and the Danish Ministry of Transport and Energy. The agreement is subject to approval by the Board of Directors of Deutsche Bahn AG, the Finance Committee of the Danish Parliament and certain antitrust authorities. The purchase price is reported at approximately €1.5 billion. ACP and 3i each will hold 40 percent of the shares of the consortium while DSR will hold 20 percent of the shares.

The consortium plans to further strengthen and develop Scandlines Group as a ferry shipping company in the Baltic Sea region. For that purpose the consortium has agreed on a long-term business plan that relies on the highly skilled employees of Scandlines Group. The consortium has therefore agreed not to lay-off any employees for operational reasons until December 31, 2010.

The new owners mutually intend to list Scandlines Group on the stock exchange. At the time of any such IPO, DSR will have the opportunity to take over the industrial leadership. The sellers and the buyers are confident that the consortium is the best vehicle for ensuring a prosperous future for the Scandlines Group in its various locations over the long term.

Willkie and Clifford Chance advised 3i in connection with the acquisition, and, together with CMS Hasche Sigle, legal adviser to ACP and DSR, represented the consortium vis-à-vis the sellers, Deutsche Bahn AG and the Kingdom of Denmark. Frankfurt partner Mario Schmidt continued to advise 3i on this matter, which he initiated while at Clifford Chance. Willkie and Clifford Chance jointly brought the deal to the signing. Lind Cadovius supported 3i on the Danish legal aspects of the transaction.

Schiff Hardin LLP's Kevin L. Kolton Elected to the Society of Illinois Construction Attorneys
Schiff Hardin LLP partner Kevin L. Kolton has been elected to the Society of Illinois Constructin Attorneys (SOICA). The announcement was made June 18 by SOICA President Mark C. Friedlander, also a Schiff Hardin LLP partner. Both Mr. Kolton and Mr. Friedlander are members of Schiff Hardin's Construction Law Group, of which Mr. Friedlander is a co-leader.

Mr. Kolton will be inducted at the SOICA annual meeting in September. The SOICA is composed of attorneys who regularly represent clients in the construction industry. Membership is by invitation only. Members are selected based on their experience in representing clients in the industry as well as service to the industry, such as speaking and writing.

Twelve attorneys from Rumberger, Kirk & Caldwell have been named to Florida Super Lawyers 2007. Super Lawyers is a comprehensive guide to the top 5 percent of attorneys in the state, as chosen by their peers and categorized by city and practice area.

Through peer nominations and independent research by Law & Politics magazine, attorneys are asked to nominate the best lawyers they’ve personally observed in action. Safeguards are placed to avoid ballot manipulation, such as lawyers nominating themselves or “stacking” the ballots with only colleagues from within their own firms. Further evaluation is done based on peer recognition and professional achievement.
