GCG Represents Bow Mills in Merger with Merrimack County
The merger of Bow Mills Bank and Trust with and into Merrimack County Savings Bank became effective on May 1, 2007. Attorneys W. John Funk, Susan B. Hollinger and Denis J. Maloney represented Bow Mills in the merger with a total transaction value of $22,707,945. The branches will continue to operate independently until the weekend of July 21.

The combined bank will operate under the Merrimack County Savings Bank name and will remain a mutual institution, with approximately $545 million in assets and $407 million in deposits as of December 31, 2006, financial data. Based on June 30, 2006 data, the combined bank will have the third largest deposit market share in Merrimack County, and will rank fourth among independent banks headquartered in New Hampshire.

"The combination of these two banks, which have a long history of supporting the communities in which they operate, is a real benefit to their customers," states Funk. "Each bank brings strengths to the relationship which will broaden the services offered by the combined enterprise. GLOBAL REIT INTEREST IN CEE AND RUSSIA
Global law firm Squire, Sanders & Dempsey L.L.P. advised Developers Diversified Realty Corporation (NYSE:DDR), the largest shopping centre real estate investment trust (REIT) in the United States, in a transaction that illustrates growing global interest in Russia and Central and Eastern Europe.

A multi-office team represented DDR as it entered into a US$300 million joint venture with ECE Projektmanagement International G.m.b.H., part of the Otto Group, a German real estate development company. Together, DDR and ECE will pursue retail development in Russia and Ukraine.

Michael Wager, lead partner on the deal, said, “The transaction involved a complex structure of multiple jurisdictions, including issues governed by German, Russian, Ukrainian and US law, as well as European Community competition law and coordination with local counsel in Cyprus.”

“Russia’s increasing retail and consumer market is constantly expanding with the growing strength of the economy,” Wager noted. “We expect to see further foreign investment and infrastructure development in Russia and the CEE region in the coming years.”

Lawyers from the firm’s offices in Belgium, Germany, Russia, the United Kingdom, the United States and the firm’s associated office in Ukraine counselled on the transaction.

DDR forms partnerships with the best developers available in a given market and then pursues investment in emerging markets. DDR owns and manages 800 shopping centres in 45 US states, Puerto Rico and Brazil, totalling 162 million square feet of selling space.

ECE, which recently opened an office in Ukraine, has spent three years studying the market in Russia and owns or has a stake in 82 of the 90 shopping centres it manages in Europe.

Simpson Thacher Advises Hellman & Friedman Affiliates in Acquisition of Sheridan Healthcare
The firm represented affiliates of Hellman & Friedman LLC in the acquisition of Sheridan Healthcare, Inc., a provider of multi-specialty outsourced physician staffing and administrative services to hospitals and ambulatory surgery centers. Under the terms of the transaction, Hellman & Friedman partnered with Sheridan’s management to purchase 100 percent of the privately held company’s outstanding equity from J.W. Childs Associates for an undisclosed price. The transaction cl41osed on June 15, 2007.

Shearman & Sterling represents Longreach in $694M acquisition
Shearman & Sterling represented The Longreach Group, a private equity firm with offices in Hong Kong and Tokyo, in its US$694 million acquisition of a 51% interest in EnTie Commercial Bank, Ltd., a Taiwanese commercial bank, through the purchase of newly-issued common and preferred shares and the purchase of common shares from existing shareholders.

Shearman & Sterling Advises PIN Group on Mail Service Joint Venture
Shearman & Sterling provided advice to PIN Group AG, Luxemburg, on the establishment of a mail service joint venture together with its subsidiary PIN Mail Süd GmbH (Würzburg), the publishing houses Mediengruppe Main-Post GmbH (Würzburg) – a wholly owned subsidiary of Georg von Holtzbrinck GmbH & Co. KG (Stuttgart) – and Mittelbayerischer Verlag KG (Regensburg).

PIN Group will hold a stake of 51 percent in the joint venture, Main-Post will hold 34 percent and PIN Süd 15 percent.

PIN Group itself is a joint venture of the publishing houses Axel Springer AG, Georg von Holtzbrinck GmbH & Co. KG, WAZ-Mediengruppe, Verlagsgesellschaft Madsack GmbH & Co. KG and the Luxemburg holding company Rosalia AG.

Closing of the transaction is subject to the approval of the merger control authorities and is expected to occur until late summer/autumn of 2007.
