Douglas A. Zingale Joins Foley Hoag's Corporate Practice
Douglas A. Zingale, a well-known corporate lawyer and former analyst at Bain Consulting, joined the Boston office of Foley Hoag LLP as a partner practicing in the corporate, M&A, and private equity practices.

Doug joins Foley Hoag most recently from Greenberg Traurig's Boston office, where he was Principal Shareholder in its M&A and private equity practices. He regularly counsels clients on significant transactions ranging in value from $50 million to $1 billion. His practice includes handling M&A transactions for public companies as well as representing private equity investors, emerging companies backed by private equity, underwriters, and funds in formation. Doug frequently represents companies in the biotechnology and high technology sectors as well as venture capital firms. Some of his major clients have included Celanese AG, Thermo Electron Corporation, Vertex Pharmaceuticals, Inc., S.G. Cowen Securities, Amerifit Nutrition, Advantage Health, North Hill Ventures, Blue Cross Blue Shield of Maine and GEO-CENTERS, Inc.

He is a frequent writer, speaker, and commentator on issues involving deal activity and market conditions. His articles regularly appear in publications such as The Boston Business Journal and Mass High Tech. For the last four years, Doug has been ranked by Best Lawyers in America® in the category of Corporate, Mergers & Acquisitions, and Securities Law.

Before entering the practice of law, he was an analyst at Bain Consulting in Boston. At Bain, Doug developed business strategies for companies primarily in the consumer products sector.

He received his J.D. cum laude from the University of Michigan Law School and his undergraduate degree from the Sloan School of Management at Massachusetts Institute of Technology.

Legal 500 United States Ranks Crowell & Moring’s Tax Group
Crowell & Moring LLP is pleased to announce that the firm's Tax Group has been ranked by The Legal 500 U.S.-Volume III, in the area of tax controversy. The prestigious rankings are driven by independent interviews of clients and members of the legal community at outside law firms. Three firm lawyers recognized in this category include, Harold J. Fulbright Client Niadyne, Inc. Awarded Arizona Bioscience Company of the Year
Long-time Fulbright client Niadyne, Inc. won Bioscience Company of the Year at the Arizona Bioscience Awards Dinner in Phoenix.

Fulbright’s intellectual property practice has assisted Niadyne with their bioscience portfolio for about 10 years.

Cozen O’Connor Attorney Michael J. Smith Named Treasurer and Board Member of Philadelphia Association of Defense Counsel
Cozen O’Connor member Michael J. Smith has been named Treasurer and member of the Executive Committee of the Philadelphia Association of Defense Counsel. Smith concentrates his practice on complex insurance coverage matters involving mass tort claims, including representing insurers in high profile asbestos and silica coverage disputes.

He also handles a variety of general liability coverage issues, including the defense of bad faith claims. Smith is a member of the American, Pennsylvania, New Jersey and Philadelphia Bar Associations, the Defense Research Institute and the Pennsylvania Defense Institute, and is a frequent lecturer for the Insurance Society of Philadelphia. He was also recognized as a Pennsylvania "Super Lawyer" by his bar association peers.

A resident of Phoenixville, Pa., Smith earned both his undergraduate degree (B.A., summa cum laude, 1989) and law degree (J.D., 1993) from Villanova University. He is admitted to practice in Pennsylvania and New Jersey as well as the United States District Court for the Eastern District of Pennsylvania, the United States District Court for the Middle District of Pennsylvania, the United States District Court of New Jersey, and the United States Court of Appeals for the Third Circuit.

Baker & McKenzie Advises the Trustee of RREEF China Commercial Trust
Baker & McKenzie’s REIT team in Hong Kong recently advised HSBC Institutional Trust Services (Asia) Limited as the Trustee of RREEF China Commercial Trust (“RREEF CCT”), a real estate investment trust that is managed by RREEF China REIT Management Limited and aims to invest on a long-term basis in a diversified portfolio of institutional quality office and mixed-use properties (where a significant portion of the property has been designated for office use) in major cities in China, Hong Kong and Macau.

RREEF CCT raised approximately HK$2.5 billion (approximately US$326 million) through a Hong Kong initial public offering and an international placement, based on an offering of 484.4 million units of RREEF CCT (“Units”) at the offering price of HK$5.15 per Unit. Proceeds from the offering, and related debt capital-raising, were used to fund the acquisition of Gateway Plaza, which comprises two 25-storey towers connected by a three-storey atrium as well as three underground floors with a 675-space car park, plant rooms and ancillary facilities in Beijing with an appraised value of HK$3,978 million (approximately US$500 million), which becomes the first property owned by RREEF CCT.

The Units are listed on the Main Board of the Hong Kong Stock Exchange, with trading commencing on 22 June, 2007. RREEF CCT is the second REIT listed in Hong Kong with underlying assets in the PRC mainland, following the initial public offering in late 2005 of GZI Real Estate Investment Trust, on which Baker & McKenzie acted for Guangzhou Investment Company Limited.

The Baker & McKenzie team was led by Partners Milton Cheng and Jason Ng of the Firm’s Asia-Pacific REIT Group.

Commenting on the deal, Milton Cheng said, “We are delighted to have had the opportunity to work with HSBC Institutional Trust Services again as their legal counsel on this interesting transaction. We continue to seek to broaden and deepen our team’s experience on REIT and REIT-related work, and are keenly anticipating the development of the market for REITs with underlying PRC assets.”

Deutsche Bank and HSBC were the joint global coordinators, joint book runners, joint lead underwriters and joint listing agents.

This deal adds to the growing track record of Baker & McKenzie’s REIT team in Hong Kong, building on its previous successes including:

• Advising the Manager of Prosperity REIT on its establishment and IPO, and related debt capital-raising exercise - the first private sector REIT listed in Hong Kong – and on its post-IPO acquisitions;
• Advising Guangzhou Investment Company Limited (GZI) on the establishment and listing of GZI REIT - the first listed REIT with PRC mainland properties;
• Advising the Manager of Champion REIT on its establishment and IPO, and on its subsequent issue of HK$765 million convertible bonds which were used to finance its post-IPO acquisition of further Hong Kong property;
• Advising the Trustee of Sunlight REIT on the REIT’s initial public offering;
• Advising CapitaLand on its strategic investment in, and cooperation with, The Link REIT in conjunction with the REIT’s IPO;
• Advising Cheung Kong on the establishment and initial public offering of Fortune REIT - the first listed REIT involving Hong Kong properties.

The Firm’s Asia-Pacific REIT team is also very active in other REIT markets around the region including Australia, Japan, Taiwan, Singapore and Malaysia, and has acted on a number of REIT deals including:

• Advising the Manager of Tower REIT on its establishment, IPO and listing on the Main Board of Bursa Malaysia Securities;
• Acting for the issuer of Fubon No. 1 and No. 2 REITs on their IPOs and listing on the Taiwan Stock Exchange
• Acting as joint legal counsel to the Manager of MacarthurCook Industrial REIT in respect of its acquisition of 12 Singapore industrial properties to make up the initial REIT portfolio;
• Advising Nikko Citigroup as underwriter on the public offering of Tokyo Growth J-REIT and dual listing on the Tokyo and Osaka Stock Exchanges.

Charles H. Fendell Presents in India
Recently, Charles H. Fendell, a partner in the Firm’s Intellectual Property practice area and Adjunct Professor at Washington University School of Law, spoke on the topic of “Licensing-in Software and Other Materials Protected by Copyright: Experiences From the U.S.” at the S.P. Jain Institute of Management & Research, Mumbai, India. The program was sponsored by the Licensing Executives Society of India, the Technology Law Forum of Mumbai, and the Mumbai chapter of ISACA (the Information Systems Audit and Control Association).
