Chapman and Cutler’s Aircraft Finance Group Maintains Strong Presence in Aircraft Leasing and Financing
As air carriers rebuild and modernize their fleets, Chicago-based financial services law firm Chapman and Cutler LLP has emerged as a significant presence in the aircraft finance marketplace, representing clients in more than $6.5 billion worth of transactions since 2005. Airfinance Journal recently rated Chapman as one of the world’s top aviation law firms.

The group has extensive experience in cross-border financings and has handled aircraft transactions in more than 25 countries involving both privately owned and state-supported or sovereign entities. Chapman’s practice centers on passenger and cargo jets (although smaller planes, engines and aircraft equipment also figure in various transactions), and the firm’s experience includes transactions for all Boeing and Airbus narrowbody and widebody aircraft currently under production. The group has expertise in virtually all types

of aircraft financings, including:
• secured financings
• operating lease transactions
• purchase and sale transactions
• warehouse financing facilities
• leveraged lease transactions
• synthetic lease financings
• corporate aircraft transactions
• lease portfolio securitizations
• enhanced equipment trust certificates

A significant part of Chapman’s aircraft practice is related to workouts and bankruptcy, including restructurings, refinancings, foreclosures and remarketing. In the United Airlines bankruptcy proceedings, the firm represented more than 100 institutional investors (referred to as the “Chapman Group” in The Wall Street Journal and other periodicals) controlling over 200 aircraft in United’s fleet. Chapman represented creditors in both US Airways bankruptcies and was also engaged by creditors in the recent Delta, Northwest and Varig bankruptcies.

According to practice chair Richard Klein, “The trends that aviation industry professionals are watching include potential industry consolidation (both domestic and international), new capital sources and financing vehicles, and large new aircraft orders by legacy carriers.”

Established carriers aren’t the only ones rebuilding their fleets, says Klein. “Low-cost airlines, a phenomenon that originated in the U.S. with the likes of Southwest and JetBlue, are now cropping up in other parts of the world, especially Asia and Europe,” he notes. “These new companies are looking to outfit their fleets with new and/or previously owned aircraft.”

Some of the recent transactions Chapman attorneys have handled include:

• $5 billion U.S. Export-Import Bank-supported financings utilizing a wide variety of financing structures for over 40 Boeing aircraft to various Middle East and Asian airlines

• $3 billion bankruptcy restructuring for various holders of senior enhanced equipment trust certificates for a mixed portfolio of 80 aircraft

• $1.2 billion aircraft lease portfolio securitization involving the representation of a purchaser of a portion of the equity interest of the portfolio

• Nearly $1 billion in two warehouse facilities (with two different lenders) for a major aircraft operating lessor, the proceeds of which are being used to finance the acquisition of both new used aircraft leased to carriers in various jurisdictions
• $111.5 million U.S. Export-Import Bank-supported financings for a major European bank for the purchase of aircraft by an African flag carrier.

Published annually, Chambers and Partners (www.chambersandpartners.com) are the publishers of the world-famous guides to law firms and lawyers, including Chambers Europe Chambers UK, Chambers USA, Chambers Global, Chambers Asia and Chambers Student. Every year, researchers carry out thousands of in-depth interviews with clients and attorneys in order to assess the reputations and expertise of business lawyers in 175 countries around the world. For the current U.S. directory, more than 14,000 interviews were conducted covering the entire country. They were carried out by a team of 40 full-time researchers over a period of six months. The 2007 edition of Chambers USA was released this month.

Rankings are based on technical legal ability, professional conduct, client service, commercial awareness/astuteness, diligence, commitment and other qualities most valued by the client. Editorial comment is also derived from the research, with quotations used when they sum up the prevailing opinion of the market.

The top firms and top attorneys are ranked and their merits are usually described in the words of clients who were interviewed by the publication. According to Chambers, it is the weight of client interviews that gives the guides their highly valued reliability. Research into the strengths and reputations of U.S. attorneys is carried out in the same way as the research for the Chambers “Global” and “UK” guides. The methodology has been approved by the British Market Research Bureau, which audits the research annually. In-depth interviews with clients and attorneys are done over the telephone, each one lasting about half an hour.
