Chambers USA 2007 Edition Ranks 65 Alston & Bird Attorneys
Alston & Bird is pleased to announce that 65 attorneys are listed in the newly released Chambers USA America’s Leading Lawyers in Business. The 2007 edition, released on June 15, 2007, includes having partner Jane Thorpe and Alston & Bird nationally ranked in the newly added practice area of Food & Beverages. Energy: Electricity was another first-time nationally ranked area, and Alston & Bird was included in this practice area as well, having previously been ranked in the District of Columbia.

Regionally, seven attorneys were ranked for the first time: Douglas S. Arnold (Environment), Warren R. Hall (Labor & Employment), Peter Kontio (Litigation), David M. Meezan (Environment), Trevor W. Nagel (Technology & IT Outsourcing), Bernard Taylor, Sr. (Litigation) and John C. Weitnauer (Bankruptcy/Restructuring). World's Largest Iron Ore Miner in Latin America’s Largest Convertible Bond Offering Ever
Cleary Gottlieb represented Companhia Vale do Rio Doce, the world’s largest iron ore miner, in its $1.88 billion mandatorily convertible bond offering, the largest corporate convertible bond offering ever by a Latin American borrower. The offering was comprised of two series: $1.30 billion of 5.50% Guaranteed Notes due 2010 (Series RIO) and $584.54 million of 5.50% Guaranteed Notes due 2010 (Series RIO P). On the maturity date, the series will convert into ADSs representing common CVRD shares and preferred class A CVRD shares. The deal closed on June 25.

The offering was SEC-registered, using an automatic shelf registration statement filed the morning the deal was launched.

South Korea’s Samsung Card in Won 576 Billion ($619 Million) IPO
Cleary Gottlieb represented Samsung Card Co., Ltd. and the selling shareholders in Samsung Card's Won 576 billion (approximately $619 million) common stock IPO, which was the first IPO on the Korea Exchange to include an international tranche for foreign investors. Merrill Lynch acted as international tranche coordinator for the international syndicate. Korea Investment & Securities acted as lead manager for the Korean domestic syndicate. The stock was sold through a public offering in Korea and a Rule 144A/Reg. S offering elsewhere. The deal priced June 14, 2007 and closed June 25, 2007.

Samsung Card is a leading diversified consumer finance company in Korea. The company offers a broad range of financial products and services to individuals, as well as leasing services to individuals and corporate customers. Samsung Card is a member company of the Samsung Group, Korea's largest business group. Samsung Group has interests in the trading, electronics, construction, heavy engineering, chemical, insurance, finance and hotel industries.

BNP Paribas in $1.7 Billion Note Offerings
Cleary Gottlieb represented BNP Paribas in two offerings of deeply subordinated notes. The offerings, worth $600 million and $1.1 billion, closed on June 6 and June 25.

The notes constitute Tier 1 capital. Tier 1 deals involve issuing securities with debt-like features that are counted as core capital under regulations that require banks to maintain minimum capital levels as a percentage of their risk-adjusted assets.
