Iberdrola to Acquire Energy East
Davis Polk & Wardwell is advising J.P. Morgan Securities Inc. and Greenhill & Co., LLC as co-financial advisers to Energy East Corporation on its proposed acquisition by Iberdrola, S.A. Based in New York, Energy East Corporation is a respected super-regional gas and electricity transmission and distribution company serving about three million customers in the United States throughout upstate New York and New England. Iberdrola is a Spanish global utility with activities in the full value chain of the electricity business from generation to distribution.

According to the terms of the merger agreement, Iberdrola will pay $28.50 in cash for each outstanding share of Energy East common stock, valuing the transaction at approximately $4.5 billion. The transaction is expected to close, pending regulatory and shareholder approval, in the second quarter of 2008.

The Davis Polk corporate team includes partner Phillip R. Mills and associates Cherie Chen and Brenda Chen (not yet admitted), all of the New York office.

Weil Gotshal Counsel Brookfield Power in Transaction with Finch Hydro Holdings LLC
Weil, Gotshal & Manges LLP represented Brookfield Power US Holding America Co. in its acquisition of a hydropower plant in Glens Falls, New York from Finch Hydro Holdings LLC, a subsidiary of Atlas Paper. The purchase price of the transaction was not disclosed. Brookfield Power is one of the lowest cost producers of hydroelectric power in North America.

The Weil Gotshal team working on this transaction included partners Simeon Gold, Philip Rosen and Elaine Stangland, assisted by associates Mark Mendoza, Nicholas Rodriguez and Jeff Morneau.

Recognized Minnesota Employment Lawyers Join Fulbright
Three well-known Minnesota trial lawyers, who have represented leading companies in employment and commercial litigation, have joined the international law firm of Fulbright & Jaworski L.L.P.

MinneapolisBarbara D’Aquila comes to Fulbright as a partner and Cynthia Bremer and Patrick Martin join as senior counsel. All three lawyers are recognized as Top 40 Employment Super Lawyers by Minnesota Law & Politics.

“This group of litigators nicely complements our labor and employment practice that has spent more than 85 years representing corporate clients before state and federal courts, as well as in arbitrations and before administrative agencies,” said Steven B. Pfeiffer, Chair of Fulbright’s Executive Committee. “We continue to grow our Minneapolis office to meet the needs of our global client base.”

D’Aquila, Bremer and Martin have focused on employment and commercial litigation throughout their careers. The group has built a strong client base of large Fortune 500 corporations and significant Minnesota companies. In addition to employment litigation, the group has also handled commercial litigation matters throughout the country.

It is a firm that offers us a global platform from which to expand our vibrant and growing practice,” D’Aquila said. “Fulbright is known for its great litigators and has an expansive labor and employment practice that we view as a perfect fit for our group. D’Aquila is the daughter of late Minnesota Legislator Carl D’Aquila, who at 22 became the youngest person elected to the Minnesota Legislature in 1946. The elder D’Aquila was a businessman who was often called on to mediate difficult labor and other business disputes. His daughter is known for her skills as an employment and commercial litigator and for her community involvement.

For 14 years, D’Aquila managed her prior firm’s employment law practice, handling a variety of cases with precedent-setting decisions. She has handled a number of matters involving virtually every area of employment law, including discrimination, reasonable accommodation and retaliation under a variety of statutes, non-competition and other breach of contract claims, and defamation and other torts. She has also successfully handled a number of commercial cases.

Through her work as the management co-chair of the Equal Employment Opportunity Committee of the American Bar Association’s Section of Labor and Employment Law, D’Aquila has strong professional relationships with numerous employment lawyers and various government agencies. She has handled some of the largest employment cases in Minnesota.

“This group attracts complex and high-profile employment and commercial litigation and has a strong reputation in the Minnesota bar and the community,” said Ronn Kreps, head of Fulbright’s Minneapolis office. “They have handled significant class and complex litigation and are perfectly poised to continue that practice with our firm.”

In addition to defending employment suits, Bremer has handled numerous securities arbitrations and other commercial and civil litigation. She has tried and won an ERISA case in federal court and previously worked as a special assistant attorney general and private practice attorney in North Dakota, where she handled dozens of administrative hearings.

Bremer started her legal career in Missouri as an assistant attorney general. She spent three years working as part of Missouri’s complex litigation group and was instrumental in one of the state’s largest RICO cases. She later became a special assistant attorney general for the prosecution of election law violations. Bremer is licensed to practice in Minnesota, Missouri, Illinois, and North Dakota.

Martin is an experienced trial lawyer who has defended numerous employment matters, including claims involving Sarbanes-Oxley, the Fair Labor Standards Act, the Family Medical Leave Act, discrimination, harassment and whistle-blowing. He has also successfully defended and prosecuted several commercial, non-competition and trade secret lawsuits in state and federal courts. An active member of the Federal Bar Association, Martin has served for seven years on the Board of Directors for the Minnesota Chapter of the Federal Bar Association and three years as a vice president of the organization.

O’Melveny Represented MyETone in Acquisition of Askyaya
O'Melveny recently represented MyETone, Ltd., the leading provider of online consumer product reviews in China, in its acquisition of substantially all of the assets of Askyaya, a Chinese market leader in online shopping and price comparison affiliated with Shanghai Media Group. The two sites together place the company far ahead of the competition among companies doing shopping comparison in China. The combined company will be the market leader in China with the most content, registered users, and unique visitors per day.

The O'Melveny team consisted of partner Sam Zucker and associate Cheng Wang. Associate Weishi Li provided intellectual property-related advice. The O'Melveny team was also assisted by legal consultants Zijun Di and Scott Wang. In addition to the Askyaya acquisition, the O'Melveny team also represented MyETone in its Series B round of preferred equity financing, funded by Artis Capital and a group of other private and institutional investors.

MyETone currently provides product reviews on a wide range of topics including cosmetics, mobile phones, and children's toys. The reviews are written by users of the products and are not influenced by the manufacturers. People who read the reviews are invited to make comments of their own, which are then read by other users. In this way, the website becomes a community of people with common interests.

Intel, Biax Bury Hatchet Over Computer Servers
Biax Corp., represented by Finnegan Henderson, and Intel Corp. have reached an undisclosed settlement deal in a patent dispute over computer server patents. Biax claimed that several of Intel’s products, including its Itanium, Xeon and Pentium 4 processors, utilized technology covered by one or more claims of the patents. Intel argued that Biax’s patents were unenforceable because Biax had acted inequitably in prosecuting them before the U.S. Patent and Trademark Office. The parties notified the U.S. District Court for the Eastern District of Texas on June 15 that they had reached a settlement. Judge T. John Ward signed off on that deal on June 25.

Wendel Appointed to Down Syndrome Association Board
Scott A. Wendel, executive director of the Dean Mead law firm, was recently appointed to serve a two-year term on the board of directors of the Down Syndrome Association of Central Florida (DSACF). DSACF is the leading voice for individuals with Down syndrome and their families. The organization fosters encouragement and acceptance through advocacy, education and awareness so that every individual with Down syndrome may realize their potential as members of our community.
