ProSiebenSat.1 Media AG Acquires SBS Broadcasting Group Creating Second Largest Pan-European Broadcasting Company
Germany’s largest commercial television corporation, ProSiebenSat.1 Media AG, announced today that it will acquire the Dutch-Scandinavian broadcasting group Scandinavian Broadcasting Systems (SBS) in a fully leveraged buy-out for EUR 3.3 bn. The international law firm Milbank, Tweed, Hadley & McCloy LLP advised ProSiebenSat.1 Media AG on a range of issues that included negotiating the share purchase agreement, performing and coordination due diligence, financing and tax structuring.

The new company, which will continue to operate under the name of ProSiebenSat.1 Media AG, will be headquartered in Munich. The new ProSiebenSat.1 Group will operate in 13 European countries reaching more than 77 million TV-households and placing it second among EU TV providers. The execution of the share purchase agreement will be completed in early July because the transaction is not subject to approval by antitrust or other regulatory authorities.

The Milbank team representing ProSiebenSat.1 included lawyers from Munich, Frankfurt and London:

Corporate/M&A: Norbert Rieger (lead partner, Munich and Frankfurt), Ulrike Friese-Dormann (partner, Munich), and Martin Erhardt, Christoph Rothenfusser, Michael Pujol, Daniel Gubitz, and Georg Lindner (Munich-based associates); and Stuart Harray (London-based partner) and William Belcher, Mathew Wells (London-based associates).

Finance: Frankfurt-based associates Thomas Ingenhoven, Stephan Dulitz, Guido Jestädt.

Tax: Rolf Füger (Munich-based partner), and Munich-based associates Thomas Kleinheisterkamp and Matthias Schell.

Mr. Reiger and his partners have advised ProSiebenSat.1 Media AG for more than ten years, representing the company in numerous transaction that include the company’s proposed merger with Axel Springer AG in 2005, in the course of ProSeibenSat.1’s takeover by private equity firms Kohlberg Kravis Roberts & Co. and Permira in late 2006, as well as during the seven–year appraisal proceedings initiated by minority shareholders in the aftermath of the merger of ProSieben and Sat.1 in 2000.

Paul Maher named "Partner of the Year"
Mayer, Brown, Rowe & Maw LLP is delighted to announce that Vice-Chairman of the firm and London Senior Partner, Paul Maher, has been named 'Partner of the Year' at The Lawyer Awards 2007, held in London last night, 26 June.

Paul Maher has been the Senior Partner in London since 2003 and until June 2007 had been head of the London corporate practice since 2002. His focus on strategy has led to his appointment as one of two Vice-Chairmen of the global firm, with primary responsibility for global strategy. He took up this position on 1 June 2007.

Since 2003, Paul has focused both on the continued development of the London office as well as taking a broader strategic role as a member of the firm's global Policy & Planning Committee. He has been instrumental in ensuring ongoing integration of the firm, expanding the firm's European footprint, maintaining extremely high standards of quality while rolling out an ambitious client programme and continuing to advise significant long standing clients of the firm.

In June 2006, Paul was recognised by the Financial Times as one of the three most innovative lawyers in the UK in its survey of Innovative Lawyers. He was noted as: "an innovative transactional lawyer who is a favourite of several General Counsel for his original thinking." Additionally he was recognised earlier this year in The Lawyer's Hot 100 survey, 2007.

The Lawyer summed up Paul's contribution by referring to his "drive and clarity of vision" that he has "taken out the eat-what-you-kill elements to create a [partnership] pay structure that rewards communal partner effort." It continued: "now in charge of global strategy at the world's twelfth largest law firm, Maher has big plans for Mayer, Brown, Rowe & Maw's international positioning. It's not about words, it's about action."

Mayer, Brown, Rowe & Maw Represents Andrew Corp. in the $2.64 Billion Sale to CommScope, Inc.
Mayer, Brown, Rowe & Maw LLP represented Andrew Corporation (Nasdaq: ANDW) in its sale to CommScope, Inc. (NYSE: CTV) for $2.64 billion. Andrew's stockholders will receive $15.00 per share, at least 90 percent of which will be payable in cash and the rest to be paid in cash, CommScope stock or a combination thereof to be determined by CommScope.

Andrew, based in Westchester, Illinois, is a maker of equipment for wireless networks. CommScope, based in Hickory, N.C., is a maker of network equipment for cable and phone companies.

The Mayer, Brown, Rowe & Maw team was led by M&A partner James Lidbury assisted by partners Jennifer Keating, Jonathan Grandon, Mark McLaughlin, Debra Hoffman, Thomas Bottomlee, Michael Hermsen, Robert Baptista, Jr. and John Tharp (all Chicago), Christopher Kelly and Adrian Steel Jr. (Washington, DC), Michael Molano (Palo Alto) and Kiran Desai (Brussels). Also in Chicago was Counsel Karen Grotberg. Luce Forward Partner Kurt Kicklighter Named “Leading Dealmaker” by Lawdragon
Luce Forward Partner Kurt Kicklighter has been named a "Leading Dealmaker" by Lawdragon, and will be featured in the “Lawdragon 500 Leading Dealmakers in America” guide, honoring the biggest dealmakers at private firms throughout the country. The guide includes leaders in regional markets as well as the top attorneys handling global transactions.

“Leading Dealmakers” are selected through a combination of online balloting and independent research. Lawdragon’s reporters and editors interviewed thousands of attorneys throughout the nation for feedback on the top “Dragons” in a particular region or practice field.

“Kurt is a leader in the legal profession, and recognized in San Diego for his work with financial institutions,” said Robert J. Bell, Luce Forward’s Managing Partner. “I applaud him on this distinguished recognition.”

Kicklighter, Luce Forward’s Business Practice Group leader, counsels financial service companies in capital and other strategic transactions. His clients include banks, credit unions, student loan origination companies and other finance providers. He also serves other public companies and private and family-held businesses of substance in securities compliance, mergers and acquisitions, finance and succession planning. Kicklighter is currently a director of the Security Network and on the executive committee of the San Diego Business Forum.

He recently led the team that completed the successful first ever "Community Development IPO" by Market Creek Partners, which owns Market Creek Plaza, a community commercial and cultural center in Southeast San Diego. Kicklighter has formed or financed seven new banks in the last several years, and represents 1st Pacific Bank of California which will be the largest locally-owned bank in San Diego County after its merger with Landmark National Bank.

Kirkland & Ellis LLP is advising Bain Capital LLC on its approximately $2.1 billion acquisition of Guitar Center, Inc. (Nasdaq GS: GTRC) that was announced today.

Kirkland & Ellis International LLP Named International Law Firm of the Year by The Lawyer
Kirkland & Ellis International LLP has been selected as “International Law Firm of the Year" by The Lawyer, a leading European legal publication. This is the first time that Kirkland has received this honor.

The award was presented at the 2007 The Lawyer Awards ceremony in London on June 26, 2007, in front of nearly 1,500 people. Other top firms “short-listed” included Simpson Thacher and Sullivan & Cromwell.

Office of Personnel Management Convenes Indianapolis Review Board to Consider Nominees for Prestigious 2007 Presidential Rank Awards
U.S. Office of Personnel Management Director Linda M. Springer convened an 18-member panel of distinguished business executives, educators, and civic and community leaders from across Indiana who will gather in Indianapolis today to consider nominations for the 2007 Presidential Rank of Meritorious Executive and Meritorious Senior Professional Awards.

Members of the board will review the accomplishments of nominees - career members of the Senior Executive Service (SES), Senior-Level (SL) and Scientific and Professional (ST) communities - for the awards. Nominees were nominated to receive the award by their agency Cabinet secretary or head of the independent agency in which they serve before they were forwarded to OPM for final board review.

"The diligence of the distinguished panel assembled in Indianapolis ensures the best federal civil servants are considered for this recognition," said Springer. "Being named a Presidential Rank Award winner is a major achievement and honor, and the work of this panel will result in the most deserving public servants receiving the award."

The Presidential Rank Award is the highest professional honor for career SES, SL and ST employees for exceptional performance for an extended period of time. Members of these communities manage many of the nation's most vital programs in defense, intelligence, the environment, energy, agriculture and others. Up to five percent of the career SES, SL and ST community may receive this rank.

The Indianapolis panel is the final of four to meet to consider nominees for the Presidential Rank Award. At its conclusion, Director Springer will send her recommendations to President George W. Bush, who will make the final selections and announce the award recipients later this year.
