Bracewell & Giuliani Helps Bring Scotia Bank to Texas
Bracewell & Giuliani LLP attorneys Sanford Brown, managing partner of Dallas and Fort Worth, and Jerry Sanchez, Dallas associate, successfully assisted Canada’s The Bank of Nova Scotia (Scotiabank) in obtaining approval from the Texas Department of Banking to open a branch office in Houston.

The branch, located at 711 Louisiana Street, replaces Toronto-based Scotiabank’s existing representative office in Houston and will offer wholesale banking, corporate investment, and lending and cash management services to existing and prospective clients. The Texas branch opened on June 18, 2007, and is led by Mark Ammerman, Managing Director and Industry Head of Energy, Scotia Capital, Houston.

The Scotiabank branch office in Houston will be the first foreign bank branch established in Texas since such offices were first authorized in 1999. Scotiabank has also elected to designate the State of Texas as its home state in the US, which permits it to be treated as a Texas bank for interstate branching purposes under federal law.

“This is the first branch of a foreign bank in Texas, so the project was far from simple,” said Mr. Brown. “Jerry and I are pleased to be involved in helping Scotiabank convert its office in Texas to a branch,” he added.

NovaMed in $75 Million Notes Offering
Cleary Gottlieb represented Deutsche Bank Securities Inc. as underwriter in NovaMed, Inc.’s $75 million registered public offering of 1.0% convertible senior subordinated notes due 2012. The offering included full exercise of a related over-allotment option. In connection with the offering, NovaMed entered into convertible note hedge and warrant deals to reduce potential dilution stemming from conversion of the notes. The offering closed on June 27.

NovaMed is a health care services company that acquires, develops and operates ambulatory surgery centers in joint ownership with physicians throughout the United States.

Hynix Semiconductor in First Korean High Yield Offering this Year
Cleary Gottlieb represented Hynix Semiconductor Inc. in a Rule 144A/Reg. S issuance of $500 million of 7.875% senior notes due 2017, the first high yield offering by a Korean company since January 2006. The notes are listed on the Singapore Stock Exchange. Citigroup, Credit Suisse, Goldman Sachs International, Korea Development Bank and Merrill Lynch & Co. led the deal, which priced on June 20 and closed on June 27.

Hynix Semiconductor is a leading memory semiconductor company that designs, manufactures and sells advanced memory semiconductor products. The company is one of the world’s largest manufacturers of DRAM, the most widely used memory chip in the electronics industry. Hynix Semiconductor is ranked number two globally based on DRAM revenues, with a worldwide market share of 22.2% in the first quarter of 2007. The company is also the third largest provider of NAND flash memory in terms of revenue, with a worldwide market share of 14.3% in the first quarter of 2007.

HIRSCHLER FLEISCHER HOLDS TOP SPOT ON CHAMBERS USA RANKINGS
Hirschler Fleischer was named the top Real Estate law firm in Virginia for the third year in a row by Chambers and Partners, a highly respected research organization. In addition, this year, the firm's Litigation Section joined other high-ranking firms in Virginia on the Chamber's list. The 2007 edition of Chambers USA, which was released June 15 online, identifies the most skilled legal practitioners throughout the country based on the qualities most valued by clients.

The publication recognized real estate attorneys Jay Weinberg as a "fabulous gentleman [with a] knack for handling delicate and tricky matters," Jim Theobald as "high-caliber and talented," Mike Terry as "very comfortable to work with [and gains clients' confidence by] rolling up his sleeves and finding a practical way to get things done" and Chuck Rothenberg as "a dominant force for zoning." Chair of Hirschler Fleischer's litigation department, Rick Witthoefft was also recognized for his excellence in litigation as "wonderful and outstanding."

In the category of Real Estate, Chambers USA says the following about Hirschler Fleischer:

"This "fantastic all-star team" operates out of offices in Richmond and Fredericksburg. The firm has established a long-standing reputation for providing comprehensive advice on developments, which includes handling permitting, zoning, easements and tax advice in relation to mixed-use projects, housing developments and office conversions. The team also handles a steady stream of REIT advice for a national client base, while local developers, engineers and brokers highlighted the group as a "major strength in real estate transactions."

Chambers USA also commended the excellence of the firm's litigation section:

"This successful regional firm has a litigation department of about 22 lawyers, and is "a fine presence in the marketplace," according to peers. The group acts for clients in construction, employment, IP, products liability, real estate, domestic land use, securities, and trust and estate litigation."

Multi-Million Dollar Jury Award for Firm Client
A trial team headed by Miles P. Clements secured a multi-million dollar jury award for one of the firm’s largest energy and environmental clients. The lawsuit, filed in the Unites States District Court for the Eastern District of Louisiana, alleged that four defendants improperly constructed a critical component of an off shore oil and gas structure, requiring a substantial retrofit of the the component. Following a two week trial, the unanimous jury returned a verdict in favor of the firm’s client on all claims and awarded the millions of dollars in damages sought by the client.

Schulte Roth & Zabel Lawyers Named Finalists for National Award by Public Justice, America's Public Interest Law Firm
Howard O. Godnick, Jeffrey S. Sabin and Daniel L. Greenberg of Schulte, Roth & Zabel; disaster relief expert Stephen E. Ronfeldt of The Public Interest Law Project in Oakland, Calif.; and John C. Brittain of the Lawyers Committee for Civil Rights Under the Law in Washington, D.C., were named by the Public Justice Foundation as finalists for the award bestowed annually to the lawyers who made the greatest contribution to the public interest by trying or settling a precedent-setting case.

Because of their partnership in McWaters v. FEMA, the Federal Emergency Management Agency was forced to continue providing housing assistance to tens of thousands of victims of the catastrophic 2005 storms well beyond FEMA’s original cutoff for aid.

It was the first time that a court had ordered FEMA to change the manner in which it administered disaster relief, including abolishing a requirement that evacuees apply for small business loans to remain eligible for housing aid. As a result, FEMA has to pay as much as $500 million to $1 billion more for desperately needed housing assistance.

Godnick, Sabin, Greenberg, Ronfeldt and Brittain are among 37 lawyers in eight cases named as finalists for their committed work in the public interest. The cases that were nominated this year involve a range of issues, from worker safety and environmental protection to juvenile justice reform and the rights of Hurricane Katrina and Hurricane Rita victims. Detailed summaries of each case are accessible on the Public Justice website at www.publicjustice.net.

The winner of the nationally prestigious award will be announced on July 17 at the Public Justice Foundations 25th Anniversary Awards Dinner and Gala in Chicago.
