Crowell & Moring Partners with Bright Horizons Family Solutions to Open Child Care Center
Crowell & Moring LLP has partnered with Bright Horizons Family Solutions to open a state-of-the-art child care center at 1111 Pennsylvania Avenue N.W. in Washington, D.C., one block from its Washington office. The new center, called Bright Horizons at 1111 Pennsylvania Avenue, will allow working parents the opportunity to balance their work and family life while providing high-quality child care and early education for their children. Crowell & Moring is the primary sponsor of the new child care and early education center.

The center provides care for 120 full-time children ages six weeks to six years and also incorporates a back-up program for infants through school-age children. Back-up care offers families a solution when their traditional child care arrangements fall through. Priority enrollment is offered to Crowell & Moring employees, and the center is also open to families of other area companies, as well as those who live and work in the community.

“We’re always looking to improve the quality of life of our team members, and there’s no better way to do that than by investing in their families. We helped to build this center because we wanted to provide the men and women of our firm with more options to find high-quality, convenient care for their children. The center offers our people the opportunity to visit with their children on their lunch break or simply take comfort in the fact that their children are getting a top education,” said Kent A. Gardiner, Crowell & Moring chairman.

Bright Horizons offers a unique early learning curriculum for children. The World at Their Fingertips program for learning offers each child a world full of discovery opportunities guided by skilled teachers who recognize each child’s individual strengths, while helping them to learn, grow, and live fully. The World at Their Fingertips uses engaging programs, such as Language Works, Math Counts and Science Rocks, to teach children the basic language, math and science skills that will prepare them for future academic excellence. The Bright Horizons Growing Readers campaign emphasizes the importance of early literacy and provides parents with information about language development and books of excellence for their children.

“We’ve found that graduates from our child care and early education programs really do have greater success in kindergarten and beyond, and we’re excited to be a part of their first stage of learning here at the center. All our programs are geared to ensure children have the language, math, science and social skills they need for elementary school, and we’re also able to help parents incorporate learning experiences in their children’s home life as well,” said Linda Janulis, regional manager, Bright Horiozns Family Solutions.

Bright Horizons operates each of its centers according to the highest standards of excellence as defined by the National Association for the Education of Young Children (NAEYC) and has the best record of accreditation from the NAEYC of any multi-site employer-sponsored workplace services provider in the country, a distinction of quality that fewer than eight percent of centers in the U.S. achieve.

WilmerHale Advances on The American Lawyer’s “A-List” of the Nation’s Elite Firms
WilmerHale ranked eighth among the firms in The American Lawyer “A-List” for 2007. This is the fifth year that the “A-List” has been compiled—a listing of the top 20 firms from among the “AmLaw 200” firms—and the fifth time the firm has made the list.

The “A-List” measures the performance of “AmLaw 200” firms in four areas: revenue per lawyer, pro bono, associate satisfaction, and diversity. The law firms on the “A-List” were drawn from The American Lawyer's data collected from its annual “AmLaw 200,” pro bono, and associate satisfaction surveys, and the “Diversity Scorecard” compiled by sibling publication, Minority Law Journal.

WilmerHale’s Co-Managing Partners, William F. Lee and William J. Trio of Arrivals Boosts White & Case's Banking Capabilities
White & Case has continued to enhance its comprehensive European banking and leveraged finance capabilities with the appointment of partner Clare Calver and two counsel, Massimo Galli and Jonathan Weinberg, who all join the Firm's fast-growing London Banking & Capital Markets Group.

The arrival of Clare Calver also highlights the Firm's response to the continued growth in the European leveraged finance market. Clare, who brings over ten years' bank finance experience including two years working in Paris, will initially be based in London before relocating to White & Case's Paris office.

"The use of Anglo-Saxon style and structure in leveraged finance documentation has gone hand in hand with the growth of the French leveraged finance market and clients are increasingly demanding these capabilities, combined with credible French language skills and an in-depth knowledge of the market. Clare's experience of working in both the London and Paris leveraged finance markets will enable us to meet these demands," commented partner Gilles Peigney, head of White & Case's Paris Banking practice. Clare will concentrate primarily on both London-based banks focusing on the French market and French banks taking lead mandated arranger roles on leveraged finance transactions involving a French target or bidder, an area in which our Paris team has a market leading position.

Counsel Massimo Galli, who will focus on banking and leveraged finance matters, has extensive experience of Italian transactions and will complement the Firm's existing local Italian capabilities through his on-the-ground presence in London. Jonathan Weinberg has extensive experience in restructuring transactions, as well as the banking and acquisition finance arena, and will provide additional senior support in these areas.

White & Case's collective London and Paris banking and leveraged finance team now comprises a total of 90 fee-earners. In the last 12 months the team has acted on a series of high-profile leveraged finance transactions including the following highlight deals either in or related to the French market:

* advising Kohlberg Kravis Roberts & Co. in connection with the financing for the €5.01 billion tender offer for Pages Jaunes Group;
* advising BNP Paribas in its role of debt underwriter to UK-based private equity group Bridgepoint's £360 million acquisition of UK active lifestyle brand Fat Face from Advent International;
* advising JPMorgan Europe Limited, as documentation agent and mandated lead arranger, in providing €1.22 billion of financing to CVC Capital Partners Ltd. and other minority investors for the purchase of all the outstanding shares and warrants of Fraikin Group SAS, the sole shareholder of commercial vehicle hire company Fraikin SAS, from Eurazeo; and
* advising Calyon, as mandated lead arranger, on the senior debt tranche of Eurazeo's €3.1 billion acquisition of Europcar International S.A.S.U. ("Europcar") from Volkswagen AG, as well as advising Deutsche Bank AG, BNP Paribas, Calyon and Société Générale as initial purchasers of Europcar's €550 million two tranche 144A/Regulation S offering, which was use to part-fund the acquisition.

Thelen Wins Patent Infringement Case for Celerity
A Thelen Reid Brown Raysman & Steiner LLP trial team won a significant patent infringement victory for client Celerity, Inc. in a dispute over the company's patented gas delivery systems for semiconductor fabrication equipment.

The technology at issue involved gas delivery systems for semiconductor fabrication equipment. In 2003, Celerity came to market with a new fundamental technology for such systems, which quickly became a preferred gas delivery system for major semiconductor equipment manufacturers. Celerity's sales of gas delivery systems using this new technology climbed quickly to $120 million in 2006. Celerity patented the technology embodied in new gas delivery systems.

In 2005, Celerity learned that a competitor, Ultra Clean Technology (UCT), was planning to introduce a gas delivery system that infringed on Celerity's patented design. But following a three-week trial in the U.S. District Court for the Northern District of California, a unanimous jury returned a verdict in Celerity's favor, finding Ultra Clean guilty of infringement with its new gas delivery system, and rejecting all of Ultra Clean's invalidity defenses.

Celerity was awarded monetary damages and a jury finding of infringement, based on UCT's initial sales of the infringing product. The next phase of the trial will occur later this year as Celerity seeks a permanent injunction from the court barring UCT from further infringement of Celerity's patented technology.

Joe Foster, chief technology officer and senior vice president at Celerity, had this to say about the outcome: "We are very pleased with the decision of the lawsuit. The unanimous verdict recognizes Celerity's patent portfolio and the value of our licensing program. We have always believed in the strength of our intellectual property portfolio and remain confident of our position as we move toward the injunctive phase of the court proceeding."

The trial team was led by Thelen Silicon Valley partners Keith Slenkovich and Bob Camors, and associates Richard Swope, Karin Frenza, and Tomomi Harkey. Associates Sam Maselli and Stephanie Johnson also made significant contributions to this two-year litigation effort.

Media Advisory: Pillsbury Education Lawyer Offers Insights into Supreme Court Ruling Striking Down School Assignment Plans Considering Race
Washington, DC: Today’s 5-4 decision by the Supreme Court struck down public school districting plans that take students’ race into account. By declaring race-inclusive admissions programs in Seattle and Louisville, Ky. unconstitutional, the court called similar plans in districts across the country into question and denied K-12 administrators certain policy tools for adjusting schools’ racial compositions, such as making race a “tiebreaker” determinant when deciding which school a student should attend.

“The Court’s ruling today sends K-12 policymakers back to the diversity drawing board,” commented Maureen Dwyer, a partner in Pillsbury Winthrop Shaw Pittman’s Education practice and managing partner of the firm’s Washington, DC office. “The Supreme Court has upheld public education agencies’ pro-diversity motives, while striking down anything resembling quotas, and now, with today’s ruling, elaborate admissions formulas incorporating race are off the table as well. This places administrators in a challenging position; the courts are on their side in seeking diverse classrooms, but the means to get there are continually scrutinized and subject to interpretation.”

Dwyer adds that while today’s decision relates to primary and secondary education only, colleges and universities will also likely be reviewing their policies given the ruling.

"The higher education community is watching this outcome closely,” Dwyer added. “Institutions will likely revisit their own admissions policies to ensure they adhere to the court’s precedents backing affirmative action. The sobering reality for colleges and universities is that concerns around the makeup of their applicant ‘pipelines’ will continue, as long as public schools struggle to architect assignment plans that both foster diversity and withstand legal challenges.”

Mayer, Brown, Rowe & Maw advises Hampton Brook Estates on major office development in Milton Keynes
Mayer, Brown, Rowe & Maw LLP's London real estate group has advised new client Hampton Brook Estates on its latest office development in Milton Keynes comprising over 200,000 square feet.

This is thought to be the largest single office development in Milton Keynes for more than 25 years and promises to be a world class scheme. The transaction involved six different parties including English Partnerships, Arlington, Kier, Deloitte and Denton Wilde Sapte LLP, with the latter two taking pre-lets at the site.

London real estate partner James Dodsworth led the Mayer, Brown, Rowe & Maw team advising Hampton Brook Estates, with support from senior assistant Iain Roberts, construction partner John Rushton and assistant Stephen Natoli.

Lovells LLP, Hewitsons, Nabarro and Clarke Wilmott acted for Arlington, English Partnerships, Deloitte and Denton Wilde Sapte LLP respectively. Kier was represented by its own in-house team.
