Abu Dhabi Group in $758 Million Telecom Sale
Cleary Gottlieb is representing the Abu Dhabi Group in the pending sale of its 30% interest in Warid Telecom (Private) Limited to Singapore Telecommunications Limited for an estimated $758 million. This gives Warid Telecom an enterprise value of $2.9 billion. The deal, which was announced and signed on June 28, is expected to close in the third quarter of 2007.

Warid Telecom is part of the Abu Dhabi Group, a leading business group in the United Arab Emirates led by H.H. Sheikh Nahayan Mabarak Al Nahayan, a senior member of the Emirate of Abu Dhabi’s ruling family. Launched just two years ago, Warid Telecom has become the third largest mobile operator in Pakistan, with nearly 9.7 million in repeated subscriber numbers representing an estimated 16.6% market share. The Abu Dhabi Group has interests in numerous sectors, including banking and financial services, hospitality, construction, telecommunications services, real estate and manufacturing.

Alinda Capital Partners completes C$1.74 billion acquisition of UE Waterheater Income Fund
Torys represented Alinda Capital Partners with a team that included James Scarlett, Krista Hill, Bernays Barclay, Allen Yi, Kelly Kwan, Adam Slavens and Beverley Liske (M&A); Corrado Cardarelli (tax); Adam Delean, Tom Zverina and Milosz Zemanek (debt financing); Mitch Frazer, Stacey Parker-Yull and Tara Sastri (pension and employment); Kim Kowalik and Danielle Townley (real estate); Eric Boehm, Tanya Baytor and Teresa Reguly (IP and technology); Michael Fortier (environmental); Jay Holsten and Sue-Anne Fox (competition); Phil Mohtadi (Investment Canada); and Bill Estey (research).

Alinda Capital Partners LLC completed its acquisition of all of the assets of UE Waterheater Income Fund (TSX: UWH.UN) for approximately C$1.74 billion.

The transaction followed Alinda's April 16 announcement that it had entered into a definitive agreement to acquire UE Waterheater Income Fund, including UE's previously announced acquisition of Voxcom Income Fund, an Edmonton-based owner of security alarm services.

Alinda Capital Partners is a privately held investment firm based in New York that specializes in investments in infrastructure assets. RBC Capital Markets provided financial advice to Alinda Capital Partners on the transaction.

UE Waterheater Income Fund, based in Toronto, indirectly held, through UE Waterheater Operating Trust, the water heater rental business of Union Energy LP and its related commercial activities.

Locke Reynolds Partner Selected to a Leadership Position for Seventh Circuit Bar Association
Julia Blackwell Gelinas was selected as the Indiana Chair of the Committee on Membership and Programs for the Seventh Circuit Bar Association.

The primary goal of the 7th Circuit Bar Association is to work together – as lawyers and judges – to understand and address issues relating to the administration of justice within the Circuit. Membership in the Seventh Circuit Bar Association is open to any lawyer who practices in the federal courts of the 7th Circuit.

Julia chairs our Appellate Group, and practices in construction, fidelity and surety, and other commercial matters, as well as the representation of lawyers before the Indiana Supreme Court Disciplinary Commission. She is a former Chair of the firm's Management Committee (2000-2005).

Gide Loyrette Nouel has set up the financing for Leslys, the light rail airport express link between Lyon airport and La Part-Dieu, for a total of 107 million euros:
This light rail express link is a pioneer of its kind and will provide a 25-minute link between the area of Part Dieu, in the centre of Lyon, and the airport and TGV station at Lyon Saint-Exupéry.

The project is France's first express light rail concession granted by a local authority (Département of the Rhône) to be funded on a project finance basis. It comes ahead of projects like the CDG Express in the Ile-de-France, which are currently only at the bid stage.

RhônExpress, a company constituted by the members of the project’s sponsoring consortium comprises Vinci (28.2%), Caisse des Dépôts et Consignations (36.6%), Veolia Transport (28.2%), Vossloh (4.2%) and Cegelec (2.8%).

RhônExpress will design, build, finance and operate the project, with a construction period of around three years and a concession period of 28 years.

Calyon and Caisse Régionale du Crédit Agricole Mutuel Centre-Est acted as MLAs. Calyon has underwritten all the debt tranches. However, from the start of commercial operations, Caisse Régionale du Crédit Agricole Mutuel Centre-Est will refinance and underwrite the senior debt.

The financing agreements between RhônExpress and the arrangers were signed on 4 June 2007 at the head offices of the Conseil Général du Rhône.

For this operation, Gide Loyrette Nouel advised RhônExpress (Thomas Courtel, Christine Van Gallebaert, Véronique Quéruel) and the arranging banks (Alexandre Balia, Marie Bouvet-Guiramand). The Département of the Rhône was advised by Clifford Chance (Rémy Sermier).

Williams Kastner's Randy Aliment Appointed New Board Chair for City University of Seattle
Randy Aliment has been appointed Chairman of the Board of Governors at City University of Seattle. Randy served as legal counsel for City University from 2000 to 2006 when he was appointed to the Board. He begins his tenure as chair July 1, 2007. As Chairman of the Board, Randy, along with the other members, is responsible for approving and monitoring the implementation of the mission of the institution, along with overseeing the establishment of broad institutional policies.

Randy Aliment is a senior member in the Seattle office, joining the firm in 1980 and serving as Chairman from 1994-96. His practice emphasizes commercial litigation and higher education law. He has repeatedly been recognized as an outstanding Pacific Northwest lawyer including: Washington CEO in 2006; Seattle Magazine in 2007 and in Seattle Business Monthly as one of Seattle's Best Business Lawyers in 2007. Randy is active in several local and national associations including the Washington State and American Bar Associations (Steering Committee on Leadership-Diversity Initiative). He received his J.D. from Seattle University Law School graduating second in his class and summa cum laude.
