Freshfields advises Sports Direct on acquisition of Everlast
Sports Direct International plc ('Sports Direct') has entered into a definitive agreement with Everlast Worldwide Inc to merge a wholly owned subsidiary of Brands Holdings Limited (itself a wholly owned subsidiary of Sports Direct) with Everlast at a price of $30 per share of Everlast which equates to approximately $135.2m. This represents a total transaction value of approximately $168.2m including expected tax benefits. Everlast is listed on NASDAQ. The transaction remains subject to the approval of Everlast shareholders and is expected to be completed during the second half of 2007.

Freshfields Bruckhaus Deringer advised Sports Direct on the acquisition. The Freshfields corporate team included partners Matthew Herman (New York), Sarah Murphy (US, London) and Claire Wills (London), as well as associates Piusha Bose (New York) and James Kerton (London).

The acquisition will benefit Sports Direct's wholesale, licensing and retail businesses, while providing them with a significant stepping stone into the important US market. The approximate aggregate consideration of $168.2m will be financed by Sports Direct via a drawdown under a credit facility. As at 31 December 2006, the gross assets and profits of Everlast were $65.3m and $6.8m respectively.

Paul Saunders Appointed Co-Chair Of The Judicial Institute On Professionalism In The Law
Cravath partner Paul C. Saunders has been appointed by Chief Judge Judith S. Kaye as Co-Chair of the New York State Judicial Institute on Professionalism in the Law. Paul had served as a member of the Institute since 2000. The Institute serves as a permanent commission dedicated to nurturing professionalism among members of the legal profession.

Clark Hill Attorneys Named to Chambers USA List of Leading Attorneys in 2007
Five Clark Hill Attorneys were named to the Chambers USA List of Leading Attorneys for 2007. Daniel J. Bretz and Thomas M.J. Hathaway were named in the area of labor and employment law, William B. Dunn and Timothy M. Koltun were named in the area of real estate law, and Daniel H. Minkus was named in the area of corporate law and mergers & acquisitions.

Daniel J. Bretz received the highest ranking (#1) in the area of labor and employment law. Bretz is a member in the firm’s Detroit office. Prior to joining Clark Hill, Bretz was a founding partner of Brady Hathaway Brady and Bretz P.C. He concentrates his practice in the areas of employment law and litigation, traditional labor work, and business litigation. He represents a number of national clients with a particular focus on employers in the health care, transportation and construction industries. Robert G. Buydens is a shareholder and is based in the firm's Detroit office. Firm Represents Blackstone in Sale of Southern California Real Estate Portfolio
The firm is representing The Blackstone Group in the sale of a portfolio of 38 office buildings located in Southern California, San Francisco, Seattle, Portland and Salt Lake City to Arden Realty, an affiliate of GE Real Estate, for $2.1 billion. The transaction is subject to customary conditions and is expected to close in approximately two months.

The Firm represented Blackstone in its 2006 acquisition of CarrAmerica Realty Corporation, one of the nation’s premier real estate companies, with a portfolio of 285 properties totaling approximately 26.3 million square feet. The Firm also represented Blackstone in the 2006 sale of 22 CarrAmerica properties located in Washington, D.C., Virginia and Maryland to Tishman Speyer for $2.8 billion.

Simpson Thacher Obtains Dismissal Of Suit Challenging Power Plant Construction
Simpson Thacher has won the dismissal of an action seeking to enjoin the construction of the $1.8 billion Longview power plant in West Virginia, a project financed by Simpson Thacher client First Reserve. Plaintiffs sought to block construction of the plant following its approval by various West Virginia regulatory entities, including the Department of Environmental Protection, and following negotiations and the execution of a consent decree with the Sierra Club, Trout Unlimited, and the National Parks Conservation Association. In a June 27, 2007 opinion, the US District Court for the Northern District of West Virginia granted Longview's motion to dismiss, concluding that the court must abstain from hearing the action because the plaintiffs' claim constituted a collateral attack on a state agency decision that should be raised in a state forum.
