Tyler Cooper Attorneys Lecture in Cyberspace
Tyler Cooper attorneys will take part in a business ‘webinar’ entitled “Bringing Your Idea to Fruition.” The four-part videotaped seminar will be made available to selected Connecticut companies over the Internet through the auspices of the Connecticut Technology Council (CTC). Tyler Cooper is a member of the Council, which promotes business innovation to sustain economic growth in the state.

CTC will be taping the segments for the webinar June 26 at Tyler Cooper’s new location in New Haven, the Long Wharf Maritime Center, 555 Long Wharf Drive. Tyler Cooper has relocated there from 205 Church Street.

The webinar segments, each about 45 minutes in length, are geared toward entrepreneurs and others involved in starting new businesses. The webinar will be available for viewing via the Internet later in the summer, two segments in July and two in August. The Tyler Cooper attorneys and their topics include:

Thomas S. Marrion, “Organization of Your New Business,” which will deal with the various types of business structures, including partnerships, limited liability companies, Subchapter C corporations and Subchapter S corporations. Tom will talk about ownership issues, resolving disputes, valuing a business, and other topics of interest to those starting new business ventures. Tom is Assistant Managing Partner of the firm and Chair of the Health Law Practice Group. He works in the firm’s Hartford office, focusing on corporate and commercial finance, health care, and general corporate law.

Robert J. Metzler II, “Getting Your Ideas to Market: Licensing as an Alternative to ‘Do It Yourself’,” which will examine a variety of issues related to intellectual property. Bob will review patent, trademark and copyright protections for your intellectual property, but will focus on developing strategic relationships in order to manufacture, market and sell your product. Bob is a partner in the firm’s Hartford office. He has practiced general, corporate and securities law for 30 years. Bob is Chair of both the Intellectual Property and the Utilities, Energy and Telecommunications practice groups at the firm.

William W. Bouton III, “Mergers & Acquisitions,” which will look at the characteristics of mergers and acquisitions, goals of businesses when combining, networking and other ways in which business entities get together, and typical processes for these transactions. Bill is a partner in the firm’s Hartford office and Co-Chair of the Business Services Practice Group. He advises businesses, public and private, on transactional and corporate governance matters, including mergers, capital raising and networking ventures.

Kerry J. Tomasevich, “Financing a Business,” which will focus on topics such as raising private capital, commercial bank loans, and debt vs. equity. Kerry is a partner in the firm’s New Haven office. He represents companies in public offerings, mergers and acquisitions, venture capital financing transactions, and general corporate matters.

Christopher A. Kelland, “Employee Contracts,” which will include an overview of the employment at-will doctrine and its exceptions; situations in which an employer might want to enter into an employment contract with an employee; and common terms of employee contracts, including non-disclosure, non-competition and non-solicitation provisions (restrictive covenants). Chris is a litigation associate in the firm’s New Haven office. He focuses his practice on employment law and commercial litigation.

Andrew Cogbill Earns Additional Licensure
Andrew Cogbill, an attorney with The Law Firm of Hutchens, Senter & Britton, P.A., an established creditors’ rights, civil litigation, and real estate law firm with an office in Charlotte,

North Carolina, recently passed the South Carolina bar and is now licensed to practice law in South Carolina as well as North Carolina.

Cogbill’s practice is located in the Firm’s Charlotte office where he concentrates in the areas of foreclosure and real estate, providing legal counsel to a wide range of clients.

Cogbill earned undergraduate degrees in both humanities and English literature from the University of Toledo and, in 2001, his Juris Doctor degree from the University of Toledo College of Law.

Cynthia D. Hawkins Joins Hutchens, Senter & Britton, P.A.
The Law Firm of Hutchens, Senter & Britton, P.A., an established creditors’ rights and civil litigation law firm based in Fayetteville, North Carolina, announced today that Cynthia D. Hawkins has joined the Firm as Marketing Director.

Prior to joining Hutchens, Senter & Britton, Hawkins was a Marketing and Public Relations Coordinator for Cape Fear Valley Health System. She also teaches English at Methodist University.

Hawkins received her undergraduate degree in Writing from Methodist University, and her graduate degree in English and English Literature from Fayetteville State University.

Appellate Success for Brandon R. King, Esq. in Fourth Department Labor Law Case
Representing the interests of defendant Albion Central School District (property owner), Brandon R. King, Esq., successfully appealed the lower court's granting of defendant/third-party plaintiff David Christa Construction Inc.'s (construction manager) motion for summary judgment. While Orleans County Supreme Court granted summary judgment to defendant/third-party plaintiff, the Fourth Department reinstated the Labor Law 240(1) and 241(6) causes of action. In so doing, the Court reasoned that Christa failed to meet its burden of establishing as a matter of law that it did not serve as a general contractor or agent of Albion and thus would not be liable under the Labor Law. Deposition testimony indicated that Christa had the authority to supervise the activities of the contractors and to stop unsafe work practices. The Court found that a triable issue of fact existed as to whether Christa had the ability to control the activity that brought about the injury and thus be liable as "a general cotnractor or agent of the owner" of the property.

Daniel R. Ryan, Esq., Obtains Dismissal of Legal Malpractice Claim
Representing a criminal defense attorney, Daniel R. Ryan, Esq. won a preanswer motion to dismiss in a legal malpractice claim venued in Onondaga County. In the complaint, plaintiff alleged that the defendant attorney negligently represented plaintiff during criminal proceedings in 2001-2002. Dan argued that the undisturbed determination of the plaintiff’s guilt in the underlying criminal proceedings precluded plaintiff, as a matter of law, from recovering for civil damages flowing from the alleged negligent legal representation. Supreme Court agreed and dismissed plaintiff's claims.

Downtown Action Team Honors Rodey as The Best Place to Work Downtown
The Rodey Law Firm has been selected as the Best Place to Work Downtown by the Downtown Action Team.
