Premier Regional Law Firm Expands With Chicago "Jewel" Thompson Coburn and FagelHaber Have Merged
St. Louis-based law firm Thompson Coburn LLP and Chicago-based law firm FagelHaber LLC have merged, creating one of the Midwest’s leading law firms. The combined firm has more than 330 attorneys with offices in St. Louis and Chicago – two of the region’s major business centers – and additional offices in Washington, D.C. and Southern Illinois.

Firm Chairman Tom Minogue stated, “We are excited to add such a talented and experienced group of professionals to Thompson Coburn and are already working together on a number of projects. Entering the Chicago market is a major strategic move forward for our firm and we look forward to it benefiting our clients for many years to come.”

“We are very pleased to join Thompson Coburn,” said Joel Haber, who, with Frank Buckley, will serve as Co-Managing Partner of the Chicago office. “This merger significantly enhances our ability to provide our clients with the first-rate legal counsel to which they have become accustomed, but on a broader practice area and geographic scale. The combined firm’s Chicago office will initially be known as Thompson Coburn Fagel Haber, enabling it to leverage the name recognition that FagelHaber has developed in the Chicago legal and business communities over the past 45 years.

SQUIRE SANDERS ADDS TO EUROPEAN PARTNER RANKS IN WARSAW OFFICE
Global law firm Squire, Sanders & Dempsey L.L.P. has named Warsaw lawyers Malgorzata Grzelak and Grzegorz Kycia as European partners.

“Malgorzata and Grzegorz are becoming European partners at a very exciting time and are great additions to our growing Warsaw office and to our strong regional practice throughout Central and Eastern Europe,” said Kevin T. Connor, managing partner of the firm’s Warsaw office and coordinator of the firm’s Central and Eastern European practice.

Grzelak’s practice centers on real estate matters, labor and employment and corporate issues. She provides advice to non-Polish investors on investment processes in Poland and also counsels entrepreneurs conducting business in Poland with respect to establishing a business presence in Poland, acquisition of real estate and labor law.

Kycia focuses his practice on corporate and commercial matters, with particular experience advising on financial transactions, including real estate financing transactions. He also provides advice to the Polish Ministry of Economy on offset matters.

Jones Day Partner Michelle Fischer to Head Ohio State Bar Antitrust Section
Jones Day partner Michelle K. Fischer has been appointed by the President of the Ohio State Bar Association (OSBA) to serve as the Chair of the OSBA Antitrust Section for the 2007-2008 term, effective July 1, 2007. Ms. Fischer previously served two multiyear terms as a representative on the OSBA Antitrust Section Council and most recently spoke, on Robinson-Patman issues, at the OSBA's 2006 Annual Antitrust Institute.

Ms. Fischer joined Jones Day's Cleveland Office upon graduating from The University Of Chicago Law School (with honors) in 1989. Her practice is focused on antitrust counseling and litigation. Earlier this year, she was on the trial team that represented Schwarz Pharma, Inc. in its claims for monopolization and attempted monopolization premised on the bringing of sham infringement litigation by Braintree Laboratories. The parties are presently engaged in post-trial briefing.

Jenner & Block Represents GM in $1.5 Billion Convertible Securities Offering
General Motors announced on May 24 the pricing of a major bond offering pursuant to which GM will issue $1.3 billion of Series D convertible debentures. The debentures will mature on June 1, 2009, and are convertible into GM common stock under certain specified circumstances. The offering also involves GM entering into, concurrently with the pricing of the debentures, capped call transactions with certain underwriters as option counterparties. GM also announced that it granted the underwriters an over-allotment option to purchase up to $195 million aggregate principal amount of additional notes, which option was exercised. The transaction closed on May 31, 2007.

In connection with the securities offering, GM announced that it received a commitment for a supplemental revolving credit facility in an aggregate amount of approximately $4.1 billion. The company anticipates that the facility will be secured by GM’s common equity ownership of GMAC LLC and will mature 364 days after the definitive agreement is signed. The credit line could be drawn upon for general corporate purposes including working capital needs.

Holland & Knight Receives Public Counsel's Prestigious 2007 Law Firm Pro Bono Award
Public Counsel, the largest pro bono organization in the world, has awarded Holland & Knight its prestigious 2007 Law Firm Pro Bono Award. This award is presented annually to a law firm or corporate legal department for leadership and advocacy on behalf of those who are indigent, vulnerable and victimized.

Holland & Knight was selected by the organization''s board of directors for the "breadth and sophistication of [its] pro bono efforts," particularly with regard to work on complicated and difficult asylum cases, assistance on Special Immigration Juvenile Status matters, work on behalf of homeless individuals, and cases through Public Counsel's Children's Rights Project and Community Development Project.

Last year, Holland & Knight lawyers contributed more than 600 hours of legal services as Public Counsel's lawyers, negotiating a complex transaction that resulted in a benefit of more than $1.5 million.

The award was presented to Holland & Knight's Managing Partner Howell Melton at the annual William O. Douglas Dinner on June 19 at the Century Plaza Hotel. Other honorees at the event included former U.S. Ambassador Madeleine Albright and Monty Hall, the legendary host of "Let's Make a Deal." More than 2,000 people attend this event each year.

"This is a great honor and a fitting tribute to lawyers and staff for their enormous good work and contributions to the Southern California community and beyond," said Jerry Levine, executive partner of the firm's Los Angeles office. "Holland & Knight is a pro bono champion with a deep sense of community purpose. Our commitment to providing needy people and groups with free legal services is one of our core values."

Holland & Knight is nationally known for its commitment to pro bono work, providing approximately 60,000 hours of pro bono service each year. Last year, the American Bar Association Section of Individual Rights and Responsibilities awarded its second Pro Bono Service Award to Holland & Knight for supporting the section's mission of securing and protecting human rights, civil liberties and social justice by providing countless hours of legal service. Corporate Pro Bono presented Holland & Knight with its 2006 Pro Bono Partner Award in recognition of the firm's participation in Volunteer Advocates for Immigrant Justice (VAIJ), which coordinates pro bono legal assistance for detained indigent immigrants and asylum seekers, and represents detained unaccompanied immigrant children in removal proceedings, alongside the Microsoft Corporation and five other law firms.

Ward and Smith, P.A. Legal Assistant Becomes Chair of NC Bar Association Division
Ward and Smith, P.A. is proud to announce that Stephanie C. Crosby will become the chair of the Legal Assistants Division (LAD) of the North Carolina Bar Association effective July 1. Ms. Crosby has been an active member of the LAD for many years and has served as a member of the LAD Council for the past three years. Ms. Crosby is a North Carolina State Bar Certified Paralegal and is the firm's Business Law Legal Assistant Coordinator. She has been employed with Ward and Smith for nearly fifteen years.

Ms. Crosby is a member of the North Carolina Hunter Jumper Association and regularly competes in the Adult Amateur Hunter division.
