Weil Gotshal Counsels Macquarie in Acquisition of Leading US Wireless Communications Operator
Weil, Gotshal & Manges LLP represented a consortium led by Macquarie Infrastructure Partners (MIP) and Macquarie Communications Infrastructure Group (MCG) in its acquisition of Global Tower Partners, the leading US wireless tower operator, from the Blackstone Group. The transaction is valued at $1.4 billion. MIP and MCG are managed by members of the Macquarie Group, a leading global investor and manager of infrastructure businesses. MIP is a diversified unlisted fund focusing on infrastructure and infrastructure-like investments in North America. MCG owns and operates the most extensive network of broadcast infrastructure in Australia and the UK.

Bloomberg Ranks Paul, Weiss Among Top 10 in Capital Markets League Tables
Paul, Weiss ranked among the top 10 firms for U.S. Corporate Issuer Advisers and U.S. Investment Grade Issuer Advisers in the Bloomberg 2007 Q2 Global Legal Adviser League Tables. The firm is recognized for completing 13 overall debt transactions with a total deal value of $9.740 billion and 11 investment grade offerings with a total deal value of $9.125 billion.

Virginia Estate Tax Now Repealed
The Virginia estate tax (often called the “death tax”) has now been repealed, by legislation enacted in 2006 that is effective for the estates of Virginians who die on or after July 1, 2007.

Since 2002, with the phaseout of the dollar-for-dollar federal credit for state death taxes, the state taxes remaining in 20-some states have been both an additional burden and a complication for citizens of those states and others owning property in those states. As of July 1, this is no longer true of Virginia.

The repeal of Virginia’s estate tax provides both significant tax relief and significant simplification for persons domiciled in Virginia with taxable estates – generally estates larger than $2 million. But state death taxes are still a challenge for citizens of many other jurisdictions, including some of Virginia’s neighbors – North Carolina, Maryland, and the District of Columbia. In addition, state death taxes will have to be taken into account even by Virginians if they own property in a jurisdiction that subjects that property to a death tax, depending on the form of that ownership, or if they themselves are considering moving to such a jurisdiction. And it will continue to be important to make sure that domicile is clear and unambiguous, to prevent the assertion that another state’s tax applies. This is especially important for people who own residences both in and out of Virginia.

Baker & McKenzie Advises Babcock and Brown on the Restructure of its International Property Joint Venture with the GPT Group
Baker & McKenzie has acted as legal adviser to international investment and advisory firm Babcock and Brown on the restructure of its international joint venture with real estate group, The GPT Group ("GPT").

Both parties renewed their commitment to the joint venture for a further 5 years and reorganised management roles and responsibilities, including the appointment of Babcock & Brown to manage the fund. Since its inception in June 2005, the joint venture has invested in a portfolio of assets in excess of $6 billion, across a range of international property markets, including the United States, Australia, and Europe and various sectors, including the residential, retail, office and light industrial sectors. The fund is expected to grow to around $9 billion when the total committed capital of $2.2 billion is fully invested.

Baker & McKenzie's team was led by Steven Glanz and Hal Lloyd. Allens Arthur Robinson advised GPT.

Baker & McKenzie has a long association with Babcock and Brown having handled a number of transactions for the firm over the years.

Arza-Goderich Addresses U.S.-Mexico Congressional Border Issues Conference
Letvia Arza-Goderich, Of Counsel to the Los Angeles office, was invited to speak at the Eleventh Annual U.S.-Mexico Congressional Border Issues Conference, presented by the U.S.-Mexico Chamber of Commerce, held in Washington, D.C., on June 7, 2007.

Arza-Goderich, who focuses her practice in the real estate and hospitality areas, was a panelist for a session which addressed "Sustainable Development in Real Estate in Mexico."

Originally from Cuba, Arza-Goderich has lived in and practiced law in the District of Columbia, Florida, Puerto Rico and California. She has developed a broad background in the areas of real estate, admiralty, litigation, international and commercial law.

Ulmer & Berne LLP Partner, Michael N. Ungar Appointed to the Cleveland Bar Association’s Board of Trustees
Michael N. Ungar, Chair of Ulmer & Berne LLP’s Litigation Department and a member of the Firm’s Management Committee has been appointed as one of six new Trustees for the Cleveland Bar Association (CBA). Sworn in Friday, June 29 at the CBA’s annual meeting, Mr. Ungar will serve a three-year term.

Mr. Ungar was recently recognized by his peers as one of the Top 10 attorneys in Ohio. His national business litigation practice encompasses a broad range of general business disputes, with a focus on banking, securities and broker-dealer matters, including arbitrations, class actions and other types of complex litigation. He also frequently serves as a mediator and arbitrator in complex business disputes. Mr. Ungar has recently been recognized in Chambers USA: America’s Leading Lawyers for Business in the area of litigation. According to client feedback obtained during the selection process, he is described as “a razor-sharp litigator and all-around high class guy.” Mr. Ungar also has been distinguished in Best Lawyers in America, Ohio Super Lawyers and Inside Business magazine’s list of Leading Lawyers. He received his J.D. from Boston University School of Law in 1984.
