Simpson Thacher Named to A-List
The American Lawyer magazine published its 2007 "A-List" ranking, naming Simpson Thacher & Bartlett LLP as one of the nation’s law firm elite. Drawn from four different ALM rankings of the nation’s largest firms, the 20-member A-List looks beyond simple business results to identify firms that set the standard for their peers in areas including:

* Diversity, as a measure of each firm’s track record in hiring and retaining minority lawyers
* Pro Bono, as a measure of each firm’s fulfillment of its professional requirement to contribute high-quality, free legal services to indigent clients and community service and non-profit organizations.
* Associate Satisfaction, as a measure of each firm’s training and development commitment
* Economic Performance, as a measure of the success of a firm’s practice and an approximation of client quality and satisfaction

A weighted ranking of firms is created from these factors for all Am Law 200 firms, based on data collected for various surveys throughout the year. The top 20 firms comprise The A-List. The A-List firms will be honored at The American Lawyer’s 4th Annual Awards dinner, to be held October 24th at Cipriani in New York City.

Shearman & Sterling Represents Equinix in its First UK Acquisition
A cross border team from Shearman & Sterling LLP is representing Equinix Inc. in its first public UK acquisition. On 28 June 2007 Equinix announced a recommended offer for IXEurope, the specialist datacenter solutions company, valuing the company at approximately £243 million.

Equinix is the leading provider of network-neutral data centers and Internet exchange services for enterprises, content companies, systems integrators and network services providers.

This strategic acquisition by Equinix fits with its plans of continued expansion to facilitate comprehensive solutions to its customers on a global basis.

Lois Moore, partner at Shearman & Sterling, commented: "We were honoured to act for Equinix in this land mark deal which marks its expansion into Europe. This transaction is an excellent example of how Shearman & Sterling’s offices work together on a cross border basis to provide clients with seamless advice across different jurisdictions."

The Shearman & Sterling team advising on the deal was lead in London by M&A partner Lois Moore and Finance partner Clifford Atkins and included Tax partner Michael McGowan, and ECEB counsel Paula Holland.

In San Francisco the team included Capital Markets partner Mark Hyland, Finance partner Steven Sherman and Tax partner Larry Crouch.

M&A advice from Germany and France was provided by Astrid Krüger and Jacques Naquet-Radiguet.

McDermott Advises on Ground Breaking Restructuring of Schefenacker Group
The International law firm of McDermott Will & Emery has announced the closing of the corporate restructuring of the Schefenacker Group on Friday 29th June 2007. McDermott Will & Emery advised the owner of the Group, Dr Alfred Schefenacker on all aspects of the consensual restructuring.

UK-based Schefenacker Group plc is a global market leader in the manufacture of mirrors, lighting and other products for the world’s leading auto makers with 2005 sales of €930 million and 7,900 employees on 27 sites in 14 countries across Europe, the United States, Asia and Australia.

The company is undergoing a comprehensive financial and operational restructuring which has been affected by means of a novel transformation and migration of the group holding company from a German Aktiengesellschaft (AG) into an English public limited company (PLC), followed by an English law company voluntary agreement (CVA). On implementation of the CVA and the closing of related refinancing and equity recapitalisation, the Schefenacker Group restructured over €500 million (£340 million) of debt, including senior and revolving debt, second lien debt, high yield bonds and various other obligations.

The CVA was recognised under Chapter 15 in the US Bankruptcy Courts. Under the CVA holders of €200 million senior subordinated bonds will swap these for equity and cash.

Dr Alfred Schefenacker will inject €20 million (£13.6 million) in the new mezzanine financing, cancel €100 million (£68 million) in claims and retain an approximately 25 percent stake in the new company.

Commenting on the conclusion to the transaction Rick Mitchell, head of US securities practice in the London office of McDermott said: "This is the first time these various elements have been used together in this manner."

He continued: "Negotiations with the various stakeholders were extremely complex. The successful outcome reflects a consensus among these stakeholders. This is a victory for consensus and common sense."

Mr. Mitchell led the team, with finance partner Georgia Quenby leading the English law team in London assisted by finance lawyers Loyala de Silva, Kate Geraghty and Razia Begum with Stuart Sinclair providing tax advice. The German law team in Dusseldorf was led by partners Uwe Goetker and Norbert Schulte assisted by corporate lawyers Malte Iversen and Oliver Köster, partner Dirk Pohl providing German tax advice and partner Volker Teigelkoetter providing employment advice.

Loeb & Loeb Further Bolsters its Intellectual Property Litigation Team
Loeb & Loeb LLP announced that Warren MacRae will join the firm’s New York office as a partner in the firm’s Intellectual Property Litigation Group. He joins the firm from Bryan Cave LLP’s New York office where he was also a partner.

MacRae brings with him a strong background in chemical patent matters, with particular emphasis in the areas of pharmaceuticals, biotechnology, polymer technology and food chemistry.

“Warren’s vast experience in chemical patent litigation matters will complement our rapidly expanding patent group. Warren is the twelfth attorney to join our group in the last five months,” said Barry Slotnick, Partner and Chair of Loeb & Loeb’s Intellectual Property Litigation Practice Group.

While much of his practice is devoted to patent litigation and litigating interferences, MacRae regularly counsels clients in the areas of patent validity, infringement and enforceability. In addition, he represents clients before the United States Patent and Trademark Office, focusing on prosecution and appeals in strategically important patent applications. Warren successfully prosecuted Natta et al., US Patent No. 6,365,687, entitled “PROCESS FOR THE POLYMERIZATION OF CERTAIN UNSATURATED HYDRO CARBONS” which claims Noble Prize winning Ziegler-Natta catalyst systems and was pending for nearly 50 years; and Parodi et al., US Patent No. 6,194,342, entitled “COMPONENTS AND CATALYSTS FOR THE POLYMERIZATION OF OLEFINS” which was pending for 20 years.

Complementary to his work in the field and in addition to his J.D., MacRae earned his B.S., cum laude, with honors in chemistry and his M.S. in organic chemistry from St. John’s University. Prior to working at Bryan Cave, he was an associate at Vogt & O’Donnell, LLP.

Goncharsky Elected President of State Bar Young Lawyers Division
Lewis and Roca is pleased to announced that Abbe M. Goncharsky, an attorney with the firm’s Tucson office, has been elected President of the State Bar of Arizona Young Lawyers Division.

Goncharsky is a member of the Employment and Commercial Litigation groups, concentrating her practice on representing businesses in state and federal courts, before administrative agencies and in governmental investigations. She speaks regularly, is a contributing author to multiple publications, and provides training to employers in employment law topics, particularly on issues related to the Fair Labor Standards Act and Family and Medical Leave Act. In 2006, she was recognized as an “Up and Comer” by Inside Tucson Business and received the 2005 Lifesaver Award from the Volunteer Lawyers Program for her work on legal relief efforts for victims of Hurricane Katrina.

Goncharsky received her J.D. (2002, cum laude) from the University of Arizona, James E. Rogers College of Law, her B.S. in Psychology (1999, magna cum laude) and B.A. in Sociology from Tulane University (1999).

Kramer Levin Assists RiskMetrics Group in its Agreement to Acquire Industry-Leading Forensic Accounting Research Company
Kramer Levin client RiskMetrics Group, parent company of proxy advisory firm Institutional Shareholder Services, announced on July 2 that it has agreed to acquire forensic accounting firm Center for Research & Analysis (CFRA) and will name its chief executive, Rich Leggett, as head of ISS.

Howard Spilko, Andrew Ward, Ari Edelman, Barry Herzog, Tamika Cushenberry, Kevin Moss and Avram Cahn worked on the deal, with critical input from Abbe Dienstag, Richard Gilden, Ernie Wechsler and Jeff Taylor.

Last November, RiskMetrics acquired ISS, the largest U.S. firm advising shareholders how to vote on corporate matters like mergers and board elections. It has over 900 employees and an annual revenue of $210 million.

CFRA is majority owned by private-equity firm TA Associates.
