Leading Food Law Attorney, Venable’s Michael T. Roberts, to Teach Online Class on Asian Food Regulation, for Michigan State University
Noted Venable LLP food attorney Michael T. Roberts will lead a new online course on Asian food law and regulation, offered this fall by Michigan State University's College of Agriculture and Natural Resources. The course is a new offering in the university's highly-esteemed Institute for Food Laws and Regulations (IFLR).

The class is intended for lawyers, scientists, food industry professionals, government regulatory employees, and executives from international food companies - "or basically anyone who wants to understand the laws and regulatory complexities, including the cultural and socio-economic factors, of the flow of food and agricultural products in Asia," Mr. Roberts explained. "The curriculum we've developed is extremely practical, not just academic - this is really the first course of its kind."

The course is expected to cover food law issues across the entire Asian continent, from Japan and the Pacific Rim, to China, South Korea, Vietnam and the southern peninsula, as well as India.

Course material will be broken down into 12 modules, each lasting one week and covering a particular country and topic developed and presented by a specialist from that particular country. Mr. Roberts developed a module and created the instructional materials on food safety and trade issues. He will also lead student interaction for all modules.

Mr. Roberts will be joined by an international faculty of food law and food industry professionals, including Dr. Fang Ming, who teaches at the East China University of Science and Technology in Shanghai, China, and Neal D. Fortin, director of Michigan State's Institute for Food Laws and Regulations.

"We hope the information shared through this unique collaboration will be essential for any food company planning an expansion into the Asian market," Mr. Roberts said.

The new class begins as China faces intense scrutiny over recent lapses in quality control and food safety, including scares caused by tainted pet food ingredients and contaminated and counterfeit toothpaste. Mr. Roberts' course also follows the Chinese government's recently-announced five-year plan to overhaul its food and drug safety administration.

Among the topics to be covered in the new course offering:

* Overview of food law in Japan, China and other East Asian, Pacific Rim and South Asian countries
* International institutions and the regulation of food in Asia (Codex Committee for Asia; Association of South East Asian Nations
* Emerging food safety laws and issues in Asia
* Emerging nutrition and health issues such as functional/novel foods and obesity
* Emerging food trade law issues in Asia

Mr. Fortin commented about the new class, "There is so much going on with Asia right now - not least the booming growth in consumer food exports - that we felt it was necessary and timely to offer a distinct course offering focusing on this burgeoning market."

Messrs. Roberts and Fortin noted that the creation of this course was also driven by requests from current Michigan State University food regulation students who were finding it extremely difficult or impossible to locate accurate and current food regulations and information on cultural aspects and trade topics necessary to do business in the various Asian countries.

RECORD FINE IN VENEZUELA COMPETITION CASE
Global law firm Squire, Sanders & Dempsey L.L.P. represented Distribuidora Glasgow, C.A. in its recent landmark victory in a competition case that resulted in a record US$3.2 million fine and might presage increased scrutiny of competition law in Venezuela.

Distribuidora Glasgow was represented by Squire Sanders Caracas lawyers Hernando J. Diaz-Candia, managing partner, Bernardo Weininger and Arghemar Perez. Squire Sanders’ client Distribuidora Glasgow and another company that sells alcoholic beverages claimed their competitor Diageo used exclusionary contracts to distribute and market its wares.

According to complaints, the company used sponsorship contracts to require bars and restaurants to stock its iced vodka and whisky brands. After a two-year legal battle that unearthed additional competition complaints, the Venezuela Competition Authority fined Diageo US$3.2 million, the second largest such fine in the authority’ s history, and fined a second company US$1.31 million.

“The decision is expected to change the way that companies in Venezuela use on-site sponsoring and advertising arrangements as a way to increase product sales,” Diaz said. “The Venezuelan Competition Authority has established a more direct connection between sponsorships and sales, and hence established increased competition law scrutiny.”

SQUIRE SANDERS ADVISES LEADING CEE INVESTMENT BANK ON DEAL WITH LARGEST INVESTMENT BANK IN ICELAND
Global law firm Squire, Sanders & Dempsey L.L.P. has advised Wood & Company, a leading independent investment bank in central and southeastern Europe, on the acquisition of a 50 percent stake in the bank by Straumur-Burdaras, Iceland’s largest investment bank, for an undisclosed sum.

Wood & Company, headquartered in Prague with a presence in Slovakia and Poland, is the largest securities trading company on the Prague Stock Exchange. It is also a member of the Vienna, Frankfurt, Warsaw and Budapest Stock Exchanges.

The acquisition of a stake in Wood & Company will broaden Straumur’s geographic base and increase the proportion of net interest and fee commission income in relation to its gross income. Wood & Company will benefit from Straumur’s strong balance sheet and integrated business model, enabling it to build on its successful growth and increase the range of services it offers its clients.

Straumur has the option to acquire 100 percent of Wood & Company no later than early 2011. Wood & Company is owned by four partners who have all committed to continue to run the company in partnership with Straumur.

Mara L. Babin, partner in Squire Sanders London office and lead partner on the deal, said, “Due to the vibrant, expanding markets in Central and Eastern Europe, most of the deals we advise on in the region have a cross-border element. There is a lot of investment coming into these countries and, as a result, companies are growing and expanding throughout Europe. Therefore our teams are ideally placed to advise on transactions that span more than one European jurisdiction.”

In addition to Babin, the Squire Sanders team included Radek Janecek and Jakub Stransky from the firm’s Prague office, and Peter Vaines, Jeremy Norman and Carmelo Lam from the London office.
