Thompson Selected Chief Legal Counsel for Jail Authority
Ken Thompson was recently selected as chief legal counsel for a regional jail authority that had been established by the cities of Vestavia Hills, Mountain Brook and Homewood for the Birmingham-Jefferson County area. Among other duties, Mr. Thompson will help the authority organize, write bylaws, and navigate public safety and tax policy.

Mr. Thompson is a member of Hand Arendall in its Birmingham office. He has experience in a wide variety of practice areas, including, business and commercial law, business organizations, mergers and acquisitions, municipal law, estate planning, probate, real estate, and estate planning, with special emphasis on tax matters. He also serves as general counsel to the Jefferson County Mayors Association.

On the Air: Atty. Catino Outlines Brownfield Taskforce Recommendations on WTIC
Halloran & Sage Attorney Ann Catino was recently interviewed by WTIC-AM's radio talk show host Colin McEnroe during his "Afternoon Drive" program.

Highlights of the interview included Ms. Catino outlining the benefits of Brownfields' legislation. Catino, a co-chair of the Brownfield Legislative Taskforce, discussed the effects of Brownfields legislation in CT, "If you could turn these properties around and turn them into jobs, [then] turn them back into community development so you enhance the tax base...it's win-win for everyone and for the environment, because these contaminated properties get cleaned up."

Tom Burger teaches seminar on U.S. Discovery Procedures in Europ
Tom Burger, a partner, recently taught a two-day seminar on U.S. discovery, entitled U.S. Discovery: Where The Battle Is Often Won Or Lost.
This seminar was sponsored by Forum Institut für Management of Heidelberg, Germany. This seminar was directed toward a European audience, including patent attorneys, in-house counsel, and attorneys at law, and it was held in Salzburg, Austria. Many European attorneys know that their European clients may one day become involved in U.S. legal proceedings. They recognize the need to increase their familiarity with U.S. discovery procedures. However, they also know that this objective can be difficult to achieve, in part because most European countries have little or no pre-trial discovery.

For these reasons, this seminar emphasized real-world examples derived from a 12 year dispute between a Cincinnati-based client and a Fortune 50 company. The dispute involved a patented medical device protected by a well-known trademark, and it also involved a number of extraterritorial issues. This dispute supplied a broad range of discussion topics for the diverse European audience. One such topic involved the use of U.S.-discovered documents to support a request for a German police search and seizure, a request that the German court eventually granted. The seminar participants had an opportunity to review actual discovery documents, plus court filings, due to the federal court s decision to unseal the pleadings.

Veolia Environnement in $788 Million Thermal Acquisition
Cleary Gottlieb represented Veolia Environnement in its subsidiary Veolia Energy North America’s $788 million acquisition of all of Thermal North America, Inc.’s capital stock from a Sowood funds-affiliated entity. The acquisition is Veolia Energy’s largest in North America to date. The deal was signed in early June and is expected to close during the fourth quarter of 2007 or first quarter of 2008, pending regulatory approvals.

Long-time client Veolia Environnement is the world leader in environmental services. It provides tailored solutions worldwide to meet the water, waste and energy management, and freight and passenger transportation needs of municipal and industrial customers.

TNAI is the holding company of the Trigen Companies, which own and operate the largest portfolio of district heating and cooling networks in the U.S.

People’s United in $1.9 Billion Chittenden Acquisition
Cleary Gottlieb is representing People’s United Financial, Inc. in its pending acquisition of Chittenden Corporation for about $1.9 billion in stock and cash. The deal was announced on June 27 and is expected to close in the first quarter of 2008.

People’s is the holding company for People’s United Bank, one of Connecticut’s largest banks. Chittenden is headquartered in Burlington, Vermont and operates six subsidiary banks in New England. With approximately $22 billion in assets and more than 300 branches in New England, the combined company will be the largest independent regional banking franchise headquartered in New England.

Goldman Sachs in $550 Million Mortgage Loan Origination
Cleary Gottlieb represented Goldman Sachs Mortgage Company in its origination of a $550 million mortgage loan to an affiliate of The Macerich Company. The fixed rate loan refinanced, and is secured by the Scottsdale Fashion Square mall. The loan funded on July 2.

GSMC is Goldman Sachs & Co.’s commercial mortgage lending affiliate. Macerich is one of the country’s largest owners, operators and developers of major retail properties. Macerich is active in key markets including Arizona, California, the New York metropolitan area, and suburban Washington, D.C. The Scottsdale Fashion Square, located in Scottsdale, Arizona, is a major regional mall with more than 225 retailers. The mall is anchored by Neiman Marcus, Macy's, Nordstrom and the largest Dillard's store in the country.

Gide Loyrette Nouel advises Eni on its partnership with Altergaz:
Gide Loyrette Nouel advised the Italian oil and gas supplier, Eni (listed on the Milan and New York exchanges) in connection with its strategic partnership with Altergaz (listed on the Euronext “Free Market”), the leading independent gas supplier in France. This partnership will further the company’s development strategy and growth potential in the French gas market and strengthen its leadership in European gas supply. A ten year gas supply contract will also sustain and accelerate the commercial development of Altergaz to take advantage of the liberalisation of the residential gas market in France.

Eni will initially acquire a 2.5% stake in Altergaz and then benefit from an € 18.9 million reserved capital increase affording it a 27.8 % stake in Altergaz. A shareholders’ agreement is also due to be signed by the transalpine group and the Altergaz founders to exercise joint control over the company.
