Thomas & Betts Acquires Joslyn Hi-Voltage and Power Solutions Businesses from Danaher Corporation
Davis Polk & Wardwell is advising Thomas & Betts Corporation on its acquisition of the Joslyn Hi-Voltage and Power Solutions businesses from Danaher Corporation. Thomas & Betts is a leading manufacturing of electrical components used in construction, industrial and utility markets.

Joslyn Hi-Voltage offers a broad range of high voltage electric switches, reclosers, vacuum interrupter attachments and related products used mainly by electric utilities. Power Solutions offers a broad range of products and services designed to ensure a high quality, reliable flow of power to commercial and industrial customers for mission critical applications such as datacenters.

According to the terms of the transaction, Thomas & Betts will acquire both businesses for approximately $280 million in cash. The transaction is subject to the satisfaction of certain customary closing conditions and is expected to close in the third quarter of 2007.

The Davis Polk corporate team includes partner Paul R. Kingsley, associates Terry F. Crawford Jr. and Gloria Qiao and summer associate Stephen Witthuhn, all of the New York office. Partner Kathleen L. Ferrell and associate Kimberley A. Champlin, both of the New York office, are providing tax advice. Partner Steven S. Weiner of the Menlo Park office and associates Frank J. Azzopardi and Marie-Christine Eldridge, both of the New York office, are providing intellectual property advice. Associate Stephen M. Pepper of the New York office is providing antitrust advice. Matthew Cohen of the New York office is the paralegal on the transaction.

PROS Initial Public Offering
Davis Polk & Wardwell advised J.P. Morgan Securities Inc. and Deutsche Bank Securities Inc. as the joint book-running managers and Jefferies & Company, Inc. and Thomas Weisel Partners LLC as co-managers of the $80.29 million initial public offering of 7,848,750 shares of common stock of PROS Holdings, Inc.

PROS, based in Houston, Texas, is a leading provider of pricing and revenue optimization software.

The Davis Polk corporate team included partner Martin A. Wellington, associates Zachary Patton and Dharini Mathur and legal assistants Karla K. Rogers and Michael Nguyen, all of the Menlo Park office. Partner Steven S. Weiner and associate Vishnu Reddy of the Menlo Park office provided intellectual property advice. Partner Rachel D. Kleinberg of the Menlo Park office provided tax advice. Counsel Cynthia Akard of the Menlo Park office provided employee benefits advice and associate Rachel J. Strum of the New York office provided '40 Act advice. The NASD team included counsel Marcie A. Goldstein and legal assistant Peggy Ann Petercsak of the New York office.

Paul, Weiss and NYCLU Vindicate Rights of Nursing Woman
Paul, Weiss, working in partnership with the New York Civil Liberties Union ("NYCLU"), settled discrimination claims against Fossil, Inc. The claims arose from Fossil's harassment of a woman who attempted to breastfeed her eight-week-old son while on a buying trip in the company's Manhattan showroom in August 2006. In violation of New York Civil Rights Law, which provides that a mother has a right to breastfeed her baby "in any location, public or private, where the mother is otherwise authorized to be," Fossil employees expelled Ms. King from its showroom and, several months later, banned her from returning. As part of the settlement, Fossil formally apologized to Ms. King, compensated her for her damages and issued a policy affirming that breastfeeding is allowed in all Fossil stores and showrooms. This is the second breastfeeding rights victory for Paul, Weiss and the NYCLU: the two previously advocated on behalf of a woman who was harassed for breastfeeding at Toys R Us, resulting in Toys R Us issuing a policy affirming the rights of breastfeeding women and children. The Paul, Weiss team included litigation partner Roberta Kaplan and litigation associates Lisa Ruesch and Ralia Polechronis.

Christopher Heck Elected to Board of The Los Angeles County Bar Foundation
Foley & Lardner LLP announced today that Christopher J. Heck, senior counsel in the firm's Los Angeles office, has been elected to serve on the board of directors of the Los Angeles County Bar Foundation (LACBF) for a three-year term.

He will start his term July 1, 2007 and his main responsibilities will include raising money for projects sponsored by the Bar Association and other local legal services projects, serving on the Grants Committee and actively participating in the management of LACBF.

Heck is a member of the firm's General Commercial Litigation and Antitrust Practices. His practice focuses on antitrust and trade regulation, commercial contracts and insurance coverage disputes. He is a member of the American Bar Association's Antitrust section, as well as the Los Angeles County Bar Association's Litigation and Antitrust Trade Regulation sections. He has served as a board member of the Disability Rights Legal Center since 2004 and is now the treasurer.

The LACBF is the non-profit charitable arm of the Los Angeles County Bar Association. It has been raising money for law-related programs serving the underprivileged in Los Angeles County since 1967. Programs funded by LACBF encompass a wide range of services including, but not limited to, assisting victims of domestic violence, providing immigration services, offering alternative dispute resolution and teaching youth their rights and responsibilities under the law.

The board of directors oversees the management of the Foundation and maintains the financial health necessary to accomplish the Foundation's objectives. Board members are selected for their leadership in the legal community, managerial and professional skills, fundraising abilities and an interest in supporting the LACBF mission.

Foley Attorney Appointed Chair of Winter Park Economic Development Advisory Board
Michael Gay, managing partner of the Orlando office of Foley & Lardner LLP, has been appointed chair of the 14-member Winter Park Economic Development Advisory Board for 2007-2008.

The Winter Park Economic Development Advisory Board is charged with providing periodic recommendations for economic development initiatives to the City Commission. In addition, the Board makes annual recommendations regarding the City's commercial redevelopment, annexation for economic development and incentives for sustainable development.

Gay is a member of Foley's General Commercial Litigation and Intellectual Property Litigation Practices, as well as the Entertainment & Media Industry Team. He handles a variety of commercial disputes, including restrictive covenant litigation, patent and trademark litigation, environmental litigation, health care litigation and contract disputes.

Gay graduated from Duke University (J.D., with honors, 1990) and Tulane University (B.S., electrical engineering, 1987). He was admitted to the Texas Bar in 1990 and The Florida Bar in 1992..

Law & Politics Selects 17 Ulmer & Berne LLP Attorneys as Ohio Super Lawyers Rising Stars 2007
Ulmer & Berne LLP, one of Ohio’s largest law firms, announced that 17 of its attorneys have been recognized as Ohio Rising Stars for 2007. According to Law & Politics magazine, Rising Stars are outstanding young attorneys representing a wide range of practice areas, firm sizes and geographic locations.

Each year Law & Politics asks Ohio Super Lawyers to nominate the best up-and-coming attorneys they have personally observed in action – whether as opposing counsel or co-counsel, or through other first-hand courtroom observation. In addition to the general survey, the credentials of all candidates are reviewed by an attorney-led research team to confirm that nominees are properly licensed, in good standing with the state licensing agency, and have no history of disciplinary action that would warrant removal from the list. In the final stage of the selection process, the research team considers firm size, practice area and geographic location to ensure the list of Rising Stars is well-balanced. To be eligible for selection, an attorney must be age 40 or younger or in practice for 10 years or less. According to Law & Politics, only 2.5 percent of the attorneys in Ohio are selected as Rising Stars.
