Equinix in Proposed $482 Million IX Europe Acquisition
Cleary Gottlieb is representing Citigroup Global Markets Inc. as financial advisor to Equinix Inc. in its proposed acquisition of IX Europe plc under a "UK scheme of arrangement," a type of UK merger process. The deal is worth approximately £241 million ($482 million), or about 125p per share.

Equinix is the leading global provider of network-neutral data centers and internet exchange services for enterprises, content companies, systems integrators and network services providers. IX Europe is a leading provider of co-location centers in Europe.

Smith Moore Adds Diana Palecek to Real Estate Practice Group
Smith Moore LLP has added Diana Palecek to its real estate practice group. Palecek will focus her practice on commercial real estate transactions and development, representing lenders and developers.

Palecek will work from Smith Moore's Greensboro office for several weeks before officially moving to its recently opened Charlotte office in late July. Smith Moore's real estate practice extends throughout the state and according to the firm's real estate practice leader, Brian Byrd, Palecek's work from the Charlotte office will expand the firm's capabilities in one of the fastest-growing regions of the state. "Diana is a highly respected real estate and finance lawyer. Her presence will bolster our ability to serve real estate clients with projects in Charlotte, western North Carolina, and South Carolina, as well as clients in Charlotte's financial services industry."

Palecek served for eight years at Wachovia Bank as counsel to its commercial real estate and secured lending department. Since 2001, she has been with Lincoln-Financial Group as in-house counsel, serving its investment department and representing the company in connection with mortgage loan and real estate investments, as well as other real estate matters. "I am excited to have joined a highly respected firm and practice group," said Palecek. "I look forward to contributing my knowledge of the financial services industry as I represent clients of Smith Moore's real estate practice group."

She is a graduate of Erskine College and Wake Forest University School of Law. She's a fellow in the American College of Mortgage Attorneys and has served on the North Carolina Bar Association Real Property Council, the Greensboro Pregnancy Care Center Board of Directors, and the Erskine College Alumni Board.

RAILROAD AGAIN PREVAILS IN SUIT BY MS.PALSGRAF OVER FIREWORKS - A. THOMAS LEVIN AS "CHIEF JUDGE"
As part of its mission to preserve New York's legal history, the Historical Society of the Courts of the State of New York presented its third reargument of one of the state's most famous tort law cases - Palsgraf v. Long Island Railroad Co.

The program, held on June 26 at the headquarters of Nassau County Bar Association, a co-sponsor, featured local lawyers, judges and governmental officials in the roles of advocates and members of the Court of Appeals. Among the 75 was Dee Owen, one of Helen Palsgraf's granddaughters.

The case stemmed from a 1924 accident in which a man carrying a package jumped unsteadily aboard a car of a moving Long Island Railroad train at the Jamaica station.

An employee attempted to help the passenger. The package, which contained fireworks, fell on the rails and exploded. The shock from the explosion reportedly knocked down scales at the other end of the platform, injuring Ms. Palsgraf, who sued the LIRR claiming that the negligent acts of the employee caused her to be injured.

A trial court awarded her $6,000, which was upheld by the Appellate Division, Second Department. However, the Court of Appeals, led by Chief Judge Benjamin Cardozo, reversed the decision and dismissed the case, holding that the railroad owed no duty of care to Ms. Palsgraf, 162 NY 99 (1928).

The "judges" at last week's program included A. Thomas Levin of Meyer Suozzi English & Klein; Thomas A. Suozzi, Nassau County executive; Judge Susan Kluewer of Nassau District Court; Justice Ute Wolff Lally of Nassau Supreme Court; and Jonathan A. Dachs of Shayne, Dachs, Stanisci, Corker & Sauer.

John P. Bracken, of Islandia-based Bracken & Margolin, argued on behalf of Ms. Palsgraf, and Eileen R. Kaufman, a professor at Touro Law Center, argued on behalf of the railroad. Former Court of Appeals Judge Albert Rosenblatt hosted the event.

The evening ended with a 3-2 decision upholding Judge Cardozo's original ruling. Judge Kluewer and Mr. Dachs voted for Ms. Palsgraf and Justice Lally, Mr. Suozzi and Mr. Levin voted for the railroad.

The historical society's fourth moot court-style re-enactment reargument is in the works for Albany. So far, two of the three panels have upheld Judge Cardozo.

Elizabeth M. Garcia and Paul C. Kalac Promoted to Counsel
Regional law firm Parker McCay announced today the promotion of Elizabeth M. Garcia and Paul C. Kalac to counsel.

Ms. Garcia concentrates her practice in the areas of civil rights and government liability, labor and employment, and municipal and government relations. She counsels numerous public sector employers with regard to a wide variety of employment issues, and she serves as special labor counsel to various New Jersey municipalities.

Ms. Garcia earned her law degree from Temple University School of Law and received a bachelor’s degree from Wheaton College. A resident of Woolwich, N.J., Ms. Garcia joined Parker McCay as an associate in 2000. She works in the firm’s headquarters in Marlton, N.J.

Mr. Kalac represents public school boards of education in all areas affecting their operation. He focuses on special education law, representing dozens of school districts throughout New Jersey. Mr. Kalac also serves as labor negotiator representing school districts in bargaining for collective negotiation agreements.

Mr. Kalac earned his law degree from Quinnipiac College School of Law and received a bachelor’s degree from Boston College. A resident of Yardley, Pa., Mr. Kalac joined Parker McCay as an associate in 2002. He works in the firm’s office in Lawrenceville, N.J.

Holland & Hart Celebrates 60 Years By Giving Back To Community
The law firm of Holland & Hart LLP celebrates its 60th anniversary this month. As the centerpiece to its anniversary celebration, the firm announced yesterday that it is making a challenge grant of $100,000 to foster education, hunger and homelessness projects, with an emphasis on the needs of children, under the leadership of the Holland & Hart Foundation.

The firm's 13 offices are each being challenged to develop a landmark project with the goal of 100 percent participation. The offices will use the $100,000 to magnify volunteer efforts within the community either through individual office projects or joint projects undertaken by multiple offices. These projects will be chosen by each office's local Foundation representatives.

"The firm's monetary contribution is just the seed money, which the firm hopes will help unleash the time, energy, and participation of everyone in the firm, building community within by helping our wider communities," said Chairman Paul Phillips in a firm-wide announcement. With the grant, the firm challenged each office and individual to match the gift through either time or additional financial support in order to double the total contribution from the firm and Foundation.

For the 60th anniversary, Holland & Hart has doubled the amount it contributed to a community project on its 50th anniversary. In 1997, the firm celebrated its 50th anniversary by building a Habitat for Humanity house in Denver, Colo. The firm's commitment included providing the volunteers to help build and $50,000 for the materials necessary to construct the house. Ten years later, with expanded volunteer and monetary resources, the firm and Foundation hope to see each office carry out a significant project above and beyond what the Foundation accomplishes every day.

"For the past 60 years, Holland & Hart has proven its strong commitment to clients, employees, and the community," said Bob Connery, President of the Holland & Hart Foundation. "With this generous gift, the Foundation will lead the way for the entire firm to honor our past and live up to our principles."

The Holland & Hart Foundation, founded in 1999 by a retired partner and his wife, represents the commitment of Holland & Hart from top to bottom to encourage, enable, and assist each of the firm's employees to work with each other on educational activities and programs that benefit the firm's communities.

Loyens & Loeff advises the buyer of a majority interest in Connexxion Holding
Loyens & Loeff Rotterdam advised a consortium of the French transport company Transdev and Bank Nederlandse Gemeenten in their acquisition of two-thirds of the shares of Connexxion Holding N.V. This is in relation to a provisional resolution to sell that has been submitted for advice to Connexxion's Works Council and for discussion with labour unions. The Loyens & Loeff team advising the consortium consisted of the attorneys Freek Jonkhart, Janneke Kluver, Aldo Schuurman and Richard Waleson. They were supported by various practice groups during the due diligence phase and later, especially by Marije Verweij (attorney), Frank Doornik (attorney), Bart le Blanc (tax attorney) en Hendrik Portengen (civil law notary).

Connexxion and Transdev are pooling their knowledge and experience in passenger transport and operate as a fully-fledged alliance in the Dutch and European markets. The alliance secures a place in the top 4 operators in the European passenger transport market.

Transdev is an internationally operating French transport company and subsidiary of the French Caisse des Depots. It has more than 13,500 employees and operates in eight countries. Transdev is specialised in urban (underground) transport and is a market leader in tram networks and light rail. Connexxion is specialised in bus and taxi transport and water-based transport. Connexxion's name will be maintained.
