Five Seed IP attorneys named as “Super Lawyers” for 2007 by Washington Law & Politics magazine

Seed IP has four attorneys named as “Rising Stars” by Washington Law & Politics magazine for 2007
Seed IP associate attorneys Carol D. Laherty, Mae Joanne Rosok, Emily Woodson Wagner and partner Jim White were each selected as 2007 “Rising Stars” by Washington Law & Politics magazine. A distinguished accolade, a “Rising Stars” honor is bestowed upon those attorneys who have been in practice for under 10 years or are under the age of 40. All “Rising Stars” are nominated and selected by the current year’s “Super Lawyer” honorees.

Best Lawyers in America lists three Seed IP attorneys in its 2007 directory
Seed IP partners William O. Ferron, Jr., Karl R. Hermanns and Richard G. Sharkey have all been chosen as being amongst the best lawyers in America by the “Best Lawyers in America” publication. Mr. Ferron has received this honor annually since 1995; Mr. Hermanns and Mr. Sharkey both since 2005.

Hatfield Coal Mine Re-opens
White & Case advised VTB Bank Europe plc on its £50 million medium-term project finance facility to Powerfuel Mining Limited, a wholly owned subsidiary of Powerfuel plc, to finance the re-opening and operation of the Hatfield Colliery in Doncaster, as well as financing the development of a proposed business park on the same site. The re-opening of the Hatfield coal mine is part of a wider project under development by Powerfuel plc for the coal mine and power in the area.

Hatfield Colliery first opened in 1908, but increasing extraction costs saw it lose out to oil and gas, leading to its closure in 2004. However, rising coal prices have made the fuel economic again and once re-opened, the colliery will produce 2.2 million tonnes per annum and will be among the lowest cost coal producers in the UK. In addition, 350 jobs will be created for local coalminers.

"Coal prices have shot up in the last couple of years as a result of depleting natural gas reserves in the North sea and the high cost of importing gas from the Middle East and Africa. Coal is set to play a considerable part in generating UK electricity over the next decade, which in turn has led to a resurgence in investor demand for UK coal," commented Jason Kerr, the lead White & Case partner advising on the transaction. "The clean coal technology being employed, combined with the employment opportunities on offer, only further highlight the advantages of the Hatfield project."

The White & Case team working alongside Jason Kerr included associates Chris Langdon, Carina Radford and Claire Sellars and trainee solicitor Richard Blackburn. In addition Quentin Gwyer, an associate in the Firm’s Real Estate practice, advised on the property aspects of the transaction.

White & Case has extensive project finance experience in the mining and metals market. Highlights of the Firm’s recent work include: advising aluminium company Global Alumina Corporation, in connection with the issuance of a two-thirds interest in its subsidiary, Guinea Alumina Corporation, Ltd., to DUBAL, BHP Billiton and Mubadala Development for a total issuance price of $260 million; advising Kazakhmys Plc, a Kazakh copper mining corporation, on its $260 million offer to purchase all of the issued and out-standing shares of Eurasia Gold, a Canadian gold mining company listed on the Toronto Stock Exchange; and advising BNP Paribas on its $500 million refinancing of the construction of the RUSAL Khakas aluminium smelter, the first aluminium production facility to be built in Russia in the past 20 years and the longest tenor project financing in Russia to date.

First Ever Upper Tier 2 Regulatory Capital Loan in Russia
White & Case advised ABN AMRO Bank N.V. ("ABN AMRO") on a $200 million subordinated loan to OJSC Russian Agricultural Bank ("RAB"), which is the first ever Upper Tier 2 equivalent regulatory capital financing in Russia.

The subordinated loan has similar characteristics to Upper Tier 2 subordinated debt as defined by Basel rules. In accordance with applicable Russian regulations, the loan, together with all of RAB's other subordinated debt, may constitute an amount up to 100 percent of its Tier 1 capital. It is the first loan of this type to be successfully funded and approved by the Central Bank of Russia. Until now, Russian banks had only been permitted to enter into loans classified as Lower Tier 2 in accordance with Basel rules, which were limited in amount to 50 percent of their Tier 1 capital.

"Lending volumes in the Russian banking sector are continuing to surge and as a result we are seeing increasingly innovative methods to raise the necessary regulatory capital required to balance the rapidly growing loan books of domestic Russian banks," commented White & Case partner Tim Jeveons.

In addition to the RAB transaction, in the same week White & Case advised ABN AMRO on a $250 million Lower Tier 2 subordinated regulatory capital loan to Russian bank OJSC Bank Uralsib. The White & Case team advising ABN AMRO on both transactions was led by partner Tim Jeveons, working closely with associate Carlos Perez.

Butler Interviewed on KING-5 News
Diane Butler, a Lane Powell shareholder who focuses her practice on immigration law and manages the Firm’s immigration practice, was interviewed for a KING-5 news story that aired on July 4 about the difficulty that many foreigners encounter when applying for U.S. citizenship. Butler appeared on-air and discussed the various ways that something as simple as a background check can delay someone’s citizenship application.

DLA Piper advise Peterborough PFI on £446m healthcare project
DLA Piper has advised three NHS Trusts in Peterborough on a private finance initiative (PFI) healthcare project that will include a new state-of-the art acute hospital, a care centre and a new mental health hospital for three health trusts in the region. The £446 m bond finance project finalised by Peterborough and Stamford Hospitals NHS Foundation Trust, Peterborough Primary Care Trust, Cambridgeshire and Peterborough Mental Health Partnership Trust and Progress Health gained government approval in June.

Construction for the 21 Century project will begin this month and will see a new 612-bed acute hospital built on the Edith Cavell Hospital site run by the Foundation Trust, a 102-bed mental health unit built for the Mental Health Partnership Trust and a integrated care centre with 34 specialist rehabilitation beds, a pharmacy, outpatient diagnostic and treatment centre, general rehabilitation services and children’s care centre, which will be run by Peterborough Primary Care Trust. Work on the project is expected to be complete in 2009.

DLA Piper advised the Trusts on all aspects of the funding and management. Nick Maltby, Finance & Projects partner, led the DLA Piper team which also comprised associate, Shahid Nazir, solicitor, Lido Fontana and Adam Rogowski from projects. Lawyers from other practices included Real Estate partner, Andrew Clarke, Employment partner, Kate Payne, Employment associate and Chris Baker.

Nick Maltby said "This is a huge project for the Trust as the largest healthcare scheme the City has ever undertaken. It will provide modern, state-of-the-art healthcare facilities for thousands of people in Greater Peterborough and we were delighted to work with the Trusts to ensure that the project reached financial closure."

The project presented some unique challenges including the vires issues of a three trust deal. It is also the first Foundation Trust to close a project following the Department of Health review of acute schemes in mid June.
