Russ Wofford Joins King & Spalding as Partner
King & Spalding, a leading international law firm, announced today that M. Russell Wofford, Jr., an antitrust lawyer with significant experience handling a broad array of antitrust litigation and counseling, has joined the firm as a partner in its business litigation practice. Wofford brings an extensive background in conspiracy, price discrimination and monopolization matters to the firm’s Atlanta office. He will focus his practice primarily on antitrust matters related to intellectual property issues, especially in the pharmaceutical, biotechnology and medical devices industries.

Wofford joins King & Spalding from Kilpatrick Stockton LLP, where he was a partner. He is a Fellow of the American Bar Foundation, a member of the board of the Antitrust Law Section of the State Bar of Georgia and a contributing editor to Antitrust Law Developments. Who’s Who Legal, the official research partner of the International Bar Association, described Wofford as "highly recommended by clients and peers" for his expertise in antitrust.

Wofford received a B.A. from Princeton University, an M.A. from the University of Glasgow and a J.D. from the University of Chicago. Between college and law school he served as a Ranger-qualified officer in the U.S. Army.

King & Spalding Represents International Lenders In $100 million Saudi Arabia Ship Financing Deal
King & Spalding, a leading international law firm, announced today that it is representing ABN AMRO Bank N.V. and Saudi Hollandi Bank in connection with a US$ 100 million financing of the purchase of a cutter suction dredger by Huta Marine Works Limited from Dutch shipbuilder IHC Holland Beaver Dredgers B.V. The credit facility agreement and associated documents for this transaction were executed in Jeddah, Saudi Arabia.

The financing is the first transaction in which the export credit agency Atradius Dutch State Business N.V. has provided comprehensive insurance coverage on a loan to a Saudi Arabian company.

Cutter suction dredgers are used primarily for capital dredging and land reclamation projects. The dredger to be built for Huta will be used primarily in the development of large-scale coastal projects in the Kingdom of Saudi Arabia, which have been increasing sharply in recent years.

The King & Spalding legal team on the transaction was led by Patrick Campos, of the firm’s Dubai office, with assistance from Robin Balmer, of the London office, and Mohammad Al-Ammar, of the Law Office of Mohammad Al-Ammar (in association with King & Spalding) in Riyadh, Saudi Arabia.

Jackson Walker welcomes two partners, two senior counsels, and eight associates
Chuck Campbell is a partner in the Tax section of Jackson Walker. He represents public and private sector clients in all areas of employee benefits and executive compensation. He regularly assists clients in the design, drafting, and compliance aspects of retirement plans (including 401(k), 403(b), and traditional pension plans), health and disability plans, deferred compensation plans (including handling aspects of 409A and 457 compliance), stock option and other equity compensation plans, severance arrangements, and executive employment agreements. In addition, a significant part of his practice involves representing public pension plans, their trustees, and the governmental entities that participate in or sponsor such plans, and addressing the unique issues that these organizations face.

Mr. Campbell also has extensive experience in handling the employee benefit issues involved in mergers, acquisitions, and other transactions, including the negotiation of related provisions in the controlling agreement and the handling of the various transition issues that always arise in such transactions. Because his practice focus is on federal income tax and ERISA issues, Mr. Campbell also represents clients before the Internal Revenue Service and the Department of Labor.

Mr. Campbell is a member of the National Association of Public Pension Attorneys, the Travis County Bar Association, and the Austin Young Lawyers Association. He was named a "Rising Star" by Texas Monthly magazine in 2005, and in 2006 received the Bronze Leadership Award from Junior Achievement of Central Texas, for which he serves on the Board of Directors and its executive committee.

Mr. Campbell received his B.S. degree from Washington and Lee University and his J.D., with honors, from The University of Texas School of Law.


Paul Watler is a partner in the Litigation and Media sections of Jackson Walker. A board-certified civil trial lawyer focusing on complex commercial litigation, he has won million dollar jury verdicts in federal and state courts for plaintiffs and defendants in business cases. His high-profile court victories include defeating an attempt to use the Wright Amendment to keep a start-up airline from offering long-haul air carrier service from Love Field and winning a defense verdict for a Dallas public company in a suit over the $160 million acquisition of a major market television station. In addition to his success in commercial litigation, Mr. Watler has been widely recognized as one of the leading First Amendment attorneys in Texas.

Mr. Watler's media litigation victories include the first Texas Supreme Court opinion defining a public figure in a libel case, a suit which arose out of the Branch Davidian incident in Waco, Texas. He represented a national news media consortium in arguing to unseal court records in the Oklahoma City bombing case. He has successfully defended Texas newspapers and broadcasters in numerous libel and privacy cases during the past 20 years. Mr. Watler's media clients have included major metropolitan and national newspapers, magazines, and wire services, as well as television stations in Dallas, Houston, San Antonio, Austin, Beaumont, Waco, New Orleans, and Boston.

Mr. Watler has been listed in Best Lawyers in America since 1995, where he is currently recognized in the categories of commercial litigation and First Amendment law. Mr. Watler has been named one of the 250 Best Lawyers in Dallas by D Magazine, was named one of the state's top 135 attorneys in Texas Lawyer's Go-To Guide and has been annually named a "Super Lawyer" in business litigation by Texas Monthly since 2003.

Mr. Watler received a B.J. degree from The University of Texas at Austin and a J.D. degree from The University of Texas School of Law, where he was a member of the Texas Law Review.
Alex Frutos is a senior counsel in the Business Transactions section and a member of the Corporate & Securities and Private Equity practice groups of Jackson Walker. His practice focuses on corporate finance and securities, mergers and acquisitions, and general corporate matters. Prior to joining Jackson Walker, Mr. Frutos worked for Akin, Gump, Strauss, Hauer & Feld, L.L.P. from 1997 to 2007. He became a certified public accountant in 1991, and from 1991 until he entered law school, he was an accountant in the Dallas office of KPMG L.L.P.

Mr. Frutos is a member of the State Bar of Texas, the Dallas and American Bar Associations, the North Dallas Chamber of Commerce, Phi Delta Phi, and the Golden Gavel Honor Society.

He received his B.S.B.A. in International Business Management and Accounting from Georgetown University and his J.D., cum laude, from Southern Methodist University Dedman School of Law.
Carl Glaze is a senior counsel in the Business Transactions section and a member of the Energy practice group of Jackson Walker. He has more than 28 years of experience representing clients in the natural resources area. Mr. Glaze has advised clients with respect to projects in all aspects of exploration, production, transportation, processing, sale, and marketing of oil and gas and other natural resources. He has worked in government, industry, and as outside counsel.

Mr. Glaze is a member of the American Bar Association, including its Environment and Energy Resources Law Section, the State Bar of Texas, including its Oil, Gas and Mineral Law Section, and the Dallas Bar Association, including its Energy Law Section.

He received his B.A. from The University of Texas at Austin and his J.D. from The University of Texas School of Law.


Matthew Beard is an associate in the Tax section of Jackson Walker. His practice focuses on estate planning and taxation. He also has experience with charitable gift planning, fiduciary representation, wills & trusts, family limited partnerships, probate and tax planning.

Mr. Beard is a member of the American Bar Association, the Texas Bar Association, the Dallas Bar Association, and the Dallas Association of Young Lawyers. Mr. Beard served on the board of directors of the Fort Worth-Tarrant County Young Lawyers in 2006-2007.

He received a B.B.A. in Economics from Baylor University, a J.D. from the Baylor University School of Law, and a LL.M. in Taxation from Southern Methodist University Dedman School of Law.


Holly Hawkins is an associate in the Business Transactions section. She represents clients in all aspects of energy transactions and has experience negotiating and drafting energy-related contracts, including interconnection agreements and power purchase agreements. She has advised clients on the development and financing of power plant construction; has counseled clients on renewable energy policies; and has assisted clients in procuring and selling power. She also has experience representing energy clients before various regulatory agencies. Her regulatory experience includes participating in hearings before administrative law judges and lobbying Commissioners and their staff on rulemaking proceedings.

Prior to representing energy clients, she worked in the international trade arena, representing clients in antidumping, countervailing duty, and customs disputes before the U.S. Department of Commerce, the U.S. International Trade Commission, the U.S. Bureau of Customs and Border Patrol, and the Office of the U.S. Trade Representative.

Ms. Hawkins received her B.A. in International Relations from San Francisco State University and her J.D. from Catholic University of America Columbus School of Law.


Ashley Kirk is an associate in the Intellectual Property section whose practice includes patent and trademark prosecution and litigation. She has extensive experience prosecuting patents in the electrical, optical, mechanical, and biological fields, and she specializes in electrical and electro-mechanical technologies, software and computer-related technologies, and business method patents. She has worked for the regulatory and exploratory departments of one of the nation's largest independent oil and gas exploration and production companies.

Ms. Kirk is a member of the Society of Women Engineers, the Institute of Electrical & Electronic Engineers, the Federal Bar Association, the Arizona Optics Industry Association, and the Bioindustry Organization of Southern Arizona.

She has a B.S.E. in Electrical & Computer Engineering from Baylor University and a J.D. from the University of Illinois College of Law.


Annie LeBlanc is an associate in the Business Transactions section of Jackson Walker. Her practice involves representing clients in various business transactions, such as mergers and acquisitions and matters relating to securities.

Ms. LeBlanc has a B.A. in English, cum laude, from Texas A&M University and a J.D. from Paul M. Hebert Law Center, Louisiana State University.
Robyn North is an associate in the Real Estate practice group of Jackson Walker. Ms. North's emphasis is preparation and negotiation of telecommunications leases affecting commercial properties in Texas and other states across the nation. She also advises property managers and landlords on telecommunications issues. Prior to attending law school, Ms. North worked in the telecommunications industry for nineteen years.

Ms. North is a member of the American Bar Association, the State Bar of Texas, and the Tarrant County Bar Association.

She received her B.B.A., summa cum laude, from Dallas Baptist University and her J.D. from Southern Methodist University Dedman School of Law.


Kevin Page is an associate in the Litigation Section of Jackson Walker. His practice primarily involves representing clients in the health care and commercial sectors of industry.

Fried Frank Lawyers Come Together to Play Music for Charity
Prominent lawyers. A historic landmark. The Beatles. A nonprofit helping adults with disabilities. What unites these things? An upcoming performance of The Johnny Esquire Band at The State Theatre in Falls Church on July 17, 2007, where the band will be honored for their charitable work in the DC area.

The Johnny Esquire Band co-founder Tom “Slowfingers” Vartanian – a Washington, D.C.-based banking lawyer at Fried, Frank, Harris, Shriver & Jacobson, and a guitar aficionado, together with Jack Gordon, a litigator at Fried Frank who plays the bass, and a few other professionals will entertain a crowd with popular songs by The Beatles, Eric Clapton and Rolling Stones.

Tom and his band continue to donate their time to play music to raise money for good causes, including the Cystic Fibrosis Foundation, Women in Housing Finance, Thurgood Marshall School Fundraiser, Indian Tech Council 9/11 Charity Benefit and Breast Cancer Fundraiser.

The performance will benefit The Jewish Foundation for Group Homes, a DC area nonprofit that helps enhance the independence and quality of life for adults with disabilities, empowering them through long-term support, personal assistance services and training to enhance independent living skills.

The event will be held at The State Theatre -- originally a movie theatre built in 1936, and now Washington Metro area’s favorite venue for live music events -- in Falls Church’s Historic District.

Freshfields makes new appointments in financial institutions group
International law firm Freshfields Bruckhaus Deringer has made two new appointments in its financial institutions group in London recently, promoting Jonathan Baird to the partnership and Mac Mackenzie to Counsel.

Commenting on the appointments, Will Lawes, co-head of the firm's global financial institutions group said: 'Jonathan and Mac are extremely well regarded practitioners and we are delighted to have them as part of our team. Jonathan Baird

Jonathan first joined Freshfields in December 1994, a year after qualifying. In July 1999 he moved to Altheimer & Gray's Chicago office and became a partner in 2001. While in the United States, Jonathan was admitted to the New York and Illinois bars. He returned to Freshfields in December 2003. He specialises in the formation and marketing of investment funds and has developed a leading reputation in the London market for IPOs of listed funds. He is also experienced in the securities law and regulatory concerns for non-US investment funds planning to access US capital. Jonathan has been closely involved in monitoring and analysing the UK Listing Authority's revisions to the London listing regime applicable to investment companies.

Freshfields advises Norddeutsche Affinerie on public tender offer for Cumerio to form Europe's leading copper maker
Freshfields Bruckhaus Deringer is advising Hamburg based Norddeutsche Affinerie AG ('NA') on its planned public tender offer and merger with Belgian firm Cumerio NV/SA, to form Europe's first pan-European copper maker and processing group with combined revenues of €9.1bn.

Norddeutsche Affinerie will make a public tender offer in cash for all outstanding shares of Cumerio and will offer €30 in cash for each Cumerio share, valuing Cumerio at a total equity value of €777m. The takeover bid will likely be followed by a squeeze-out if at the end of the offer period NA holds at least 95 per cent of the Cumerio shares. The tender offer will be subject to customary conditions, including approvals by EU and Swiss merger control authorities and a minimum acceptance level.

A feature of the structure of the deal is that Cumerio will be integrated into Norddeutsche Affinerie by way of a cross border merger and NA will change from a public limited company to the new pan-European legal structure of a Societas Europaea (SE). Freshfields is advising Norddeutsche Affinerie on the public tender offer to Cumerio shareholders, the financing of the offer and the envisaged restructuring measures.

The two companies together produce about one million tonnes of copper cathodes annually and employ about 4,600 people in production sites in Germany, Belgium, Bulgaria, Italy and Switzerland. NA is listed on the Frankfurt Stock Exchange and Cumerio is listed on Euronext Brussels. The headquarters of the combined business will be in Hamburg.
