Chambers and Partners is a London-based publisher of renowned guides to the legal profession worldwide. Each year, Chambers conducts thousands of in-depth interviews with clients to assess the reputations and expertise of business lawyers throughout the U.S. and all over the world. Over 10,000 interviews were conducted in the U.S. alone for the 2007 edition, carried out by a team of 40 researchers over a period of eight months.

Coller Capital Launches New Technology Venture Fund
O'Melveny recently represented Coller Capital in connection with the launch of a new technology venture fund, established in partnership with Qinetiq Plc and which is intended to acquire seven venture investments formerly incubated within the QinetiQ group, and the associated spin out of a new fund management company, Cody Gate Ventures LLP. QinetiQ was represented by Wragge & Co LLP and the newly formed Cody Gate Ventures LLP was represented by Osborne Clark. The transaction, involving a complex combination of the acquisition of a portfolio of direct investments and the establishment of a new fund on highly bespoke terms, is another example of O'Melveny's London office's pre-eminent experience in this cutting edge area.

QinetiQ sees the new fund as an opportunity to drive faster growth from its venture portfolio by creating an independent team with exclusive management focus and long term capital commitment. The fund, which will be structured as a limited partnership managed by an independent Investment Manager, will have initial assets of £40m. QinetiQ and Coller Capital will each contribute up to £20m of follow-on funding to accelerate development of the fund's portfolio companies. Depending on the performance of the fund, QinetiQ will own up to 75 percent of future economic value.

The new fund's portfolio will comprise partial or wholly owned interests in seven venture assets. The creation of the new fund will free QinetiQ's existing venture team, led by Hal Kruth (Chairman, QinetiQ Ventures) and Mike O'Connor (Managing Director, QinetiQ Ventures), to bring greater focus on incubating core businesses and developing QinetiQ's pipeline of new commercial ventures.

Stephen Lake will leave QinetiQ to become a managing partner of Cody Gate Ventures LLP, the Investment Manager of the new fund and will be joined in the managing partner role by Michael Summers, a former Vice President of SRI International, based in Menlo Park, California. Collectively Michael and Stephen have more than 55 years' experience in forming, accelerating the development of and realizing value from a wide range of early-stage technology ventures.

Jeremy Coller, Chief Executive Officer of Coller Capital whose corporate venture activity includes British Telecom, Shell and Lucent said: "QinetiQ is a world leader in cutting-edge defense and security technologies. Through this joint venture, we will help QinetiQ to make more money faster through an enhanced engagement with commercial markets."

Stephen Ziff, Investment Principal at Coller Capital and responsible for this investment, said: "We are delighted to have had O'Melveny assist us with this exciting transaction. We have worked closely with them over the last of couple of years on a number of transactions and their experience and market knowledge of these types of transactions are second to none."

Completion of the transaction is expected by the end of July 2007 and is conditional upon the transfer of certain of the Ventures' assets into the fund.

The O'Melveny London team included partner John Daghlian together with London lawyers James Ford and Lewis Chong, and trainee solicitor Charlene Cowen. Tax support was provided by partner Jan Birtwell and associate Janice Seah.

Attorneys Poston and Stovall Named Counsel To The Firm
We are pleased to announce that attorneys Sarah W. Poston and Marcy Tench Stovall have been named Counsel to the Firm.

Ms. Poston joined the Firm as an Associate in 1998. She will continue to focus on civil litigation in both Federal and State courts and administrative agencies with particular emphasis on employment and civil rights matters.

Ms. Stovall joined the Firm as an Associate in 1993. She will continue to focus on civil litigation in both federal and state courts. Ms. Stovall concentrates her practice on the representation of professionals including representation of attorneys in disciplinary and malpractice matters

Jamie Platt Lyons Named Managing Attorney of WNCW Perimeter Office
Weissman, Nowack, Curry & Wilco, PC, announces that Jamie Platt Lyons has been named managing attorney of the firm’s Perimeter office. Ms. Lyons, a partner in the firm, is a veteran real estate closing attorney and a former manager of the firm’s East Cobb closing practice.

“Jamie is the ideal attorney to lead the Perimeter office,” said Tonia C. Sellers, managing partner of Weissman, Nowack, Curry & Wilco. “Because she has also practiced in our community association, litigation and commercial real estate sections, Jamie has an unusual depth of legal experience that will be invaluable to our clients in the Perimeter area. Jamie’s leadership will build on the momentum established in this growing office.”

Licensed in 1994 as an instructor for the Georgia Real Estate Commission, Ms. Lyons has taught the Community Association Management pre-licensing course since its inception in 1996 and has received awards for her excellent programs. She has been associated with the firm her entire legal career.

Ms. Lyons co-authored the leading industry publication, The Reference Manual on Community Associations in Georgia, with Seth Weissman, and has written numerous articles for industry publications. A past board member of the Community Association Institute of Georgia, Jamie was admitted to the industry’s prestigious College of Community Association Lawyers.

She received her bachelor’s degree from Cornell University and law degree from Emory University. Ms. Lyons is past president of the Cornell Alumni Association of Atlanta and now serves as the Scholarship and Fundraising Chair of its Board of Directors. She is also on the national Cornell Tower Club Committee.

Actively involved in Congregation Etz Chaim, Ms. Lyons and her husband, Jonathan, reside in East Cobb with their son and daughter.

Founded in 1991, Weissman, Nowack, Curry & Wilco, PC is nationally recognized for its extensive real estate, community association and litigation practices.

Gide Loyrette Nouel Casablanca advised the group Nord Est (North East group) on the transfer of the Compagnie Minière de Touissit (Touissit Mining Company) for € 41 million:
The Gide Loyrette Nouel’s Casablanca office advised the industrial group Nord Est (North East Group) on the transfer of its Moroccan subsidiary, the Compagnie Minière de Touissit (the Touissit Mining Company) (CMT), to a consortium headed by the Truffle Capital investment fund.

CMT, specialising in the extraction, processing and export of lead, zinc and silver ore, realised a reported turnover of € 21.4 million in 2006.

The acquisition price before adjustment is equal to € 41 million.

This transaction is subject to approval from the Moroccan Mining Ministry.

The Gide Loyrette Nouel team comprised Yassir Ghorbal, partner, and Thomas Urlacher, senior associate. Truffle Capital was advised by Rawlings Giles LLP (Jean-Luc Houeiss).

Sutherland Represents Kiawah Resort Associates in Major St. Kitts Resort Joint Venture and Land Acquisition
Sutherland Asbill & Brennan LLP represented Kiawah Resort Associates in a joint venture and major land acquisition to develop the St. Kitts Resort in the Federation of St. Christopher and Nevis.

Kiawah Resort Associates is the Master Developer of the project and is funding 75 percent of the required equity.

The project will consist of at least three five-star luxury hotels, a marina and marina village, two Tom Fazio golf courses, 2,000 home sites, spas, beach clubs and various other amenities, all on approximately 2,300 acres known as the South Peninsula. Construction of the first two hotels, an Auberge Resort Hotel and a Mandarin Hotel, and the marina will commence in early 2008. The entire project will take approximately ten years to complete and will include the development and construction of assets valued in excess of $1.5 billion.

An extensive Development Agreement was negotiated with the local government, which was recently adopted by the St. Kitts parliament as law. The agreement provides for substantial incentives, primarily through tax abatement arrangements and waivers of the application of various regulatory restrictions.

The Sutherland team who maneuvered this complicated financial and partnership structure was led by Real Estate Partner H. Edward Hales, Jr. and included Partner M. Celeste Pickron of the Tax Practice Group, as well as Counsel Ellen S. Smith and Associates Shawn J. Eisenberg and Jason C. Kirkham, all of the Real Estate Practice Group. The Sutherland team will continue to represent the Master Developer as the project progresses, including all construction management, sales, marketing and other resort management services.
