McDermott Counsels Tyco International in Three Way Split
McDermott Will & Emery represented Tyco International Ltd. as lead U.S. corporate, commercial and tax counsel in connection with the tax-free distributions of Tyco Electronics Ltd. (TEL) and Covidien Ltd. (COV) to Tyco’s shareholders.

The spin off resulted in the separation of Tyco International into three independent, publicly traded companies: Tyco International Ltd., Covidien Ltd. and Tyco Electronics Ltd and is believed to be the largest and most complex separation transaction announced to date.

McDermott fielded a multi-disciplinary team of more than 150 McDermott lawyers across five offices and six practice areas to advise Tyco with respect to the U.S. tax, corporate, commercial, employee benefits, intellectual property, real estate, environmental and other regulatory aspects of the transaction.

Hogan & Hartson Deepens Florida Health Care Practice
Hogan & Hartson LLP announced today that Michael P. Levinson, M.D., J.D., has joined the firm’s Miami office and health care practice.

Both an attorney and a physician, Dr. Levinson practices law full-time, focusing on transactional, regulatory, and operational matters for corporate and individual health care clients. He regularly advises hospitals, other providers, medical device manufacturers and suppliers, and managed care companies on a wide range of legal and regulatory issues, including third-party reimbursement, fraud and abuse, self-referral, antikickback, licensing, physician affiliation relationships, and corporate governance, among others. Additionally, he is experienced in transactional matters, including mergers and acquisitions, joint ventures, and network and affiliation agreements.

Dr. Levinson’s depth of experience will broaden the health care capabilities of the firm’s growing Miami office. His transactional and regulatory skills and knowledge will greatly benefit Hogan & Hartson’s existing Florida and national health care clients.

Prior to that, Dr. Levinson was an attorney practicing with the health law groups of other international law firms.

Dr. Levinson currently serves as Chair of the Bioscience Task Force for the Greater Miami Chamber of Commerce.

Dr. Levinson received his law degree from The University of Virginia School of Law; his M.D. from University of Health Sciences/The Chicago Medical School; and his bachelor’s degree from The University of Pennsylvania.

Nicholas Tzitzon Joins Dykema
Dykema announces that Nicholas J. Tzitzon has joined the firm as a Government Relations Professional in its Washington office. Mr. Tzitzon’s practice focuses on helping Dykema clients build partnerships with federal agencies and other policy-makers in Washington. He works with other members of the Dykema legislative team in identifying ways to help clients achieve thought leadership on major national issues, including health care reform and homeland security. He also advises clients on competing for federal grant funding.

Prior to joining Dykema, Mr. Tzitzon was chief of staff in the Justice Department’s Office of Justice Programs, a $3 billion federal grant funding agency. As chief of staff, he managed day-to-day operations and was a senior advisor on a full range of government programs, policies and administrative issues. His Justice portfolio also included issues ranging from counterterrorism to protecting children from online predators. Before joining the Department of Justice, Mr. Tzitzon served as deputy intergovernmental affairs director in the Office of the Secretary of Health and Human Services. Under Secretary Tommy G. Thompson, his responsibilities included linking officials from state, local and tribal governments with federal policy-makers on a full range of health care issues, including Medicare Part D, Medicaid and preventative healthcare. He also coordinated activities in the ten HHS regional offices located across the country and was a reviewer of all HHS grant announcements.

A resident of Alexandria, Virginia, Mr. Tzitzon was awarded the United States Senate scholarship and received his bachelor’s degree from Suffolk University in Boston, Massachusetts.

Leathers Joins Dykema’s Tax And Estate Group In Chicago
Dykema, a premier Midwest-based law firm, today announced the addition of Wade S. Leathers to its Taxation and Estates Department. Leathers, joining the firm from Reed Smith, will be a member in the firm’s Chicago office.

Leathers focuses his practice on tax planning for corporate, partnership and real estate transactions, mergers and acquisitions, joint ventures, restructurings, corporate reorganizations, and tax controversies. He has also advised clients on tax issues associated with workouts and bankruptcies, and on the tax aspects of international transactions.

"Wade is a well respected attorney who brings broad transactional tax experience to the firm, including corporate mergers and acquisitions, partnership, limited liability, company and real estate tax matters," said Rex Schlaybaugh, Dykema’s Chairman and Chief Executive Officer. In his two decades of experience, Leathers has represented clients in obtaining Internal Revenue Service private letter rulings regarding a tax-free spin-off and the restructuring of a tax-exempt entity. He has also negotiated a favorable settlement with the IRS National office on behalf of several executives with respect to the audit of a tax exempt entity and on behalf of a client with respect to a tax shelter investment.

Leathers is a Certified Public Accountant in Iowa and is a member of the U.S. Court of Federal Claims, the U.S. Tax Court, the Court of Appeals for the Federal Circuit, State Bar of Illinois, State Bar of Washington, American Bar Association and the Iowa Society of Certified Public Accountants.

He received a J.D., with distinction, from the University of Iowa College of Law, and an M.A. and B.B.A. in accounting from the University of Iowa.

Partners Awarded for Distinguished Bar Service
Bracewell & Giuliani LLP Houston trial partner Glenn Ballard and Austin managing partner Steve Benesh both received top honors at the State Bar of Texas’ annual convention as the outgoing presidents of their respective local bar associations.

Mr. Ballard, who just completed his one-year term as president of the Houston Bar Association, accepted the Award of Merit for Best Large Bar association. Mr. Ballard is the seventh attorney from Bracewell to be president of HBA, which is the fifth largest metropolitan bar association in the nation.

The Houston Bar also received a Star Award for Mr. Ballard’s introduction of the Equal Access to Justice initiative—considered one of the best new projects in the state. The five-year program seeks to pre-commit large firms to handle a certain amount of pro-bono work each year, based on the size of the firm. In its first year, the program helped HBA handle 25 percent more pro bono cases than ever before.

“We had a fantastic year and it was a privilege for me to serve the 12,000 members of the Houston Bar,” said Mr. Ballard. “With Equal Access to Justice, we’ll be able to serve even more people who really need legal services in the coming years—it’s a program that will keep on giving,” added Mr. Ballard.

Austin Managing Partner Steve Benesh accepted the Award of Merit for Best Mid-Sized Bar Association. The Austin Bar also received the State Bar’s Certificate of Merit for its Legal Build project in cooperation with Habitat for Humanity.

Mr. Benesh, who just completed his one-year term as president of the Austin Bar Association, was recently elected to serve as Chair of the Austin Bar Foundation, effective July 1. Mr. Benesh was the first Bracewell lawyer outside of Houston to be elected president of a local bar association.

“My goal as Austin bar president was to get lawyers to roll up their sleeves and focus on community service. As the incoming Foundation Chair, I’m looking forward to another busy year of service to the Bar and community,” said Mr. Benesh.

Counsel for Domestic Rebar Producers Applauds ITC Decisions on Rebar Sunset Review
Alan H. Price, counsel to the Rebar Trade Action Coalition, issued the following statement applauding today’s determinations of the U.S. International Trade Commission (“ITC”) in the sunset review of the antidumping duty orders covering imports of concrete reinforcing steel bar or rebar.

“The ITC correctly recognized that imports of rebar from China, Ukraine, Belarus, Moldova, Indonesia, Latvia and Poland would injure the domestic industry if the orders were removed,” said Mr. Price, a partner with Wiley Rein LLP in Washington, DC. “China has a staggering amount of excess capacity, while the other countries operate as export platforms that have to export to maintain production,” he added. “Maintaining these orders is critical to the domestic steel industry, and we are pleased that the ITC has recognized the importance of these orders.”

The ITC made its decision in the sunset review after a full investigation of whether revocation of the orders would likely lead to the continuation or recurrence of material injury to the domestic industry. While the ITC made a negative determination with regard to Korea, the Rebar Trade Action Coalition did not seek continuation of that antidumping order. The Rebar Trade Action Coalition represents the major U.S. producers of rebar, including Nucor Corp., Gerdau Ameristeel and CMC Steel Group.

Craig Courter Joins Perkins Coie as Chief Operating Officer
Perkins Coie is pleased to announce that Craig Courter has joined the firm as its new chief operating officer. He succeeds Graham Fernald, who recently retired. Courter joins Perkins Coie from Baker & McKenzie, where he served as COO for four years.

A former practicing attorney, Courter has more than 20 years' legal experience in administrative and technology management, including six years' experience in management of Baker & McKenzie, a 10,000-employee global firm. Prior to serving as Baker & McKenzie's COO, he was its Chief Technology Officer.

"We are delighted that Craig is joining the firm," said Robert Giles, firmwide managing partner. "His strong management and leadership skills will help guide Perkins Coie through its next stage of growth."

As COO at Baker & McKenzie, Courter was responsible to the Chairman and the Executive Committee for all aspects of the firm's operations, including benefits, business development, firm meetings, human resources, knowledge management, marketing, professional development, public relations, strategic planning and technology.

Prior to Baker & McKenzie, he worked at Seltzer Caplan McMahon Vitek, where he served as both a partner and the Chief Information Officer.
