Private Equity Firm Purchases Samsonite
Skadden is representing Samsonite Corporation, one of the world's largest luggage manufacturers, in its acquisition by funds managed and advised by CVC Capital Partners, a leading global private equity firm. The all-cash transaction is valued at approximately $1.7 billion, including the assumption of debt.

The transaction, announced on July 5, was unanimously approved by the Board of Directors of Samsonite.

Entities controlled by Ares Management LLC, Bain Capital Partners, LLC and Teachers' Private Capital, the private investment arm of Ontario Teachers' Pension Plan, who collectively own approximately 85 percent of Samsonite's common stock, have agreed to approve the transaction and have entered into a written consent and voting agreement with CVC in this regard.

The transaction is expected to close during the fourth quarter of 2007.

Skadden, Arps is representing EDP - Energias de Portugal, S.A., the national electricity company in Portugal, in its approximately US$2.9 billion acquisition of Horizon Wind Energy LLC, an owner and operator of wind power generation facilities in the United States, from The Goldman Sachs Group, Inc. The transaction closed on July 2. The acquisition reinforces EDP's position as a global leader in renewable energies.

ECI Acquisition is First Major Private Equity Buyout of an Israeli Company
Skadden, Arps served as legal counsel to ECI Telecom Ltd. in the first significant private equity buyout of an Israeli public company to date, a transaction valued at approximately $1.2 billion.

In the definitive merger agreement announced July 2, ECI -- a global provider of networking infrastructure equipment based in Israel -- is to be acquired by affiliates of the Swarth Group and certain funds that have appointed Ashmore Investment Management Limited as their investment manager. The Swarth Group is an investment vehicle controlled by Shaul Shani. Ashmore Investment is a leading emerging markets investment manager.

Van Kampen Fund Completes IPO
Skadden, Arps represented the Van Kampen Dynamic Credit Opportunities Fund in its $1.4 billion initial public offering, which closed June 28. Listed on the New York Stock Exchange and Chicago Stock Exchange, this closed-end fund invests primarily in loan and debt instruments of issuers that operate in a variety of industries and geographic regions located throughout the world. The underwriters have the option to exercise an over-allotment option, which could increase the number of shares outstanding by as much as 15 percent.

Och-Ziff Capital Files for IPO
Skadden, Arps is representing Och-Ziff Capital Management Group LLC in its proposed initial public offering, filed on July 2 with the Securities and Exchange Commission. Och-Ziff, based in New York, is one of the largest institutional alternative asset-management firms, with approximately $26.8 billion of assets under management. It announced it will offer up to $2 billion worth of Class A shares.

Daniel J. Anders Unanimously Confirmed by PA State Senate as Philadelphia Court of Common Pleas Judge
Daniel J. Anders, an associate with Pepper Hamilton LLP, has been unanimously confirmed by the Pennsylvania State Senate as a Judge on the Philadelphia Court of Common Pleas. He will be sworn into office on August 1, 2007.

Mr. Anders had been running as a Democratic candidate for the Common Pleas Court when he was nominated by Governor Edward G. Rendell in April 2007 to fill a vacancy on the court created when Justice James J. Fitzgerald III was elevated to the Supreme Court of Pennsylvania. The term for which Mr. Anders has been confirmed will expire in January 2010, and he plans to run for a full 10-year term in the 2009 election cycle.

Said Mr. Anders, “I’ve adhered to the values of justice, fairness, and service during my career as a lawyer. Now I’ll make them the standard for my career as a judge.”

Mr. Anders focuses his law practice on commercial litigation, with particular emphasis on federal securities, antitrust, insurance sales practice and ERISA class actions. He serves as general counsel to the Elton John AIDS Foundation, and he is former president of the board of the Center for Lesbian and Gay Civil Rights.

In 2005, Mr. Anders was named as a “Lawyer on the Fast Track” by the Legal Intelligencer and also received the Legal Defense Award from the Allentown Human Relations Commission for his work on defending Allentown’s anti-discrimination ordinance. In 2004, he was named to the “Forty Under 40” list of leading young professionals by the Philadelphia Business Journal, and was recognized by the Pennsylvania Bar Association with a Pro Bono Service Award. He also has received the Michael Greenberg Award for Lifetime Achievement from GALLOP (Gay and Lesbian Lawyers of Philadelphia) and been recognized by the Center for Lesbian and Gay Civil Rights as its Pro Bono Attorney of the Year.

Mr. Anders is a 1998 cum laude graduate of the University of Pittsburgh School of Law, where he was research editor of the Law Review and associate editor of the Journal of Law and Commerce. He received his undergraduate degree from Lehigh University in 1990 with a B.A. in political science.
