K&L Gates’ Reorganization, Bankruptcy and Insolvency Practice Continues Growth with Addition of Partner Richard S. Miller
K&L Gates) welcomes partner Richard S. Miller to its bankruptcy and insolvency practice. Rich Miller joins the firm from Greenberg Traurig LLP.

Miller’s practice focuses on restructuring, workouts and reorganizations, both U.S. and cross-border. He has substantial experience in corporate and real estate restructurings and reorganizations, including complex engagements for debtors, creditors and acquirers or sellers of financially distressed assets.

LeBoeuf Lamb Advises CVCI and EBRD on Equity Investment in Kazakhstan
"LeBoeuf, Lamb, Greene & MacRae LLP has acted as special counsel to Citigroup Venture Capital International (""CVCI""), a unit of Citibank N.A., and the European Bank for Reconstruction and Development (""EBRD""), one of the major development institutions in the region, in connection with their equity investment in KazInvestBank JSC (""KIB""). The transaction
encompassed a significant first-time event for Kazakhstan's capital market: issuance of convertible notes by a Kazakhstan bank.

The EBRD has acquired an equity stake of up to 25 percent in KIB, valued at up to 2.5 billion Tenge (US$20 million), to support the bank’s regional expansion in Kazakhstan and the further development of its lending activities, especially in the retail and SME sectors.

CVCI has also taken a stake worth $20 million in KIB. It is the first investment in Kazakhstan by CVCI, a leading private equity investor in high growth markets including Asia, Central and Eastern Europe, and Latin America.

KIB is a mid-sized bank founded in 1993, which has been actively developing as a commercial bank since 2004. As of December 31, 2006, KIB held total assets of US$198.9 million and Tier 1 and 2 capital of US$45.6 million. In December 2006, Standard & Poor's assigned a B/stable long-term credit rating to KIB.

Duane Morris Opens Vietnam Offices
Duane Morris LLP announced today that it has opened offices in Vietnam's two principal cities, Hanoi and Ho Chi Minh City. The expansion into Vietnam, following the opening of a Singapore office in January, solidifies a new chapter in Duane Morris' 103-year history and provides another opportunity for the firm to further develop its extensive relationships in Asia and to reach into new markets.

As with Singapore, the Vietnam effort will be led by Duane Morris partner and former Mexican Ambassador to Singapore Eduardo Ramos-Gómez.

The Vietnam offices will focus on the areas of corporate finance, project finance, energy, cross-border transactions, restructuring, mergers and acquisitions, real estate and telecommunications. The firm's Asia-based lawyers service clients in, or with interests in, Cambodia, China and Taiwan, India, Thailand, Indonesia, Japan, South Korea, Laos, Malaysia, the Philippines, Singapore and Vietnam. The office and staff are fluent in the major languages of those countries.

"We are one of only a few U.S.-based firms in Vietnam," said Sheldon Bonovitz, Chairman of Duane Morris. "Our move into Vietnam reinforces Duane Morris' role as an important factor in one of the fastest-growing economies in the world, as well as our dedication to addressing client needs and expectations across Asia." Sheldon observed that Vietnam has thriving manufacturing, information technology and high-tech industries and a heavy investment concentration from Singapore and other countries in Asia, as well as from the United States. In addition, Vietnam's accession to membership in the World Trade Organization in January promises further economic development in the future.

The firm welcomes the following attorneys to its new Vietnam offices:

Chris Muessel, partner, focuses his practice on mergers and acquisitions, oil and gas, project finance, general corporate, and venture capital/private equity issues. He also has experience in transactional law for midsize corporations. Chris will play an integral role in the development and guidance of the Vietnam offices and their work with clients. He is the chair of the American Chamber of Commerce in Vietnam. Chris is based primarily in Ho Chi Minh City.

Oliver Massmann, partner, practices in the area of infrastructure projects, where he has particular experience in power/water projects, energy, telecommunications, fiber optics, construction, healthcare, privatization and equitization, arbitration, mergers and acquisitions, and general commercial matters. He provides legal assistance to multinational clients in relation to investment and doing business in Vietnam. He is a graduate of the Ruhr-Universität Bochum Law School in Germany. Oliver is based in Hanoi.

Giles T. Cooper, counsel, focuses his practice on construction and major projects, mergers and acquisitions, foreign investment and securities, contract negotiation and drafting, banking and finance, and employment law. He graduated from the University of Canterbury in Christchurch, New Zealand, and qualified to join the bar at Victoria University in Wellington, New Zealand. Giles is based in Hanoi.

Karen Collari Troake Named to Equality Commission as Boston Bar Association Representative
Choate, Hall & Stewart LLP today announced that Karen Collari Troake has been named to the Equality Commission, a collaborative effort of the Boston Bar Association, the Massachusetts Bar Association, the Women’s Bar Foundation and the Women’s Bar Association. Ms. Collari Troake will serve on the Commission as a representative of the BBA.

The Equality Commission was formed in 2004 after US District Court Judge Nancy Gertner called attention to the relative lack of women in positions of leadership in the law. Since its inception, the Commission has been working with the MIT Workplace Center to conduct in-depth surveys to track the movement of woman and men along the path to leadership in Massachusetts law firms. In May 2007, the Commission released agroundbreaking report entitled "Women Lawyers and Obstacles to Leadership."

Karen Collari Troake is a partner at Choate and a member of the firm’s Litigation Department and the Major Commercial Litigation and Government Enforcement & Compliance Practice Groups. She is actively involved in the firm’s pro bono program and has represented clients through Family Service of Greater Boston and the Political Asylum/Immigration Representation Project.

GSC Acquisition Company IPO
Davis Polk & Wardwell advised GSC Acquisition Company on its $207 million initial public offering on the American Stock Exchange. Citi acted as sole book-running manager for the transaction, which consisted of 20,700,000 units (including full exercise of the underwriters’ over-allotment option), each unit consisting of one share of common stock and one warrant to purchase one share of common stock of GSC Acquisition Company.

GSC Acquisition Company is a newly organized special purpose acquisition corporation formed for the purpose of acquiring, through a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or other similar business combination, one or more businesses or assets with a significant opportunity for growth, located in the United States or Europe, but not limited to a particular industry.

The Davis Polk corporate team included partner Deanna L. Kirkpatrick and associates Jeff Ramsay, Luis I. Mendoza III, Adam Greene, Christopher J. Kodama (not yet admitted), Colin Sturt and Tyler W. Thorn. Partner William H. Weigel and associate Grace M. Lee provided tax advice. Lisa Garmong was the legal assistant on the transaction. All members of the Davis Polk team are based in the New York office.

Newmont Mining Corporation Convertible Notes Offering and Call Spread Transactions
Davis Polk & Wardwell advised Citibank, N.A., Deutsche Bank AG, JPMorgan Chase Bank, National Association and UBS AG on the note hedge transactions entered into by Newmont as a hedge of its $1 billion aggregate offering of convertible notes and on the concurrent warrant transactions.

Newmont is primarily a gold producer with significant assets or operations in the United States, Australia, Peru, Indonesia, Ghana, Canada, Bolivia, New Zealand and Mexico. Newmont is also engaged in the production of copper, principally through its Batu Hijau operation in Indonesia. Newmont has operating segments in Nevada, Yanacocha in Peru, Australia/New Zealand, Batu Hijau in Indonesia, Africa and smaller operations in Bolivia, Mexico and Canada. It also has a Merchant Banking Segment and an Exploration Segment.

The Davis Polk equity derivatives team included partner Linda A. Simpson, associate Rafal A. Nowak and summer associate Charlene Choi of the New York office. Partner Michael Farber and associate David Morris of the New York office provided tax advice.
