Société Générale Acquires Fund Administration Services of Pioneer Investments
Shearman & Sterling advised Société Générale Securities Services (SGSS) on the acquisition of the fund administration services of Pioneer Investments Kapitalanlagegesellschaft mbH (Pioneer Investments), a subsidiary of Pioneer Global Asset Management S.p.A., in Germany.

The activities acquired by SGSS include fund administration services for Pioneer Investments and other German fund managers, and middle-office services for Pioneer Investments, based in Munich. The related funds under administration amount to EUR 55 billion; the total amount of assets under administration of SGSS is close to EUR 440 billion. Around 170 employees from Pioneer Investments will join SGSS in Germany.

Closing of the transaction is subject to the approval of regulatory authorities and is expected not later than year-end.

The following Shearman & Sterling team advised Société Générale on this transaction: Roger Kiem (partner, M&A/Corporate/Regulatory law, Frankfurt) and the associates Jens Riedel, Andreas Wieland (both M&A/Corporate, Frankfurt) and Christian Engelhardt (Intellectual Property, Mannheim). In addition, lawyers from the Paris office (Cyrille Niedzielski, partner, M&A, and Guillaume Isautier, associate, M&A) and the offices in Brussels, Düsseldorf, Munich and Rome joined the team.

Morrison & Foerster Advises Intercell on Worldwide Vaccines Deal
Morrison & Foerster advised long-term client Intercell AG on a major vaccines partnership with Novartis under which Novartis will receive opt in rights to Intercell's non-partnered vaccines and exclusive, worldwide rights to Intercell's IC31 adjuvant for influenza vaccines.

Intercell will receive €120 million up front and a €150 million equity investment from Novartis. In exchange for the IC31 license, Intercell is eligible for €100 million in milestones, plus double-digit royalties tied to sales performance. Intercell also granted Novartis non-exclusive rights to the adjuvant for non-influenza indications, with Intercell eligible for €30-€60 million in upfront payments and milestones, plus up to high single digit royalties for each license tied to sales performance.

Novartis also received an option to develop, manufacture and commercialise any existing unpartnered vaccines or any future vaccines from Intercell's Antigen Identification Program. For each licensed program, Intercell can choose to share profits with Novartis or to be eligible for €120 million in milestones, plus double-digit royalties. Intercell's lead non-partnered program is IC43, which is in Phase II trials to prevent pseudomonas infection.

Additionally, Intercell and Novartis will co-develop therapeutic HCV vaccines, for which the partners will share profits. Intercell has an HCV vaccine in Phase II testing, while Novartis has a vaccine in Phase I/II studies.

An international life sciences team from Morrison & Foerster led by Laura Spiegelman and including Julian Thurston, James Ryan, Tara Sherbrooke and Charlene Kon, worked on the transaction, which signed in Basel on July 2. Consummation of the transaction is subject to Hart-Scott Rodino clearance under U.S. law.

The Intercell deal closed hot on the heels of another major transaction for members of the London team. They also advised London Stock Exchange-listed Renovo on an exclusive licensing agreement with Shire plc. The Renovo/Shire agreement covers every country throughout the world except Member States of the European Union and has a potential value of $825 million.

Leslie Caldwell Honored as One of the “50 Most Influential Women in America
Morgan, Lewis & Bockius LLP is pleased to announce that Leslie Caldwell, partner and co-chair of the Corporate Investigations and White Collar Practice, has been named one of the “50 Most Influential Women in Law” by The National Law Journal. The listing, the publication’s first since 1998, reflects the growing influence of women attorneys, in-house counsel, and law professors within the profession, business, government, and public affairs.

Readers of The National Law Journal nominated nearly 200 female attorneys with a national impact inside and outside the legal world in the past five years, according to the publication. The editorial staff also submitted names based on its own research. The pool was then reduced to the “50 Most Influential Women in Law.”

Noting that Ms. Caldwell, “spearheaded the growth of Morgan Lewis' corporate investigations and white-collar practice,” the publication also reported that she represents Fortune 500 companies and other securities issuers, audit committees, board members, and executives, and serves on the ethics committee of the board of directors of the U.S. Olympic Committee. Prior to joining Morgan Lewis, Ms. Caldwell was the first director of the Justice Department's Enron task force, and she was among the first to use RICO to target violent, nontraditional, criminal organizations, such as inner city drug gangs, as a federal prosecutor in Brooklyn, N.Y.

In addition to The National Law Journal honor, Ms. Caldwell has been the recipient of numerous awards including the Attorney General's Award for Exceptional Service as Director of Enron Task Force; the Attorney General's John Marshall Award for Trial of Litigation; the Attorney General's Award for Fraud Prevention; the Henry L. Stimson Medal, awarded by Association of the Bar of the City of New York; and multiple Department of Justice Awards for Superior Performance.

C&P's Thomas Bezanson Honored by NYLPI for Pro Bono Work on Hospital Closings Case
Chadbourne & Parke LLP partner Thomas Bezanson, and the Chadbourne litigation team he has led, were honored Thursday night by New York Lawyers for the Public Interest for their dedication to pro bono service, and their work on the 2007 case seeking to halt the Berger Commission hospital closings.

NYLPI and Chadbourne filed suit January 3 against New York State over the state’s plan to close Westchester Square Medical Center in the Bronx and eight other hospitals, as well as to restructure some 50 other facilities statewide. The suit was filed on behalf of a Soundview resident and a Parkchester senior center, which rely on Westchester Square Medical Center to meet their health care needs.

The lead plaintiff in the suit, Mary McKinney, attended the awards ceremony, held at Chadbourne's Rockefeller Center offices.

New York Lawyers for the Public Interest (NYLPI) honored Chadbourne partner Thomas Bezanson with its first Pro Bono Leadership Award on July 12. Shown left to right are Jin Hee Lee, NYLPI staff attorney; Mary McKinney, lead plaintiff in the suit; Thomas Bezanson; and Michael Rothenberg, NYLPI executive director.

In awarding Bezanson its Pro Bono Leadership Award, the NYLPI cited its "appreciation of your tireless advocacy, superb leadership, and personal dedication to pro bono service, as exemplified by your efforts to preserve critical health care services in medically underserved communities throughout New York State in Mary McKinney, et al. versus The Commissioner of the New York State Department of Health."

Besides Bezanson, other members of the Chadbourne team in the case are partner George Bundy Smith and associates C. Ian Anderson, Robert Grossman and Jason Park. Six summer associates — Gilbert Bradshaw, Pragati Nayak, Amanda Raymond, Marc Roitman, Brandon Still and Nelson Wagner— also worked on the case at Chadbourne. The Firm's attorneys worked with a NYLPI team headed by Jin Hee Lee and Amanda Masters.

The suit alleged that the state legislature violated the New York State Constitution when it allowed unelected members of the Berger Commission to make law and institute sweeping changes in health care policy by mandating the closure of hospitals statewide. The action said that the enabling legislation that created the commission constitutes an unconstitutional delegation of legislative powers.

West Virginia Supreme Court Makes Changes in Mass Litigation Panel
The West Virginia Supreme Court of Appeals has announced the appointment of First Circuit Judge James P. Mazzone of Ohio County and Ninth Circuit Judge Derek C. Swope of Mercer County to the West Virginia Mass Litigation Panel. They replace First Circuit Judge Arthur M. Recht of Ohio County and 28th Circuit Judge Gary L. Johnson of Nicholas County, respectively. Because Judge Recht had been the chairman of the panel, the Supreme Court has named Nineteenth Circuit Judge Alan D. Moats of Taylor County as the new chairman. The other current members of the panel include 25th Circuit Judge Jay Hoke of Lincoln County, Eighth Circuit Judge Booker Stephens of McDowell County, and Tenth Circuit Judge John A. Hutchison of Raleigh County.

Jacksonville Attorneys Named Super Lawyers
Smith, Gambrell & Russell’s Jacksonville attorneys Dana Bradford and Chip Bachara have been selected to Florida Super Lawyers. Super Lawyers recognizes attorneys who have been nominated by their peers for the quality of their legal work. Fewer than five percent of attorneys in Florida were included in this year’s list.

Mr. Bachara was recognized for his practice in construction litigation. Mr. Bachara represents contractors, subcontractors, sureties, owners and design professionals in his practice. He received his J.D. degree from Mercer University.

Dana Bradford was selected for his practice in general litigation. Mr. Bradford is managing partner of the Jacksonville office. He represents clients in all commercial litigation including class action suits, construction litigation and insurance and products liability defense. He received his J.D. from Duke University.
