Helen S. Carroll and G. Frederick Compton, Jr. Join Roetzel & Andress' Akron Office
The law firm of Roetzel & Andress announces that school law attorneys Helen S. Carroll and G. Frederick Compton, Jr. have joined the firm as partners.

"Helen and Fred bring a wealth of experience to us in school law," stated Ronald Kopp, Partner-in-Charge of the firm's Akron office, "specifically regarding state and federal laws as they affect the operation of public school districts. Additionally, both Fred and Helen are well-versed in public sector labor negotiations and grievance arbitrations. Given the significant amount of public finance and school law work we already do, it's our hope that this alliance will present substantial synergy."

Practicing statewide, the pair will be based in the firm's Akron office, utilizing a Dayton service location for client meetings as necessary.

Ms. Carroll is a member of the Public Law Practice Group. She assists school clients in labor negotiations, as well as in the implementation and administration of collective bargaining agreements. She has worked as an Assistant Attorney General in Ohio in the Labor Section, and also has functioned as legal counsel to the State Employment Relations Board and the Department of Industrial Relations in Ohio. In addition to labor matters, Ms. Carroll routinely represents boards of education in special education disputes from informal proceedings to federal court litigation.

Also a member of the Public Law Practice Group, Mr. Compton focuses his practice on the representation of boards of education in labor relations, negotiations, mediation, employee discipline, employee evaluations, student and parent rights, public records law, open meeting law, and administrator employment matters. In addition to his involvement in school-related litigation, he has experience in labor mediation and arbitration and has negotiated numerous collective bargaining agreements with teachers and support personnel on behalf of boards of education.

Ms. Carroll received both her B.S. and juris doctorate degrees from the University of Akron.

Mr. Compton received his juris doctorate from the University of Akron and his B.A. from Rutgers University.

Katten Ranked Among Top Five Chicago Law Firms by Corporate Board Member Magazine

Freshfields advises Italian insurer Generali on its joint venture with PPF
International law firm Freshfields Bruckhaus Deringer has advised Assicurazioni Generali S.p.A. ("Generali") on its joint venture ("JV") with PPF Group N.V. ("PPF"), which combines their Central and Eastern European businesses in twelve countries to create one of the region's leading insurers.

The new joint venture, Generali PPF Holding BV, will have assets of €5.1bn, a premium income of €2.6bn and more than 9 million clients throughout the Czech Republic, the Slovak Republic, Poland, Hungary, Romania, Bulgaria, Ukraine, Russia, Serbia, Slovenia, Croatia and Kazakhstan. Definitive documentation for the JV was entered into by Generali and PPF on 10 July and completion, which is conditional on receipt of necessary regulatory approvals, is expected by the end of 2007.

Generali will pay PPF €1.1bn in cash, in addition to its contribution of assets, for a 51 per cent share of the JV, whilst PPF will own the remaining 49 per cent.

The creation of the joint venture is integral to the two groups' expansion strategies and creates opportunities for further growth in the region.

Freshfields' corporate partner Philip Richards led the team from London, with partners Vanessa Turner (antitrust competition & trade, Brussels), Tommaso Salonico (ACT, Rome), Dirk-Jan Smit (corporate, Amsterdam), Stefano Sennhauser (finance, Milan) and Raffaele Lener (corporate, Rome), plus associates George Swan, Alvaro Iza, Joost van der Linden, Elena Pagnoni, Edwin Sieswerda and Giovanni Barone.

Freshfields acted alongside the Italian law firms MBL Partners & Co of Milan and International Business Lawyers Associated of Verona as well as Havel & Holásek of the Czech Republic in advising Generali.

Freshfields advises Goldman Sachs International on proposed merger of Emirates Bank International and National Bank of Dubai
Emirates Bank International and National Bank of Dubai have announced the terms of their proposed merger to create Emirates NBD, with a combined market capitalisation of approximately AED 41.3bn / US$11.3bn. The proposed merger is intended to be effected by establishing a new company, to be named Emirates NBD, which will offer to acquire the share capital of Emirates Bank International and National Bank of Dubai in exchange for new shares, the first public takeover offers for companies listed on the Dubai Financial Market.

Freshfields Bruckhaus Deringer is advising Goldman Sachs International, which is acting exclusively as the lead financial adviser to the joint steering committee of Emirates Bank International and National Bank of Dubai established in connection with the proposed merger.

The Freshfields team is being led by partners Bruce Embley in Dubai and Edward Braham in London, assisted by senior associates Graham Watson and Aryan Schoorl in London and Dubai respectively.

Bruce Embley said: 'We are delighted to be advising Goldman Sachs International on this landmark transaction to create a UAE banking champion and the GCC's largest bank by assets.'

Freshfields advises Cinven on acquisition of USP Hospitales for €675m
European private equity firm Cinven has announced it has agreed to acquire USP Hospitales (USP), the leading independent operator in the Spanish private healthcare market and second largest provider to the private healthcare insurance market, from Mercapital for a total consideration of €675m (£462m). International law firm Freshfields Bruckhaus Deringer advised Cinven on the transaction.

This is the second acquisition by Cinven in the hospitals sector in a month, after its acquisition of the hospital operations and assets of BUPA Hospitals in the UK for £1.44bn. This follows Cinven's acquisition of Phadia, the international allergy diagnostics business headquartered in Sweden, for €1.285bn in November 2006. Freshfields also advised Cinven on these transactions.

The Freshfields team was led by corporate partner David Higgins (London), with partners Armando Albarran (corporate, Madrid), Chris Davis (finance, London) and Inaki Gabilondo (finance, Madrid), plus associates Manuel Toledano and James Pointon (both corporate, Madrid).

Freshfields has also advised on several other major deals in the healthcare sector recently, including Investor's acquisition of Mölnlycke Healthcare Group in January this year, the sale of Kodak's healthcare group, also in January, and Allianz Capital Partners' sale of Four Seasons Health Care in September 2006.

Freshfields has now advised Cinven on more than £10bn in transactions across Europe in recent months, including disposals of United Biscuits and Klöckner Pentaplast and acquisitions of Gondola Holdings and Avio.

Fenwick & West Represents Postini in $625 million Acquisition by Google
Fenwick & West LLP represented Postini, Inc. in its recently announced acquisition by Google Inc. (NASDAQ: GOOG). Postini, based in San Carlos, CA, is a provider of on-demand communications security, compliance and productivity solutions for email, instant messaging and the web. Google will pay approximately $625 million in cash for Postini, subject to working capital and other adjustments. The transaction is subject to closing conditions, and is expected to close by the end of the third quarter 2007.

Stankovic Elected to Board of Directors of the Intellectual Property Law Section of the State Bar of Wisconsin
Bratislav Stankovic, Ph.D., an attorney with Brinks Hofer Gilson & Lione, one of the largest intellectual property law firms in the U.S., has been elected to the Board of Directors of the Intellectual Property Law Section of the State Bar of Wisconsin.

Earlier this year, Dr. Stankovic was awarded a J. William Fulbright Foreign Scholarship to return to his native Macedonia to assist in modernizing the status of intellectual property and intellectual property law. While there, he will lecture and conduct research to assist in establishing a foundation for the protection, valuation and management of the country's intellectual property assets, specifically patentable inventions.

Dr. Stankovic focuses his practice on patent prosecution and litigation in the areas of biotechnology, pharmaceuticals and engineering, in particular molecular biology, nanobiology, bioinformatics and biochemistry. He received his B.S. from University of St. Cyril and Methodius in Skopje, Macedonia, a M.S. from University of Novi Sad in Yugoslavia, his J.D. from the University of Wisconsin at Madison and a Ph.D. from the University of Nebraska at Lincoln.

The State Bar of Wisconsin, long considered one of the most inventive and service- oriented bars in the United States, has a high volunteer rate for lawyers in their communities, sections and divisions.
