Proskauer Rose Opens São Paulo Office
Proskauer Rose LLP, an international law firm with over 700 lawyers worldwide, is pleased to announce it has opened an office in São Paulo, Brazil. The new office, the firm's ninth, will provide a platform for Proskauer's continued and growing representation of global companies and financial institutions in a wide variety of transactions and other matters in the region, which have recently included debt and equity offerings, mergers and acquisitions, and bank finance.

Proskauer's São Paulo office will be headed by Antonio Piccirillo, partner in the firm's Corporate Department, with Carlos Martinez, corporate partner and head of the firm's Latin America Practice, playing a significant leadership role.

"Our work in Latin America has continued to increase, making a physical presence in the region of clear strategic significance for the firm and our clients," said Allen I. Fagin, chairman of Proskauer. "This represents a remarkable opportunity for us to bring our resources and capabilities to bear in an area that is ripe with potential."

The firm has long had strong ties with Latin America, having represented major corporate and banking clients in the region in a series of securities offerings, mergers and acquisitions, private equity transactions, corporate and regulatory matters, bankruptcies and restructurings, litigations and dispute resolutions, and labor and employment issues.

Corporate Attorney Joins Nelson Mullins in Atlanta
A corporate attorney with commercial transaction and payment systems experience has joined Nelson Mullins Riley & Scarborough LLP in its Atlanta office.

Avril McKean Dieser will focus her practice in the areas of corporate, financial institutions, international, and technology law. She is admitted to practice in Georgia and is a member of the State Bar of Georgia, of which she is an active participant in the International Law Section. She is a member of the American Bar Association and the International Bar Association.

She authored an article entitled, "Antitrust Implications of the Credit Card Interchange Fee and an International Survey," 17 Loyola Consumer Law Review 459 (2005). Ms. McKean Dieser also assisted Philip B. Nelson, principal at Economist Incorporated, in the editing of a chapter of A Practice Guide To Market Power: Legal and Economic Issues in the Spring of 2002.

In 2003, Ms. McKean Dieser earned a Juris Doctor from the Catholic University of America, Columbus School of Law in Washington, D.C. While in law school, she was a Jessup Cup International Moot Court Agent. She also participated in the Business and Trade Summer Law Program in Cracow, Poland. Ms. McKean Dieser served as Note & Comment editor of CommLaw Conspectus: Journal of Communications Law and Policy. Ms. McKean Dieser earned a Master of Administrative Management in Public Administration from Bowie State University, European Division of the University of Maryland in Ramstein, Germany, in 1998. She earned a Bachelor of Arts, magna cum laude, in English from Duquesne University in Pittsburgh, Pennsylvania, in 1996.

Morrison & Foerster Advises GW Pharmaceutical on Global Cannabinoid Research Collaboration
The life sciences team in the London office of Morrison & Foerster has advised AIM-listed GW Pharmaceuticals plc on an agreement with Otsuka Pharmaceutical Co., Ltd. The global cannabinoid research collaboration in the field of Central Nervous System (CNS) and oncology will enable the parties to jointly research, develop and commercialise a range of candidate cannabinoid products.

The cannabinoid research collaboration has an initial term of three years, during which Otsuka will make available a research fund of $9 million, which may be increased from time to time by Otsuka, to cover research activities carried out by GW and its scientific collaborators under this agreement.

The GW-Otsuka collaboration research team, which incorporates senior scientists from both companies, will evaluate a range of GW cannabinoids as drug candidates within the field of CNS and oncology, with a view to selecting the most promising candidates for full clinical development, regulatory approval and global commercialisation. Products selected for full development will be the subject of a license from GW. Under the terms of each product license, Otsuka will fund the global development and commercialisation of such products, and GW will receive license fees, milestone payments and a long term commercial supply price and royalty. The financial terms of each license are to be agreed at the time of selection of each product for global development.

The London team advising GW included partner Julian Thurston, and associates James Ryan and Tara Sherbrooke. Global antitrust advice was provided by Aki Bayz (of counsel) and Matthew Sikes (associate) in the firm’s Washington, D.C. office.

Mr Thurston commented, “This is the third strategic partnering agreement we’ve done with GW in the last 18 months and we’re delighted to have worked with the company to sign yet another successful deal. In February of this year we worked with GW on a $273 million agreement to grant Otsuka an exclusive license to develop and market Sativex®, GW’s lead product, in the United States; while in December of 2005, we advised GW on a collaboration with Spanish pharmaceutical company, Almirall Prodesfarma, S.A. to market Sativex® in Europe (excluding the UK).”

McDermott Played Key Role in Three of the Top 10 Announced U.S. Deals in 2007
Among the top ten Americas deals announced by Thomson Financial, McDermott Will & Emery played a key role in three, including the leveraged buyout of TXU and the spinoffs of Tyco Electronics and the Tyco Healthcare Group. McDermott also ranked among the top 10 legal advisors for Global Buy-Outs and top 25 U.S. M&A legal advisors in the second quarter deal tables published by Mergermarket and Thomson Financial (Worldwide Rankings for M&A/Legal Advisors and Americas Rankings for M&A/Legal Advisors).

Incorporated with respect to its equity commitment in connection with the proposed $45 billion leveraged buy out acquisition of TXU Corp., the Texas energy company. The transaction represents one of the largest leveraged buyouts in history. McDermott also represented Tyco International Ltd. as lead U.S. corporate, commercial and tax counsel in connection with the tax-free distributions of Tyco Electronics Ltd. (TEL) and Covidien Ltd. (COV) to Tyco’s shareholders. The spinoff resulted in the separation of Tyco International into three independent, publicly traded companies: Tyco International Ltd., Covidien Ltd. and Tyco Electronics Ltd. The spinoff is among the largest and most complex separation transactions announced to date.

IP Partner Rejoins McDermott Will & Emery in Chicago
The international law firm McDermott Will & Emery is pleased to announce Michael Switzer has rejoined the Firm as partner in the Intellectual Property, Media & Technology Department based in the Chicago office.

Mr. Switzer concentrates his practice on litigation, licensing and client counseling. He has litigated numerous cases before the federal courts and the U.S. International Trade Commission. His litigation practice has involved divergent technologies such as spinal fusion medical devices, RAID storage devices, facsimile machines, analog and digital circuit designs, and semiconductor processes.

Prior to rejoining the Firm, Mr. Switzer was a senior patent counsel for a leading medical device company. He has also served as an in-house U.S. patent counsel for Hitachi, Ltd. During his time with Hitachi, Mr. Switzer worked in the IP Licensing Department and resided in Tokyo, Japan.

“Michael expands the scope and depth of our Chicago IP team,” commented Margaret Duncan, head of the Chicago intellectual property practice group. “He brings to McDermott a wealth of skills and international experience that will greatly benefit our clients. Mr. Switzer received his J.D. cum laude from the American University, Washington College of Law and his B.S. in electrical engineering from Union College. He is admitted to practice in Virginia, the District of Columbia and Connecticut. Mr. Switzer is also registered with the U.S. Patent and Trademark Office.

Corporate Attorney James Vieceli Moves to Manatt
Manatt, Phelps & Phillips, LLP, the national law and consulting firm, announced today that James J. Vieceli has joined the firm's Corporate and Finance group, and will be located in the Los Angeles office. Mr. Vieceli leaves Sullivan & Cromwell, where he has spent his entire legal career beginning as a summer associate in 1997, to join Manatt as a partner. He will continue to focus his practice on capital markets and securities, mergers and acquisitions, and venture capital and private equity transactions. The addition of Mr. Vieceli comes during a period of growth and expansion of the firm, which recently announced the opening of a new office in San Francisco.

"We are very impressed with Jim's depth of experience in corporate transactions covering a broad range of industries," said Gordon Bava, chair of Manatt's Business, Finance and Tax Division. "Jim has an excellent professional background, and a personal style that is very compatible with ours. We are thrilled he decided to make a transition to Manatt. Mr. Vieceli's practice over the past nine years has taken him from Los Angeles to Palo Alto to London, England before returning to Los Angeles in 2006, exposing him to a variety of corporate cultures and markets. As a result, he has a breadth of experience in general corporate practice that covers a multitude of industries, including technology, Internet, software, semiconductor, entertainment, consumer products, medical devices, pharmaceuticals, energy, real estate, and commercial and investment banking.

"The Manatt culture is very attractive because it presents me with an opportunity to expand my practice, develop new clients and work with a dynamic group of lawyers," said Mr. Vieceli, who has represented companies in transactions on a global scale in European and Pacific Rim countries.

Jeffrey London and Mary Lou Zwick Join Kaye Scholer's Employee Benefits/ERISA Practice In Chicago
Kaye Scholer LLP announced that Jeffrey London, a leading compensation and employee benefits lawyer, has joined the firm as partner and that Mary Lou Zwick has joined the firm as counsel. Resident in the firm's Chicago office, London and Zwick join Kaye Scholer from Reed Smith LLP, into which Sachnoff & Weaver, Ltd. merged earlier this year.

London's practice focuses on all aspects of compensation design for public and private companies. He counsels boards of directors and compensation committees in structuring compensation programs and agreements, negotiates employment and severance agreements, and serves as "agent" on behalf of senior level executive officers. London also designs and implements equity and equity-based incentive programs (as well as qualified and non-qualified retirement plans) and counsels clients on the regulatory and administrative requirements of maintaining such non-qualified and qualified plans.

Zwick's practice focuses on the representation of privately and publicly held companies in traditional employee benefits (both pension and welfare benefits) and executive compensation matters.
