Simpson Thacher Represents The Blackstone Group and ReAble Therapeutics, Inc. in Connection with ReAble's $1.6 Billion Acquisition of DJO Incorporated
Simpson Thacher is representing The Blackstone Group and its portfolio company, ReAble Therapeutics, Inc., in ReAble's acquisition of DJO Incorporated. Under the terms of the deal, each holder of DJO common stock will receive $50.25 per share, representing a premium of approximately 25 percent over DJO's average closing share price for the 30 trading days ending July 13, 2007. The transaction is valued at approximately $1.6 billion. DJO Incorporated (NYSE:DJO) is a global provider of products and services that promote musculoskeletal and vascular health. ReAble Therapeutics, Inc. is a diversified medical device company focused on rehabilitation, pain management, physical therapy and orthopedics. Simpson Thacher also represented Blackstone in its November 2006 acquisition of ReAble (then-known as Encore Medical). Simpson Thacher Represents Altivity Packaging, LLC in Connection with its Combination with Graphic Packaging Corporation to Form a $4.4 Billion Revenue Global Packaging Company
Simpson Thacher represented Altivity Packaging, LLC, a portfolio company of Texas Pacific Group, in its combination with Graphic Packaging Corporation (NYSE: GPK), announced July 10, 2007. The all-stock transaction values Altivity Packaging at approximately $1.75 billion. Upon closing of the transaction, affiliates of Texas Pacific Group will own approximately 40% of the new company, to be named Graphic Packaging Holding Company.

Altivity, headquartered in Carol Stream, Illinois, is the largest privately held producer of folding cartons and holds a leading market position within its coated recycled boxboard and bag packaging businesses.

Graphic, headquartered in Marietta, Georgia, is a leading provider of paperboard packaging solutions for a wide variety of products. Graphic also offers customers paperboard and packaging machines.

Closing of the transaction is subject to the approval of Graphic’s stockholders and other customary closing conditions, including regulatory approvals.

Simpson Thacher Represented UBS and Bradesco in a Global Offering by Drogasil S.A.
Simpson Thacher represented UBS and Bradesco in the initial equity offering by Drogasil S.A. The issuer, Drogasil S.A., is a leading Brazilian retailer of pharmaceutical products and health and beauty aids. The transaction raised the U.S. dollar equivalent of approximately US$200 million. The common shares were offered to the public in Brazil, with selling efforts to qualified institutional buyers in the United States under Rule 144A and to non-U.S. persons under Regulation S.

The Simpson Thacher’s team for this transaction included Todd Crider, Nair Janson, Ines Tofalo, Sean Austin (tax) and Jeanne Annarumma (Erisa).

Sidley Partner Thomas R. Smith, Jr. Joins SEC as a Senior Advisor in the Investment Management Division
Sidley partner Thomas R. Smith, Jr. has joined the SEC as a Senior Advisor in the Investment Management Division. In that role, Mr. Smith serves as an advisor to Andrew J. Donahue, Division Director, on issues related to the regulation and oversight of mutual funds and other investment companies. Mr. Smith was instrumental in the creation of the Pooled Investment Entities practice group at legacy Brown & Wood and he is recognized as one of the leading lawyers in the '40 Act/Investment Management arena. Mr. Smith served as the Managing Partner of Brown & Wood for five years and as Vice Chairman of the Management Committee of the merged firm Sidley Austin Brown & Wood until 2003.

New Sidley Austin Team Launches London-based Insurance and Reinsurance Dispute Practice
Sidley Austin (Sidley) announces that Dorothy Cory-Wright has joined its London office to head its new London-based Insurance and Reinsurance dispute practice. Dorothy is supported by a newly recruited team of experienced lawyers, all of whom have previously worked with her. The team, which is already in place, comprises Steven Pitt, Simon Fawell and Abby Street.

The practice will focus on insurance and reinsurance litigation, arbitration and alternative dispute resolution and will also offer advice on regulatory disputes.

The announcement marks the latest step in the development of Sidley’s London-based insurance and reinsurance experience and follows the launch in May 2006, of the firm’s London-based insurance and reinsurance transactional, restructuring and run off capability under Sidley partner Nigel Montgomery and his team.

Jim Stinson, who co-chairs Sidley’s Global Insurance and Financial Services Group, commented: “The recruitment of Dorothy and her team is a clear signal both of the importance that Sidley places on continuing to expand our global insurance team and of Sidley’s focus on building a top quality insurance and reinsurance full service offering in London. Dorothy’s extensive qualifications – being a former Barrister and now Solicitor Advocate who can appear as an advocate in all English Courts – together with her experience in London, Bermuda and the US in dealing with live and run-off market issues, make her skills a natural fit with, and enhancement of, Sidley's insurance and reinsurance capabilities in London and worldwide.”

Dorothy Cory-Wright's practice covers all aspects of insurance and reinsurance. Most of her work is contentious and involves both litigation and arbitration proceedings in the UK and overseas. She previously spent a year conducting litigation and living in Bermuda. Dorothy represents many US and Bermudian clients, London market companies and Lloyd's entities.

Dorothy, who writes for many market publications and lectures both in the UK and overseas, also sits as an arbitrator. Who's Who Legal describes Dorothy as a "brilliant lawyer". Chambers Guide to the Legal Profession describes her as “a skilled litigator, who provides clients with ‘very astute and intuitive advice.’” “… highly respected, Dorothy Cory-Wright is a former barrister with ‘great knowledge of the area.’” She is also recognised as a leading practitioner in her field by Euromoney's Guide to the World's Leading Insurance and Reinsurance Lawyers. With Dorothy’s arrival, Sidley will have in place the contentious component of the Insurance Group’s expanding presence in London.

Other members of the new Sidley team include:

Steven Pitt – Steven works on insurance coverage disputes and complex multi-party reinsurance matters, many of which have an international content by way of arbitration and litigation in the High Court. He qualified in 1998.

Simon Fawell – Simon, who qualified in 2002, works on contentious insurance and reinsurance matters and has experience with both arbitration and litigation in the High Court.

Abby Street – Abby qualified in 2004 and works on contentious insurance and reinsurance matters, often with an international element, and has experience of both arbitration and litigation in the High Court.

Patricia Martone inducted into Litigation Counsel of America
We are pleased to announce that Patricia Martone, a partner in Ropes & Gray's Intellectual Property Group, has been inducted into the Litigation Counsel of America. The induction ceremony was held at the LCA's Spring Conference in New York on June 21.

Patricia's extensive litigation and patent trial experience gained her the fellowship into the prestigious honor society, which selects trial lawyers through effectiveness and accomplishment in litigation and superior ethical reputation.

Fellowship in the LCA, which is comprised of less than one-half of one percent of American lawyers, is highly selective and by invitation only. Established as a trial and appellate lawyer honorary society reflecting the American bar in the twenty-first century, the LCA represents the best in law among its membership.

Peter Erichsen rejoins Ropes & Gray
Ropes & Gray is pleased to announce that Peter C. Erichsen will rejoin the firm as a partner. Erichsen began his career at the firm before serving in high-level positions in the Clinton Administration and as vice president and general counsel of the University of Pennsylvania, and currently as vice president and general counsel of the J. Paul Getty Trust. Erichsen will concentrate his practice on serving non-profit institutions, including colleges, universities, and research institutions.

At the J. Paul Getty Trust, Erichsen provided legal and strategic advice beginning in 2001 to the internationally renowned foundation, which has a $6.2 billion endowment and $250 million dollar operating budget. Before joining the Getty Trust, Erichsen was responsible for the legal department at the University of Pennsylvania and its four-hospital health system from 1997-2001.

Erichsen's government service was equally impressive. He served in the White House Counsel's Office, where he coordinated judicial selection and the 1996-97 Cabinet transition, during which he managed a team of 12 attorneys. Previously, he had served as deputy assistant attorney general for the U.S. Department of Justice beginning in 1993, where he managed a 20-member DOJ team charged with the evaluation of candidates for the federal judiciary.

"When Peter left the firm after becoming a partner to answer the call of public service, we knew the Clinton Administration was gaining a top-notch legal talent and tremendous individual," said John T. Montgomery, the managing partner of Ropes & Gray. "We are delighted to welcome him back and look forward to the contributions he will make to our clients based on the additional senior-level experiences at Penn and the Getty Trust."

Louise Bryson, the chair of Getty's board of trustees, added: "On behalf of the entire Getty Board of Trustees, I want to thank Peter for his service to the Getty these past six years, and especially during the leadership transition of the last two years. His assignment has been challenging, and we appreciate the support and counsel he has provided us, and the total integrity he has demonstrated, both in his role as general counsel and as secretary of the board."

Erichsen earned his undergraduate degree magna cum laude from Harvard College and his law degree cum laude from Harvard Law School. He also serves on the board of directors of several institutions, including the Philadelphia Stock Exchange and the Performing Arts Center of Los Angeles County. He was the founding director of Trinity Hospice of Greater Boston.
