Paul, Weiss Advises Lehman Brothers Inc. in IHOP's $2.1-Billion Acquisition of Applebee's
Family restaurant chain and pure-play franchisor IHOP Corp. and Applebee's International, Inc. jointly announced a definitive agreement under which IHOP will acquire Applebee's, the largest casual dining concept in the world for $25.50 per share in cash, representing a total transaction value of approximately $2.1 billion. Our client Lehman Brothers Inc. is acting as sole structuring advisor and sole underwriter in connection with the Applebee's and IHOP securitizations in the deal. IHOP intends to re-energize the brand in part by franchising a majority of Applebee's 508 company-operated restaurants and intends to utilize the cash saved to reduce debt to a specified level and then to return cash to shareholders. IHOP will finance the transaction through a whole-business securitization backed by Applebee's assets and additional borrowings under IHOP's securitization structure, and Lehman will provide the bridge facility to IHOP if required. Upon closing, IHOP will issue new preferred stock via already committed private placements. Paul, Weiss Named to The National Law Journal's "2007 Defense Hot List"
Paul, Weiss was one of ten firms named to The National Law Journal's "2007 Defense Hot List." Firms were selected from scores of nominations from readers. Criteria included nominees having an overall impressive track record as well as having managed at least one significant defense bench or jury verdict since July 1, 2006. Paul, Weiss' representations in U.S. v. McCall, Dastgheib v. Genentech Inc. and Guiterrez v. Johnson & Johnson were recognized as noteworthy cases.

WilmerHale Strengthens DC Intellectual Property Practice with Hire of Former NASA Engineer
WilmerHale is pleased to announce the addition of Grant Rowan as Partner in its Intellectual Property Department in the Washington, DC office. Mr. Rowan joins the firm from Sughrue Mion, PLLC, where he was Partner and Co-Chair of the Electrical/ Mechanical Group.

In this position, Mr. Rowan has been active in IP counseling, strategic patent portfolio development and IP litigation. Mr. Rowan’s patent portfolio development practice includes the management of international portfolios of patents and applications relating to the electrical and mechanical arts, such as plasma display panels, data storage devices, computers, computer printers, electrical circuits, semiconductors, software, Internet applications, and machinery. Mr. Rowan also has extensive patent counseling experience which includes providing advice relating to commercially significant IP opportunities, IP risk assessment and risk mitigation. Mr. Rowan’s litigation background includes all aspects of IP litigation including discovery, claim construction and motions practice, and trial work.

Mr. Rowan brings with him significant technical experience gained as an electrical engineer working onsite at NASA. “We are delighted to welcome Grant to the firm. He brings with him great technical experience and strategic insight that will help us support our clients in a variety of industries. In order to better serve the mid-Atlantic region, we expect to continue developing our IP presence in DC—and Grant joining our team is an important step in that process,” said David Cavanaugh, Vice-Chair of the Intellectual Property Department in WilmerHale’s DC office.

Gedrich Appointed to Penn State Alumni Council
Stradley Ronon partner Alan R. Gedrich was recently appointed to the Pennsylvania State University’s Alumni Council for a three-year term. He was also named co-chair of the Alumni Council’s Budget & Finance Committee. The Alumni Council is the governing body of the University’s 160,000 member Alumni Association, one of the largest alumni associations in the United States

As a member of the firm’s investment management practice group, Gedrich counsels investment funds, including mutual funds, hedge funds and private equity firms and their investment advisors.

Hope A. Comisky Elected to Board of Pennsylvania Bar Institute
Hope A. Comisky, a partner with Pepper Hamilton LLP, has been elected to the Board of the Pennsylvania Bar Institute – the continuing legal education arm of the Pennsylvania Bar Association (PBA). The election was held during the quarterly meeting of the Board of Governors of the PBA in June.

Ms. Comisky, who also serves as Pepper’s Professional Responsibility Counsel, concentrates her practice in employment law counseling, training and litigation. She is a Fellow of The College of Labor and Employment Lawyers. She is a frequent lecturer on employment law topics and has been a speaker at the Northeast Regional Employment Law Institute for many years. Ms. Comisky also has published many articles on employment law and other topics.

Active in the community, Ms. Comisky is chair of the board of trustees of the Center for Literacy, one of the nation’s largest community-based, nonprofit adult literacy organizations. She also has served as a member of the board of directors of the Women’s Law Project, as an officer of the board of trustees of Federation Early Learning Services (previously Federation Day Care Services), and as president of the board of trustees of The Philadelphia School, where she is now an Honorary Trustee.

Kirsten Small Joins Nexsen Pruet's Appellate Practice Group
Kirsten E. Small, who served as senior law clerk for the Honorable William W. Wilkins, Chief Judge of the U.S. Fourth Circuit Court of Appeals, has joined Nexsen Pruet’s Greenville office and will help to expand the firm’s appellate practice in state and federal courts.

Small served with Judge Wilkins in 1994-1995 before assuming the senior clerk position, which she has held since 1996. She also clerked with Fourth Circuit Judge Karen Williams for a year. Her experience touches on a number of areas, including commercial litigation, labor and employment, and alternative dispute resolution.

“Kirsten has a terrific understanding of the appellate process,” said board member, David Gossett, of Nexsen Pruet’s Greenville office. “She’s seen it from the inside, and knows how to prepare, handle, and argue an appeal.”

Small earned her undergraduate degree from Whitman College in Walla Walla, Washington, and her law degree from the Georgetown University Law Center in Washington, D.C.

Nexsen Pruet Strengthens Its Tax Practice Group With Addition Of Matthew Epps
Matthew E. Epps has joined the Columbia office of Nexsen Pruet and will focus his practice in the area of taxation.

Epps earned his undergraduate degree from the Darla Moore School at the University of South Carolina (B.S., 2000), his law degree from the USC School of Law (J.D., 2006), and his LL.M. in taxation law from the New York University School of Law.

Prior to commencing his legal career, Epps was active in the banking industry, including holding credit analyst positions with SouthTrust Bank in Charleston, S.C.
