American Lawyer names DLA Piper Top Firm for Pro Bono Participation
The American Lawyer magazine has named DLA Piper the top law firm based on pro bono participation in the magazine’s 2007 pro bono report, with more than 95 percent of the firm’s attorneys meeting or exceeding 20 hours of pro bono service. DLA Piper also ranked eighth overall in American Lawyer’s AmLaw 200 pro bono scorecard, jumping up from the No. 23 position in 2006.

"DLA Piper’s continued increase in pro bono work throughout all of our U.S. offices reflects our attorneys’ dedication to seek out those in need of pro bono services,” said Lee Miller, joint chief executive officer of DLA Piper. “We look forward to the continued growth of the firm’s pro bono platform and its impact on cases involving both domestic and global affairs.”

“Getting involved and making a difference in the communities in which we live and work is very important to DLA Piper, and we are thrilled to be recognized for our attorneys’ hard work and commitment,” added Francis B. Burch, joint chief executive officer of DLA Piper. “We’ve made pro bono an integral part of the fabric of this firm.”

American Lawyer’s pro bono rankings are based on two criteria: the average number of pro bono hours per lawyer reported by each firm and the firm’s percentage of lawyers who performed more than 20 hours of pro bono work. Based on the pro bono definitions developed by The Pro Bono Institute, American Lawyer defines pro bono work as legal services provided to those who cannot otherwise afford them. For the purposes of its calculations, American Lawyer also limited pro bono activity to U.S. offices only.

DLA Piper logged more than 109,000 pro bono hours in 2006, representing a 30 percent increase over 2005. The percentage of the firm’s lawyers who worked 20 hours or more rose to over 95 percent, an increase from 63 percent in 2005.

International Attorney Joins Nelson Mullins in Atlanta
Se Ho Moon has joined Nelson Mullins Riley & Scarborough LLP in Atlanta as an associate in the International Transactions Practice. He will focus on corporate, economic development, immigration, and international law.

Fluent in Korean, Japanese, and English, Mr. Moon has experience providing legal services to Korean and Japanese businesses regarding immigration, business transactions, and government relations. He has also published a series of columns regarding immigration law in both Korean and Japanese newspapers.

Jeong-Hwa Lee ("June") Towery, leader of the nine-member group of multilingual lawyers and professionals, said, "With his experience, maturity and motivation, Se Ho is a welcome and much needed addition to our practice." He will assist Ms. Towery in the Firm's representation of numerous foreign companies in the automotive industry in Alabama and Georgia.

Mr. Moon earned a Juris Doctor from Georgia State University College of Law in 2005. In 1998, he earned a Bachelor of Business Administration from Yonsei University in Seoul, Korea, where he was an honor student and a scholarship recipient from SK Chemical Co., Ltd. Mr. Moon completed a study of the Japanese Language in 1993, at the Shurin Language School in Tokyo, Japan. He is admitted to practice law in Georgia and Alabama.

From 1998 to 2001, Mr. Moon worked for Samsung Fire & Marine Insurance Company in Seoul, Korea as underwriter on the specialty insurance team. He underwrote commercial liability insurance policies and negotiated annual reinsurance treaties and individual reinsurance policies with various reinsurance providers. He also participated in developing a specialty insurance product for the IT industry covering restoration costs of lost data and replacement costs of computer storage equipment damaged by computer viruses.

From 2001 to 2002, Mr. Moon worked for First American Title Insurance Company in Seoul, Korea, helping to establish a branch in Korea and advising on compliance with the laws and regulations governing foreign insurance companies.

Hewlett-Packard in Two Acquisitions
Cleary Gottlieb is representing Hewlett-Packard, the computer industry giant, in its acquisitions of Opsware, Inc., a market leader in data center automation software, and Neoware, Inc., a provider of thin client computing and virtualization solutions. The separate transactions were announced on July 23, 2007 and are expected to close by the end of 2007.

The Opsware acquisition is valued at $1.6 billion, and the Neoware acquisition is valued at $334 million.

HP is a global provider to consumers, businesses and institutions of technology solutions, including IT infrastructure, computing, imaging and printing, with annual revenues totaling $91.7 billion in 2006. Cleary Gottlieb previously represented HP in its 2006 acquisition of Knightsbridge Solutions and its 2005 acquisition of Peregrine Systems.

Fiat in €1 Billion Debt Deal
Cleary Gottlieb acted as Italian and U.S. counsel to issuer Fiat Finance North America, Inc. and guarantor Fiat S.p.A. in FFNA’s Reg. S offering of €1 billion in 5.625% Senior Notes due 2017. The notes were the first takedown from Fiat’s recently-updated €15 billion Reg. S/Rule 144A Global Medium Term Note Programme and the first major capital markets deal undertaken by FFNA in recent years. Cleary Gottlieb helped Fiat and its finance subsidiaries update the programme earlier this year, after having worked with them to reactivate the programme in 2006 following a several-year hiatus. The offering closed on June 12, with advantageous terms that demonstrate the European market's continued appetite for Fiat debt.

Fiat, the parent company of one of Italy’s largest industrial groups, is engaged principally in the manufacture and sale of automobiles, commercial vehicles, agricultural and construction equipment, and other automotive-related products and systems. FFNA is a finance vehicle wholly owned by Fiat.

Firm Serves as Lead Counsel in $6.6 Billion Acquisition by Cerberus
Lowenstein Sandler PC represents Cerberus Capital Management, L.P. in its $6.6 billion acquisition of United Rentals, Inc., the largest equipment rental company in the world, with operations in the United States, Mexico and Canada. In the transaction, Cerberus will acquire all of United Rentals’ issued and outstanding capital stock and will assume an aggregate of $2.6 billion in debt. The deal is expected to close in the fourth quarter of 2007.

Paris Competition Team Triumphs in a Major Litigation Victory for France's Leading Media Distributor
Latham & Watkins' Paris competition team has won a major victory for France's leading media distributor, Nouvelles Messageries de la Presse Parisienne (NMPP). The French Competition Council in Paris judged that NMPP did not commit any abuse of dominant position and rejected a claim that the group conspired with world-leading publisher, Hachette, to discriminate against the publisher of Télé Z, a low-priced TV magazine. Latham has advised NMPP in the related litigation since 2004, with Paris partner Hugues Vallette Viallard representing NMPP before the Competition Council.

New Special Counsel Joins Schulte Roth & Zabel's Employment & Employee Benefits Group
Schulte Roth & Zabel LLP ("SRZ") is pleased to announce that Scott Landau has joined the firm as special counsel in the Employment & Employee Benefits Group. Mr. Landau joins SRZ from Bristol-Myers Squibb Company where, as head of its Employee Benefits and Compensation Legal Group, he handled employee benefit and compensation issues, executive and non-executive, in the context of divestitures, acquisitions, reductions in force and restructurings in the U.S., Puerto Rico, Europe, Asia Pacific and Latin America. He negotiated and drafted employee benefit and compensation representations, warranties and covenants and assessed change in control and employee benefit liabilities in corporate transactions. Mr. Landau served as lead counsel and secretary to BMS's Pension and Savings Plan Committees and advised and counseled BMS on executive compensation and nonqualified plan matters, issues relating to its domestic and international pension and welfare plans, fiduciary duties, reporting and disclosure requirements and corporate governance.

Prior to his tenure at BMS, he was a senior associate at Hogan & Hartson LLP, advisingcompanies on a wide range of employee benefit and executive compensation matters.
