Jack Goodman Named “Power Lawyer” by The Hollywood Reporter, ESQ.
Counsel Jack Goodman was named to The Hollywood Reporter, ESQ.’s list of the most powerful lawyers representing the media industry. In their list of the top five lawyers representing the entertainment industry’s interests in Washington, DC, the newsletter refers to Mr. Goodman as “a consummate insider and avid networker.” The article also cites Greg Schmidt, vice president of new development and general counsel for LIN Television Corporation, as saying, “Jack is smart and knows broadcast law as well as anybody on the planet. He’s a relentless networker and knows everyone in the broadcast industry and almost everyone at the FCC.”

The list of top government “Power Lawyers” ran in the July 24th issue as part of The Hollywood Reporter, ESQ.’s overall list of the “2007 Top 100 Outside Counsel.” Other categories in which they identified outstanding lawyers include litigation, talent, corporate, IP/technology and labor. The government lawyers listed are collectively described as “helping to determine the playing field on which their clients in Los Angeles and New York will operate.”

White & Case and Brzobohatý Brož & Honsa Advise on the Largest-ever M&A Deal in the Czech Republic
White & Case and Czech law firm Brzobohatý Brož & Honsa ("BBH") are advising PPF Group N.V. ("PPF") in the creation of one of Central and Eastern Europe's largest insurers through a joint venture with Italian insurance blue chip Generali Group ("Generali"), which was signed in Milan on Tuesday, 10th July. The deal, which will transfer the Central and Eastern European insurance assets of both groups to a new joint venture company, is believed to be the largest-ever M&A transaction involving the Czech Republic. Completion of the transaction is expected in the second half of 2007 and is subject to approval by the relevant regulatory and antitrust authorities.

The joint venture will create one of the leading insurance businesses in the region, with premium income of €2.6 billion and more than nine million clients. PPF contributed its subsidiary Ceská pojištovna, a.s., the leading Czech insurance company valued for the purpose of this transaction at €3.6 billion, to the new joint venture company. The move represents an important step for both PPF and Generali in expanding their insurance business in one of the fastest growing regions of Europe.

"It has been a pleasure, challenge, and honour to work on this magnum calibre transaction, which is without precedent in CEE. The combination of the dynamic PPF Group and the bluest of Italian blue chips, Generali, is a new landmark for transactions in this part of the world, and shows that business opportunities continue to improve dramatically every year. The market has waited a long time to see what would happen with PPF's Czech Insurance Company, but the result is likely to impress even the toughest Czech critic," commented White & Case partner Michal Dlouhý.

The White & Case team advising PPF Group was led by partner Michal Dlouhý in Prague, working closely with Damian Beaven, Michal Smrek, Robert Vydra and Tomáš Hlavácek in Prague, Andrew O'Keeffe in London, and Mark Powell and Krzysztof Kuik in Brussels.

Tomáš Otruba, the BBH partner responsible for the deal, commented: "The success of our clients is the only thing that counts for us. It was a considerable undertaking as structuring counsel and we were pleased to coordinate the varied international legal services in the production of such a world class joint venture. This is emblematic of how business in this part of the world has become cross-border in nature and innovative in character. I am proud that our long-standing work for PPF Group has culminated in such a highly successful transaction."

Tomáš Otruba led the BBH team structuring this transaction which was comprised of Peter Mlejnek, Andrea Siráková, Tomáš Sedlácek in Prague and Peter Malovec of the BBH Bratislava office.

PPF is the Czech Republic's largest financial group controlled by Petr Kellner, a Czech entrepreneur with a strong track record of success. Generali is Europe's third-largest insurer, as well as Italy's market leader, and is active in insurance and asset management in 10 Central and Eastern European countries.

Thompson Hine Adds Business Litigation Lawyer; Burton Joins Dayton Office
Chad E. Burton has joined the law firm of Thompson Hine LLP as an associate in the firm’s Business Litigation practice group. Mr. Burton focuses his practice on complex business disputes, including breach of contract, business torts, manufacturer/distributor issues, appeals and general commercial litigation. He has represented clients before state and federal courts and in alternative dispute resolution processes, including arbitration and mediation. Prior to joining Thompson Hine, he was an associate at an Ohio firm where he assisted corporate clients with complex business litigation matters.

Mr. Burton is admitted to practice in the state of Ohio and before the Court of Appeals for the Sixth Circuit and the United States District Court for the Southern District of Ohio.

Mr. Burton earned his J.D., cum laude , in 2004 from Case Western Reserve University School of Law and his B.A. in political science in 2001 from Miami University.

Partner Rick Geller Announces Candidacy for Orange County Commission
Rumberger, Kirk & Caldwell partner Rick Geller announced his candidacy for the Orange County Commission term-limited seat currently held by District 1 Commissioner Teresa Jacobs.

The well-known attorney is eager to take the step from the courtroom to the political arena.

Geller also spearheaded a campaign which raised over $2.3 million to construct a community center in the Dr. Phillips area.

Carol M. Degener, Investment Management Attorney, Joins Pepper Hamilton's New York Office
Pepper Hamilton LLP announced that Carol M. Degener has joined its New York office as of counsel in the Financial Services Practice Group. Ms. Degener has a broad corporate and corporate finance practice that includes the establishment and operation of hedge funds and fund of funds, domestically and offshore.

“Carol provides Pepper with much-needed support and depth in our rapidly growing hedge fund and alternative investment practice,” said Richard P. Eckman, chairman of Pepper’s Financial Services Practice Group. “She will be a great asset to us, and we look forward to working with her.”

Ms. Degener joined Pepper from Seward & Kissel LLP in New York, where she was counsel in the firm’s Corporate Finance Group.

“Joining Pepper is an excellent way for me to grow my practice and expand my reach in the hedge fund arena,” said Ms. Degener. “Joe Del Raso, Greg Nowak and others have built a tremendous foundation for the investment management practice at Pepper, and I am looking forward to helping them and others create an even stronger footing for the firm’s hedge fund practice.”

Ms. Degener’s practice includes working with SEC-registered investment advisers and commodity pool operators. She has experience with the structuring of management companies and general partners, regulatory compliance, solicitation agreements and disclosure regarding performance. She also is experienced in shipping sale leaseback transactions, financings and asset acquisitions and dispositions, and asset-backed securitization transactions, with a particular emphasis on financial services fee and lease receivables.

Additionally, Ms. Degener has worked with private placements – including Rule 144A and Regulation S placements – of debt and equity, secured and unsecured lending transactions, joint ventures and acquisitions. She also has experience in the aircraft area, in connection with asset acquisitions, dispositions and financings.

Ms. Degener is a graduate of Barnard College, Columbia University (B.A. 1983), Columbia University’s School of International and Public Affairs (M.I.A. 1984) and Harvard Law School (J.D. 1987).

Stephanie John Leads Legislative Team
Stephanie G. John, labor and employment attorney in our Houston office and active member of the South Montgomery County Woodlands Chamber of Commerce, was recently appointed to Co-Team Leader of the Legislative Team of the Chamber.
