Centerbridge in Consumer Finance Company Acquisition
Cleary Gottlieb is representing Centerbridge Capital Partners, L.P. in its purchase of Green Tree Servicing, a specialty consumer finance company, from funds managed by Fortress Investment Group and Cerberus Capital Management affiliates. The closing is expected in the third quarter of 2007 and is subject to customary regulatory approvals and closing conditions.

Centerbridge is a $3.2 billion multi-strategy private investment fund dedicated to partnering with world-class management teams to invest across multiple stages of a company's life cycle. Centerbridge uses various strategies to help companies achieve their operating and financial objectives. Centerbridge's limited partners include many of the world's most prominent financial institutions, university endowments, pension funds, and charitable trusts.

Green Tree is a specialty consumer finance company that serves the mortgage and manufactured housing markets. The company is one of the largest servicing platforms in the United States with over 700,000 accounts. Green Tree services approximately $20 billion in assets, including the nation's largest portfolio of manufactured housing loans. The company also services home equity, home improvement and consumer installment loans and offers insurance products through its insurance agency affiliate.

Pizza Pizza completes C$70 million acquisition of Pizza 73
Torys represented Pizza Pizza Royalty Income Fund and Pizza Pizza Limited in the acquisition, private placement and offering, working with Dan Vukovich, General Counsel, Pizza Pizza Limited. Torys' team included James Scarlett, Glen Johnson, Wendy Kennish, Peter Bryce, David Ho, Stephen Jaggers and Mary Thomas-Nagel (corporate and securities); Corrado Cardarelli and Richard Johnson (tax); Amanda Balasubramanian, Natasha De Cicco and Jennifer Manning (lending); Eric Boehm and Joanne Nardi (intellectual property); Tara Sastri (pension and employment); and Katharine Alexander-Carew (real estate).

Pizza Pizza Royalty Income Fund (TSX: PZA.UN) and Pizza Pizza Limited completed the acquisition of Flying Pizza 73 Inc. and its affiliated companies for a combined purchase price of C$70.25 million.

The transaction included the fund's (through Pizza Pizza Royalty LP) C$54.04 million acquisition of Pizza 73's trademarks and other intellectual property assets, and the C$16.21 million acquisition of Pizza 73's operating business.

Also in connection with the transaction, the fund issued a C$23.8 million offering of subscription receipts on July 5, 2007. Concurrent with the closing of the acquisition, Pizza Pizza Royalty LP entered into a credit facility co-led by BMO Bank of Montreal and Toronto-Dominion Bank. In addition, Michael Overs, indirectly, and the Pizza 73 vendors, acquired 766,392 units on a private placement basis for total proceeds to the fund of approximately C$7 million.

Perkins Coie Names Eric Fjelstad Anchorage Office Managing Partner
Perkins Coie announced today that its Executive Committee has appointed Eric B. Fjelstad to succeed Thomas Daniel as managing partner of its Anchorage office.

Fjelstad has been with the firm for eight years, and has practiced environmental and natural resources law in Alaska since 1994. His practice focuses on project development, NEPA, and permitting of mining, oil and gas, forestry, and heavy infrastructure projects. He advises clients on contaminated sites and decommissioning of industrial projects, compliance, due diligence, OSHA proceedings and governmental investigations. He also provides litigation services, including the defense of governmental and citizen enforcement actions. His clients include Alaska Native corporations as well as outside companies operating in Alaska.

"We are pleased that Eric has agreed to take on this new role and thank Tom for seven-and-a-half years of outstanding service," said Robert Giles, the firm's managing partner. Frank Lloyd Speaking at CTAM Summit
Frank W. Lloyd is facilitating a session entitled "Managing MDUs" on Wednesday July 25 from 2:30 to 3:45 pm. at the annual Summit of the Cable Telecommuications Advertising and Marketing Association in Washington, DC. Frank, a member of the firm's DC office Communications Section, will discuss the latest rulings of the courts and the FCC on access by cable and its competitors to the wiring and utility conduits in multi-dwelling units, and how those ruling affect cable company dealings with landlords and developers.

The CTAM Summit attracts in excess of 2,000 cable programmers, operators and advertisers annually.

Strasburger Congratulates Clients GulfMark Offshore and Flowserve on Ringing in the Start and End of the Trading Day on the New York Stock Exchange
Strasburger & Price, LLP joins clients GulfMark Offshore, Inc. and Flowserve Corporation in celebrating GulfMark’s first day on the New York Stock Exchange (NYSE) and on Flowserve’s tenth anniversary of listing on the NYSE.

GulfMark executives rang the bell at 9:30 EST on Friday, July 20, 2007 signaling the opening of the market. It was GulfMark’s first day on the exchange, having moved from The NASDAQ Global Select Market. GulfMark will trade under the symbol "GLF".

In an interesting twist, executives of another Strasburger client, Flowserve, rang the bell to signal the close of the NYSE on the same day. Flowserve received this honor on the tenth anniversary of its formation and listing on the NYSE. Flowserve, which trades under the ticker symbol "FLS", is one of the world’s leading providers of fluid motion and control products and services. Operating in more than 55 countries, Flowserve produces engineered and industrial pumps, seals and valves as well as a range of related flow management services.
