Paul Hastings Represents Parent Company of Algeco in $2.2 Billion Acquisition of Williams Scotsman, Inc.
Paul, Hastings, Janofsky & Walker LLP, a leading international law firm, announced today that it represented the parent company of Algeco, the European space rental company, in the acquisition of Williams Scotsman, Inc., a leading provider of modular space solutions. The $2.2 billion all-cash transaction includes the refinancing of outstanding debt.

Under the terms of the transaction, Williams Scotsman shareholders will receive $28.25 per share in cash, which represents a premium of approximately 21 percent to Williams Scotsman's closing price on Nasdaq on July 18, 2007. Williams Scotsman may solicit alternative proposals from third parties through August 17, 2007. The transaction is expected to close in the fourth quarter of 2007, subject to approval by Williams Scotsman's shareholders, customary closing conditions and regulatory approvals. The transaction is not subject to a financing contingency.

The transaction will establish the combined company as the leading global provider of modular space solutions and a top-five global player in the rental services market through the combination of Williams Scotsman's North American modular solutions business and Algeco's space rental businesses in Europe. Upon completion of the acquisition, the combined company will operate in 16 countries, and employ more than 4,600 employees.

The Paul Hastings corporate team included partners William Schwitter and Luke Iovine, and associates Glenn Schoenfeld and Anupama Ahluwalia.

Greenberg Traurig Expands its Litigation Practice with the Addition of Peter A. Antonucci in New York
Greenberg Traurig, LLP announced today that Peter A. Antonucci has joined the New York office as a shareholder in the Litigation Practice. He will be focusing his practice on products liability, toxic torts and punitive damages. He has served as national coordinating counsel in medical device and pharmaceutical liability cases as well as in body armor and heavy equipment cases. Peter is also experienced in antitrust, bankruptcy, hotel management, contract and commercial matters.

“Peter’s presence augments our full range of litigation services and his extensive experience in products liability litigation adds to the scope of our practice, thereby enhancing our ability to serve our clients,” said Alan Mansfield who chairs the Litigation practice in the firm’s New York office.

Humana Inc. Taps Squire Sanders as Regulatory Counsel in Five States in US$360 Million Acquisition of CompBenefits Corporation
Squire, Sanders & Dempsey L.L.P. is representing Humana Inc., one of the nation’s largest publicly traded HMO and health benefits companies, in obtaining regulatory approvals from five states for a US$360 million acquisition that will enable the company to provide an expanded customer base and an even broader array of services. Squire Sanders was retained to assist Humana in making regulatory filings and seeking approvals from the Alabama, Arkansas, Florida, Illinois and North Carolina insurance departments.

Humana recently agreed to purchase CompBenefits Corporation – a growing, privately held dental and vision plan provider. Humana provides a broad variety of health insurance products and related services to employer groups, government-sponsored plans and individuals. The company has more than 11 million medical members. CompBenefits provides dental and vision benefit plans to over 4.8 million members, serving more than 14,000 employer groups in 22 states.

“This important acquisition will enable our client to reach an even larger customer base and offer expanded services for two virtually universal medical needs – dental and vision care,” said Gary Timin, a Squire Sanders partner who represents insurers and other intensively regulated businesses and oversees the firm’s work for Humana Inc.

Sidley Austin LLP Advises Merkur Group on Nursing Home Acquisition
The international law firm Sidley Austin LLP has advised the Merkur Group on the acquisition of five nursing homes and the legal framework for a sixth home on behalf of the Bezirksverband der Arbeiterwohlfahrt Hessen-Süd e.V. (AWO Hessen-Süd). The six nursing homes are located in the Hesse and Baden-Württemberg regions and will be built and developed by the Merkur Group. The total investment will be approximately EUR 70 Million. The transaction, which was completed in June 2007, will create modern, long-term day-care centres for the elderly community.

The Sidley team was led by Dr. Georg Rützel (Partner, Frankfurt am Main).

Opened in 2006, Sidley's Frankfurt office assists clients on corporate finance, capital markets, cross-border transactions, securitisation and structured finance and derivatives with a particular focus on equity offerings. Lawyers in the Frankfurt office are also experienced in structuring REITs and other innovative investment vehicles. For example, recently the office advised on the first pan-European mortgage-backed securities offering. The transaction teams are supported by the German tax structuring practice. The office also assists German and global clients with corporate work of all kinds, including public and private M&A transactions.

Four DLA Piper Attorneys named “Top Attorneys” by San Diego Daily Transcript
DLA Piper US LLP today announced that four attorneys have been named among the Top Attorneys for 2007 by the San Diego Daily Transcript. They are John Allcock, partner and co-chair of the firm’s Technology, Media and Communication practice; Lisa Haile, partner and co-chair of the firm’s Life Sciences practice; Cameron Jay Rains, partner and co-chair of the firm’s Corporate and Securities practice; and Karen ZoBell, partner in the firm’s Real Estate practice.

“It comes as no surprise to us that the San Diego Daily Transcript has cited these outstanding partners," said Michael Tracy, managing partner for the firm’s San Diego office. “We are delighted that these attorneys have been recognized for their superb work and professional experience, their achievements as lawyers and their dedication to our clients."

The list of San Diego County's Top Attorneys for 2007 is the culmination of a voting process in which San Diego County lawyers were asked to nominate and then vote for their peers, “the best and brightest in San Diego’s legal arena,” in key categories that reflect the county’s primary practice areas: Corporate Litigation, Corporate Transactional, Criminal, Family Law, IP Litigation, IP Transactional, Real Estate Litigation, Real Estate Transactional, Insurance, Labor-Employment, and Academic.

The names of these top attorneys and their profiles were published in the San Diego Daily Transcript’s Top Attorneys special section on July 18.

About the Top Attorneys

John Allcock is partner and co-chair of the firm’s Technology, Media and Communication practice. He concentrates on patent litigation and has extensive experience handling patent cases through trial and appeal to the Federal Circuit.

In his general litigation practice, Allcock has extensive jury trial experience (lead counsel in excess of 50 cases tried to juries to verdict) and arbitration experience (lead counsel in excess of 100 arbitrations), as well as extensive experience in court trials, International Trade Commission (ITC) hearings, various forms of alternative dispute resolution and management of complex litigation.

Regarding his intellectual property litigation experience, Allcock has tried 23 patent cases, which include a $26 million dollar jury verdict in a patent and Semiconductor Chip Act case (Brooktree v. AMD); trial of a semiconductor patent case in the International Trade Commission (Fujitsu v. Samsung); defense of a multiple patent case (Finnigan v. Hewlett-Packard Company); a finding of infringement and validity and an exclusion order, in a six-patent case (Hewlett-Packard Company v. Gateway); and a multimillion-dollar verdict in a software patent case (Adobe v. Macromedia).

The respected English research firm Chambers & Partners cites Allcock in Chambers USA: America’s Leading Lawyers for Business, calling him an "excellent litigator" with "wide-ranging trial expertise." The San Diego Daily Transcript first named him among San Diego County's Top Attorneys in 2006. Allcock also has been named a SuperLawyer, as the result of a joint research project by Law & Politics magazine and The San Diego Union-Tribune.

Lisa Haile is a partner and co-chair of the firm’s global Life Sciences practice. Haile focuses on strategic counseling relating to all areas of biotechnology and life sciences intellectual property law. She has prepared and prosecuted hundreds of patent applications, both in the United States and worldwide, involving many different technologies, including diagnostics and therapeutics. In addition, Haile has particular experience in patentability, non-infringement and validity opinions, due diligence work in connection with venture capital, private and public financing, mergers and acquisitions in the biotechnology industry and strategic counseling for comprehensive life sciences patent portfolio management.

Haile lectures regularly at industry conferences, academic and nonprofit institutes and seminars, and internally for companies to update and train personnel on biotech patent matters. She was named one of the country’s top 45 Lawyers Under 45 by American Lawyer magazine in January 2003--the only San Diego lawyer named to the list and one of only seven women. In August 2005, she was named one of the Top Attorneys in San Diego and cited in The Best Lawyers in America. In 2007, she was named a Southern California SuperLawyer. Haile is a recipient of the 2005 San Diego Women Who Mean Business Award.

Cameron Jay Rains is partner and co-chair of the firm’s Corporate and Securities practice. He concentrates his practice in corporate finance, venture capital, strategic partnering, SEC registered public offerings and mergers and acquisitions.

His representative clients are both retail and consumer and include QUALCOMM Inc., P.F. Chang's China Bistro Inc., Jack in the Box, Jamba Juice, Garden Fresh Restaurant Corp. (Souplantation), Daphne's Greek Café, Accredited Home Lenders, Invitrogen Corp., SeQual Technologies Inc., Rincon Pharmaceuticals Inc. and Investment Science Corp.

Rains was selected to appear in the 2006 edition of The Best Lawyers in America. The San Diego Daily Transcript also named him among San Diego County's Top Attorneys in 2006.

Karen ZoBell is a partner in the firm’s Real Estate practice. She concentrates in real estate acquisition and development, land use, permitting, entitlement and resolving environmental and hazardous materials issues relating to real estate transactions.

She has represented land developers in obtaining land use entitlements and negotiating obligations for infrastructure from various governmental agencies for master planned communities. She has also been extensively involved in the approval of statutory development agreements conferring vested rights for development in seven cities and counties, having drafted, negotiated and obtained several agreements. ZoBell has also represented landowners and developers in preparing and obtaining certification by governmental agencies, and in defense of environmental documents under the California Environmental Quality Act.

ZoBell has also negotiated a remedial action plan with relevant governmental agencies and resolved allocation of responsibility among potentially responsible parties for a former burn landfill. ZoBell is listed in The Best Lawyers in America and was also named a San Diego Super Lawyer, in a joint project of Law & Politics magazine and the San Diego Union-Tribune.

DLA Piper advises China International Marine Containers on €108 million acquisition of Burg Industries
DLA Piper has advised China International Marine Containers (Group) Co Ltd (CIMC), one of the largest container manufacturers in the world, on its acquisition of Netherlands-based Burg Industries BV, a fast-growing and leading supplier of road transport equipment and special static tanks. The €108 million acquisition provides CIMC with an 80% stake in Burg Industries (Burg).

As well as structuring, documenting and negotiating all aspects of the deal, DLA Piper also provided advice on European Union competition law, which included restructuring the acquisition after the European Commission objected on competition grounds to the original acquisition in February 2006.

The transaction was led by Mabel Lui and Tejinder Mahil, partners in DLA Piper's Hong Kong office. "As Chinese companies continue their offshore expansion there is strong demand for legal services from experts who both understand the dynamic business and regulatory environment in China and are able to negotiate the complex regulatory landscape in Europe. DLA Piper's international experience in a wide range of practice areas allows our clients to consider conditions in all countries involved, helping clients make informed and strategic business decisions," said Mrs Lui.

DLA Piper's Hong Kong office worked closely with teams in: Amsterdam; Brussels; Germany; France; DLA Piper Group firm, Cliffe Dekker, in South Africa; and lawyers in Finland on various aspects of the deal.

Mr Mahil said, "Our team's experience in cross-border deals and joint ventures in Asia, combined with the expertise of DLA Piper's well-established offices in a number of jurisdictions, were key to the deal. We were delighted to be able to provide CIMC with the right combination of local and international legal advice to enable it to successfully undertake and conclude this strategically-important acquisition.

"China is at present the world's largest container producer and further expansion into overseas markets is expected," said Nick Seddon, Asia Managing Director of DLA Piper. "European companies have been expanding into China for some time, but now more and more Chinese companies are in a position to grow their European and international operations. CIMC's acquisition of Burg illustrates this trend."

Burg's products, which include road transport equipment and special static tanks, are well established in international markets, particularly in Europe. Through the acquisition, CIMC, listed on the Shenzhen Stock Exchange, is expected to broaden its product line and global presence. It is also expected to benefit from research, product development and production facilities.
