Burr & Forman LLP Named “Go-To Law Firm” for Financial Services Companies
Burr & Forman LLP has been named a “Go-To Law Firm” for Financial Services Companies by American Lawyer Media (ALM).

“Go-To Law Firms” were identified through research conducted by ALM. Researchers asked general counsel at the leading financial services companies which outside law firms they turn to for assistance. ALM’s research department also investigated and gathered data on financial services companies’ “Go-To Law Firms” from various public records resources including court dockets and securities filings, as well as legal and business publications, including The American Lawyer.

About the Guide

ALM’s Corporate Counsel magazine, the nation’s leading magazine for general counsel and in-house attorneys at corporations across the country, will publish a new reference guide to in-house law departments at the nation’s leading financial services companies. The guide will premiere this summer and will include detailed profiles and contact information for general counsel at these corporations, as well as listings of their current outside “Go-To-Law Firms” in various practice areas, including litigation, securities, transactions, compliance and intellectual property.

The Guide was developed in response to a research study of Corporate Counsel readers that revealed that in-house legal department information on the financial services industry was a top priority of respondents,. It will be distributed to more than 10,000 general counsel at financial services companies, and will be available on the Web at www.law.com.

Byron Mason Elected to Defense Federation
Byron K. Mason of Indianapolis, a partner at Baker & Daniels LLP, has been nominated and elected to the Federation of Defense & Corporate Counsel.

Composed of leaders in the legal community, federation members have been judged by their peers to have achieved professional distinction. It is comprised of a select number of experienced attorneys in private practice who devote a substantial amount of their professional time to representing corporations in the defense of civil litigation. Federation members also include general counsel and in-house counsel from throughout the world.

Mason, who joined Baker & Daniels in 1988, practices in litigation, focusing primarily on commercial, products liability, mass tort and employment matters. He represents several Fortune 500 companies nationally in complex commercial and products liability litigation.

Earlier this year, Mason was named co-chair of the 600-member Mass Torts Committee by the American Bar Association's Section of Litigation. He previously served in a leadership role with the Product Liability Committee of the ABA Section of Litigation.

Mason is involved in a number of community activities and has served on numerous for-profit and not-for-profit boards in Indianapolis. He currently serves on the board of trustees at Franklin College and board of directors for the Humane Society of Indianapolis. He graduated from Indiana University and the University of Iowa College of Law.

Baker & McKenzie Acts for Swiss Economic Cooperation Organization in the Establishment of a Green Credit Trust Fund in Vietnam
Baker & McKenzie LLP’s Vietnam offices advised the Swiss Economic Cooperation Organization (“SECO”) of the Swiss Ministry of Economic Affairs in respect to the establishment of a “Green Credit Trust Fund” (“GCTF”) for the promotion of environmental technologies in Vietnam.

Under the agreement signed by SECO and the Viet Nam Cleaner Production Centre (“VCPC”), the fund will be used to grant low interest loans for small- and medium-sized Vietnamese companies looking to buy modern, environmentally friendly technologies to increase production.

With an initial level of US$5 million, the GCTF facilitates access to finance by guaranteeing 50 percent of the credits used for the investment in “green” manufacturing equipment and facilities. In addition, if the investment achieves pre-defined environmental improvements, up to 25 percent of the investment costs will be reimbursed to the enterprise.

The Baker & McKenzie team for this deal in Vietnam was led by partner Fred Burke and assisted by associates Dang Linh Chi and Simon Taylor.

“We are pleased to have advised the Swiss Economic Cooperation Organization on this innovative venture,” said Fred Burke. “The fund will facilitate the access of small and medium enterprises to new environmental production technologies and at the same time promoting environmental awareness in Vietnam.”

Three participating Vietnamese banks, the Asia Commercial Bank (ACB), Techcombank and the Vietnam International Bank (VIB), will work with the VCPC to disburse the credits and monitor the results. The agreements establishing the Fund were signed on July 17, 2007 by the Minister of Economic Affairs of the Swiss Confederation, Mrs. Doris Leuthard, and the General Director of the VCPC, Mr. Tran Van Nhan.

Baker & McKenzie Advises Fletcher Building Limited on its US$750 Million Acquisition of Formica Corporation
Baker & McKenzie has advised Fletcher Building Limited on its acquisition of Formica Corporation from Cerberus Capital Management L.P. The sale closed on 2 July 2007 at a price of US$700 million, with additional contingent payments of up to US$50 million based on Formica achieving specific performance milestones.

A global Baker & McKenzie team assisted Fletcher Building with various aspects of the transaction. In New York, the team included Corporate Partners Charles Niemeth and Alan Zoccolillo, Intellectual Property Partner Pamela Church and Associate Lisa Rosaya, Employee Benefits Partner Richard Reilly and Tax Counsel Ross Macdonald. Washington-based Antitrust Partner David Laing and Counsel Brian Burke provided merger control advice on the transaction.

Due diligence assistance was also provided by Bankruptcy Partners Joe Samet and Ira Reid and Associate Matthew Sandiford in New York, Litigation Partner Robert Allen and Associate Robert Berry in Dallas, as well as attorneys in the Firm's offices in Germany and Austria.

US Capital Markets Partner Andrew Reilly led a team from the Firm's Sydney office that provided US law advice to Fletcher Building on its NZ$327.6 million placement of ordinary shares to institutional investors in May 2007. Net proceeds from the placement were used to partially finance the acquisition.

Andrew Reilly said "We were very pleased to represent Fletcher Building. The acquisition of a company such as Formica, with a broad global presence, exemplifies the benefits that the Baker & McKenzie network can offer, as the transaction was handled seamlessly across several jurisdictions. Over 40 lawyers from 15 offices in 10 countries worked on the acquisition of Formica. In addition, Fletcher Building was able to conveniently access US capital markets expertise from our Sydney office for its equity placement."

Fletcher Building, a New Zealand corporation, is a building materials manufacturer and distributor with operations in concrete, steel, plasterboard, panel products, aluminium extrusion, insulation, roofing, flooring, sinkware and aggregates. The company is also involved in residential and commercial construction in New Zealand.

Formica, which is based in Cincinnati, Ohio (USA), is a manufacturer and distributor of decorative surfacing products with businesses in Asia, Europe and North America.

Fletcher Building's New Zealand counsel, Bell Gully, also advised on the acquisition. Formica was represented by Weil Gotshal & Manges and Cerberus was represented by Schulte, Roth & Zabel.

Wilson Sonsini Goodrich & Rosati Expands Export Controls & Economic Sanctions Practice
Wilson Sonsini Goodrich & Rosati, the premier provider of legal services to technology, life sciences, and growth enterprises worldwide, today announced that Melissa B. Mannino has joined the firm as Of Counsel in the export controls and economic sanctions practice. Mannino comes to the firm from the U.S. Department of Commerce's Office of Chief Counsel for Industry and Security (OCC), where she most recently served as chief of the Enforcement and Litigation Division.

"We are very excited to have Melissa join our growing team of export controls and economic sanctions experts," said partner Lisa Prager, "and I am particularly delighted to be reunited with her, as Melissa served as my counsel while I was at Commerce. Her vast experience gives her invaluable insight into the government's positions on export controls and will be of great benefit to our many clients who deal with these issues. She worked on many high-profile matters and is regarded as a star lawyer in this complex area."

Attorneys at the OCC work closely with the Bureau of Industry and Security (BIS), including counseling BIS on legal issues relating to export licensing and antiboycott compliance issues, reviewing and interpreting the Export Administration Regulations, and drafting and reviewing proposed export control legislation. As chief counsel of the Enforcement and Litigation Division, Mannino served as lead attorney for BIS's Export Enforcement offices, supervising attorneys and support staff on all enforcement and litigation matters and working with senior management on legal and policy issues. She was a key adviser to BIS on the development and implementation of policies concerning resolution of administrative enforcement cases and also worked with the State and Treasury Departments on export control issues and the training of federal prosecutors. Prior to her tenure as division chief, Mannino was a senior attorney at the OCC, with responsibility for all aspects of administrative export enforcement cases and providing counsel on procedural and disclosure issues concerning congressional requests, grand jury subpoenas, and Freedom of Information Act requests.

Before joining the OCC, Mannino had been a Special Assistant United States Attorney at the U.S. Attorney's Office for the District of Columbia, as well as counsel to the Department of Commerce's Office of Special Matters. Early in her career, she was an associate at Leftwich & Douglas (now Leftwich & Ludaway) in Washington, D.C., and served as counsel to the U.S. Senate's Permanent Subcommittee on Investigations. Mannino received her J.D., cum laude, from the New England School of Law in 1993, and a B.A. in economics from Union College in 1990.

Mannino will be based in the firm's Washington, D.C., office
