Veteran Real Estate Finance Attorney Andrea Paretts Ascher Joins Proskauer Rose As Partner
Proskauer Rose LLP, an international law firm with over 700 lawyers worldwide, announced that Andrea Ascher has joined the firm as a partner in its New York office. She brings significant experience in domestic and cross-border real estate finance and is a recognized national leader in construction lending.

Ms. Ascher is also the latest addition to Proskauer's rapidly-expanding Real Estate Department. The firm recently welcomed Louis Eatman and Douglas Frank of Mayer, Brown, Rowe & Maw to its Los Angeles office, as well as D. Eric Remensperger, who joined from Gibson, Dunn & Crutcher and heads Proskauer's West Coast Real Estate Department, and Donald Liebman, a leading real estate tax attorney who joined the firm's New York office as senior counsel from Stroock & Stroock & Lavan LLP.

"Andrea is an important addition and complement to the growth of the Real Estate Department's finance capabilities and will be a significant and impactful part of our team," said Ronald Sernau, co-chair of Proskauer's Real Estate Department.

Ms. Ascher also brings extensive experience with interim and permanent loans, sale-leasebacks, equity participating mortgage loans, workouts, and other secured lending transactions. She represents lenders originating loans for their own portfolios and for the secondary markets in numerous complex transactions as well as purchasing and selling whole loans and component notes and handling intercreditor, co-lending, and participation agreements on multi-bank transactions for a wide range of properties.

She joins Proskauer from Cadwalader, Wickersham & Taft LLP and was also a member of the real estate department at Parker Chapin Flattau & Klimpl LLP. Ms. Ascher is a member of the American College of Real Estate Lawyers, a past chair of the New York State Bar Association Real Property Law Section Committee on Finance and Liens, and member of the Real Property Law Committee of the New York City Bar. She is a graduate of Emory University School of Law and Cornell University.

Proskauer's Real Estate Department handles complex real estate transactions worldwide for a broad spectrum of clients that includes institutional and specialty lenders, developers, private equity real estate funds, investment banks, pension funds, domestic and foreign investors, REITs, sports stadium owners, and corporate owners of real estate. The group's attorneys work on transactions across all sectors of the real estate business including: acquisitions and dispositions; development and management of commercial, industrial, residential, hospitality and mixed use properties; joint ventures; the formation of real estate funds; the public and private offering of debt and equity real estate securities; senior and mezzanine financing transactions; leasing on behalf of landlords and major tenants; real estate litigation; real estate workouts and foreclosures; and real estate reorganization transactions.

McDermott Expands International Trade Group With USTR Attorney
McDermott Will & Emery is pleased to announce that Jay T. Taylor has rejoined the Firm as partner in the International Trade Practice Group based in the Washington, D.C. office.

Prior to rejoining McDermott, Mr. Taylor worked at the Office of the United States Trade Representative (USTR), where he served as Associate General Counsel. While at USTR Mr. Taylor acted as lead U.S. counsel in a number of cases at the World Trade Organization (WTO) in Geneva, Switzerland, including the Beef Hormones dispute, the first WTO dispute to be opened to the public, and compliance proceedings in the Japan Apples and Chile Price Band disputes.

In addition, Mr. Taylor advised the agency on a wide range of trade policy issues including food safety, trade in agricultural products, technical barrier to trade and the development of standards at international organizations. He also served as agriculture and sanitary and phytosanitary (SPS) counsel in recent free trade agreement negotiations, as well as in wine negotiations.

"Jay rejoins McDermott with an array of new experience," commented Bobby Burchfield, co-partner-in-charge of the Firm’s Washington, D.C. office. "He will be a great contributor to our International Trade Practice Group."

Mr. Taylor earned his J.D., cum laude, from Tulane University and his B.A. in English from Princeton University. He is admitted to practice in the District of Columbia and Maryland.

London Office Boosts Securitisation and Structured Finance Team With Key Partner Appointment
International law firm McDermott Will & Emery is pleased to announce the appointment of Kate Lamburn as a partner in the London Securitisation and Structured Finance Group and the hire of two associates in the Firm’s fast growing securitisation and structured finance practice.

Kate joins McDermott from Ashurst in London where she was previously a partner in the Securities and Structured Finance Group and then subsequently the Director of Professional Development for that group. She was previously a partner at the London office of Weil, Gotshal & Manges.

Kate focuses her practice on cash and synthetic CDOs and other structured debt products. She has significant experience acting for market leading arrangers, trustees and collateral managers.

Loeb & Loeb LLP Advised Windswept Music Holdings on its Acquisition by Bug Music
Loeb & Loeb LLP advised Windswept Music Holdings, one of the world’s most successful independent music publishers, on its acquisition by Bug Music, Inc. Bug’s acquisition of Windswept Holdings, LLC was announced on July 13 by John Rudolph, CEO of Bug Music, Inc. and Ichiro Asatsuma, Chairman of FujiPacific Music, Inc. (Japan’s largest independent music publisher, and a subsidiary of Fuji Television Network, Inc., as well as the former parent of Windswept). The acquisition and merger creates one of the largest independent music publishers in North America. The new catalog offers a wider selection of services for Bug’s and Windswept’s songwriters and publishers and a broader, more diverse catalog of compositions for licensors in TV, film, advertising, video games and new media.

John Frankenheimer, Co-Chair of Loeb & Loeb and head of the firm’s music practice, provided Windswept with publishing and intellectual property advice and with Harold Flegelman, Co-Chair of the firm’s Corporate Media & Entertainment Group, orchestrated the sales process. Frankenheimer has negotiated the sale or acquisition of some of the largest music publishing catalogs in history, representing billions of dollars over the past half dozen years. Additionally, he represents a diverse group of clients including the Grateful Dead (including their recent precedent-setting licensing agreement with the Warner Music Group), Univision Music Group, Diana Ross, Vince Gill, Gaylord Entertainment, Sony BMG and Frontline Management.

Other recent music industry deals Frankenheimer has been involved in include:

* Representation of Bertelsmann AG in their sale of BMG Music Publishing for EUR 1.63 billion (approximately US $2.09 billion) to winning bidders, Vivendi and its subsidiary Universal Music Group.
* In the $2.6 billion acquisition of Warner Music Group, Frankenheimer represented the investors Edgar Bronfman, Jr.; Thomas H. Lee Partners; Bain Capital; and Providence Equity Partners group, and served as IP and trademark counsel and advisor in connection to recording industry matters.

Frankenheimer said of the larger trend in the music publishing marketplace (Billboard 7/28/07), “More and more we see situations where parties are looking for something beyond just the price. They may want to form strategic alliances and create other synergies for their companies as part of the deal.”

Anthony Insogna and George Howard Named to San Diego Daily Transcript's Top Attorneys 2007

Holland & Knight Partner Greg Baldwin to Speak at Asia-Pacific Financial Crime Conference & Exhibition
Greg Baldwin, a partner in the Miami office of Holland & Knight and a member of the firm's national Anti-Money Laundering Team, will again be a key speaker at the annual Asia-Pacific Financial Crime Conference & Exhibition, to be held in Singapore on August 2nd and 3rd.

The conference brings together world experts in banking, government, business and law enforcement to share the latest trends in anti-money laundering, fraud and terrorism financing activities. Baldwin, a recognized speaker and lecturer on anti-money laundering criminal and regulatory compliance, will speak at three different sessions during the conference, focusing his discussions on anti-money laundering and counter financing of terrorism.

Baldwin practices in the areas of complex commercial litigation and white collar criminal defense. He specializes in the Foreign Corrupt Practices Act, U.S.A. Patriot Act, the Bank Secrecy Act, the Money Laundering Control Act, and OFAC regulations, as well as anti-money laundering and OFAC compliance program development and implementation. He is a Certified Anti-Money Laundering Specialist and a member of the American Bar Association Task Force on the Gatekeeper Initiative.

Since 2000, Baldwin has made numerous presentations on these subjects, including the International Conference sponsored by Money Laundering Alert and the Florida International Bankers Association Annual Anti-Money Laundering Compliance Conference. Former Assistant United States Attorney Alexander Southwell Joins Gibson Dunn's New York Office
Gibson, Dunn & Crutcher LLP is pleased to announce that Alexander H. Southwell has joined the firm's New York office as of counsel. Mr. Southwell previously served as an Assistant U.S. Attorney with the U.S. Attorney's Office in the Southern District of New York. He is a member of the firm's White Collar Defense and Investigations, Crisis Management, Litigation, Securities Litigation and Intellectual Property Practice Groups.

Gibson Dunn continues to increase its White Collar strength. Mr. Southwell joins a number of former Assistant U.S. Attorneys at Gibson Dunn, including Jarrett Arp, Robert Blume, Robert Bonner (U.S. Attorney, Cent. Dist. of Calif.), David Burns, David Debold, Lee Dunst, Miguel Estrada, Michael Farhang, Douglas Fuchs, Nicola Hanna, Peter Jaffe, Randy Mastro, Marcellus McRae, Orin Snyder, John Sturc, Maurice Suh, Jim Walden, Joseph Warin, Gregory Whitehair, and Debra Wong Yang (U.S. Attorney, Cent. Mr. Southwell served from 2001 through 2007 as an Assistant U.S. Attorney with the U.S. Attorney’s Office in the Southern District of New York. As a federal prosecutor and member of the Securities and Commodities Fraud Task Force for three years, Mr. Southwell investigated and prosecuted a wide range of cases under the federal securities laws, including accounting fraud, insider trading, fraudulent offering of securities, market manipulation, and hedge fund improprieties.

Mr. Southwell also focused on investigating and prosecuting computer hacking and intrusion cases and intellectual property offenses, as well as other high-technology offenses. Additionally, Mr. Southwell prosecuted a range of cases including wire and mail frauds, insurance fraud, public corruption, bank secrecy act violations, identity theft, firearms crimes, tax offenses, child exploitation, and immigration crimes. As a federal prosecutor, Mr. Southwell tried a dozen felony cases and handled over a dozen appeals before the Second Circuit Court of Appeals.

Mr. Southwell is also an Adjunct Professor of Law at Fordham University School of Law where he teaches a seminar on cyber-crimes, covering computer misuse crimes, intellectual property offenses, the Fourth Amendment in cyber-space, computer evidence at trial, data breach and privacy issues, and information security, among other areas.

Mr. Southwell earned his undergraduate degree, magna cum laude, from Princeton University and his law degree, magna cum laude, from New York University School of Law. Following law school, Mr. Southwell served as a Law Clerk for the Honorable Naomi Reice Buchwald of the United States District Court for the Southern District of New York.
