Pepper Hamilton Broadens New York Corporate & Securities and Tax Capabilities
Pepper Hamilton LLP announced that it has expanded its New York corporate & securities and tax practices with the addition of partners Mitchell S. Ames and James H. Stevralia.

Mr. Ames and Mr. Stevralia join Pepper’s rapidly expanding New York office from Hogan & Hartson LLP in New York, where both were partners. They add depth and breadth to the office’s full range of corporate, finance, securities, securitization and business transaction services.

Mr. Ames, who joins Pepper’s Corporate and Securities Practice Group, has been involved in many of the highest profile business and reorganization transactions of the past 10 years, and has been recognized by Chambers USA as a leading media transactional lawyer. He has extensive experience in domestic and international mergers and acquisitions, private equity investment, joint venture formation, public and private capital raising, restructurings and intellectual property licensing.

Mr. Stevralia, who joins the firm’s Tax Practice Group, assists U.S. businesses of major international listed companies and domestic entities with mergers and acquisitions, new venture structuring, and the effective utilization of tax losses and credits. He also assists clients in federal and state tax audits, state tax board hearings, federal appeals and Tax Court litigation.

“Mitchell and Jim often work together on mergers, acquisitions and private equity transactions,” said James D. Rosener, the partner in charge of Pepper’s New York office. “Together, they have developed a broad client following drawn to their ability to provide focused legal solutions to business issues. Geoffrey Groshong, partner at Miller Nash, named as trustee in MILA, Inc. Chapter 11 bankruptcy filing
Geoffrey Groshong, partner at Miller Nash LLP has been selected by the United States Trustee’s office to serve as the trustee over the July 2, 2007, Chapter 11 bankruptcy filing by MILA, Inc., a former Mountlake Terrace, Washington, subprime residential mortgage loan company that shut down April 20, 2007.

Groshong will be responsible for liquidating MILA’s assets and distributing the proceeds to creditors. At the time of the filing, documents provided by MILA showed assets of approximately $7.8 million and liabilities of approximately $174.7 million.

Subprime mortgage lender bankruptcy filings have been on the rise since late 2006 as a result of market concerns regarding loan quality.

Prominent Antitrust Litigator Joins Latham & Watkins as Partner in San Francisco Office
Latham & Watkins LLP1 is pleased to announce that antitrust litigator, Alfred C. Pfeiffer, Jr., has joined the firm as a partner in the San Francisco office.

Pfeiffer is an accomplished antitrust litigator with extensive experience in civil antitrust cases, civil and criminal government antitrust investigations, and other competition-related commercial cases. He practices across numerous industries and has been particularly active in the telecommunications and information technologies arenas. Pfeiffer also advises companies regarding the antitrust aspects of acquisitions, joint ventures and distribution agreements.

Pfeiffer graduated summa cum laude from St. Joseph University with a Bachelor of Arts degree and received his law degree from Yale University in 1985. He is active in the antitrust bar, having held several positions in the American Bar Association Antitrust Section, including Vice-Chair of the Communications Industry Committee (2000-2003), Chair of the Communications Industry Committee (2003-2006) and Co-Chair of Committee Operations (2006-present). In addition, he has also been active in community affairs, including The Salvation Army, the United Service Organization and Yale Law School alumni activities.

King & Spalding Advises GulfCap in US$446 Million Acquisition of Dalma Drilling Services
King & Spalding, a leading international law firm, represented GulfCap Group Limited in its US$446 million acquisition of Dalma Energy LLC.

Dalma is a drilling service company wholly-owned by Aabar Petroleum Investments Company PJSC, a public joint stock company listed on the Abu Dhabi Securities Market. Dalma currently operates 22 land rigs in Algeria, India, Oman, Qatar and Saudi Arabia.

The King & Spalding legal team involved in the transaction was led by partner Jawad Ali and senior associate Wael Wahbeh, both of the Dubai office. They were supported by counsel Maria Vargas of the Houston office and senior associate Patrick Campos of the Dubai office.

“We are honored to have represented GulfCap on this acquisition, which represents but the first step in its ambitious program of energy-related acquisitions,” Ali said. Philip Weems, the managing partner of King & Spalding’s Dubai office, added: “The Dalma Energy acquisition is the fifth major transaction that the King & Spalding Dubai office has closed for our clients in just the past six weeks. These transactions, which have a total value in excess of US$1 billion, include key deals in Bahrain, Saudi Arabia, Dubai and Abu Dhabi—two of which involved providing advice to our clients in successful competitive tenders.”

Robert Perry Named Managing Partner of King & Spalding’s New York Office
King & Spalding, a leading international law firm, announced today that Robert F. Perry, 49, has been appointed managing partner of its New York office. He replaces Michael J. O’Brien, who resigned from the firm.

A noted patent litigator with extensive experience in electrical and computer engineering, Perry joined King & Spalding’s New York office as a partner in August 2004 from Kenyon & Kenyon, where he was a member of its management committee. Perry has been instrumental in expanding King & Spalding’s intellectual property practice in New York, especially in the areas of patent litigation and patent prosecution.

In his new role as managing partner, Perry will oversee the firm’s New York office.

Commenting on his own appointment, Perry said: "I am honored to be asked to manage the firm’s New York office. I look forward to building on our strong foundation. We will continue to develop our practices of corporate/private equity, real estate capital markets, finance, financial restructuring, intellectual property, securities/business litigation, international arbitration and professional services liability. We will also explore opportunities in further service areas. We are enthusiastic about the many opportunities before the firm as a whole and I expect the New York office to continue to be at the center of many of them."

Felice F. Guerrieri, 35. Felice Guerrieri is an experienced litigator who devotes the majority of his practice to handling a variety of insurance defense matters, with particular emphasis on professional liability, personal injury and products liability. Mr. Guerrieri has experience in representing regional and national insurers, manufacturers and retailers on these subjects. His cases have been reported by both the Arizona Court of Appeals and the Ninth Circuit Court of Appeals. Mr. Guerrieri earned his J.D. in 2001 from Southern Illinois University School of Law, where he was Articles Editor of the Southern Illinois University Law Journal.

Angeli C. Aragon, 47. Angeli Aragon represents clients in litigation involving commercial, employment, environmental, intellectual property and professional liability matters. Ms. Aragon also handles insurance coverage matters and appeals. She earned her J.D. in 1990 from the University of California at Los Angeles School of Law. While at U.C.L.A. Law, she was a member of the Moot Court Honors Program and a judicial extern to Hon. Cynthia Holcomb Hall, U.S. Court of Appeals for the Ninth Circuit. Masayo Kimoto, 52. She has also handled insurance coverage matters in real estate disputes. Additionally, Ms. Kimoto has mediation and arbitration experience. With a background in accounting and substantial business experience, she brings a business as well as legal focus to the matters she handles on behalf of clients. Ms. Kimoto received her J.D. in 2000 from Loyola Law School, where she was a member of the St. Thomas More Law and Phi Delta Phi Law Honor Societies. Ms. Kimoto is fluent in Japanese.

Camille Y. Townsend, 25. Camille Townsend focuses her litigation practice in the areas of employment litigation, general liability litigation and professional liability defense. She is also thoroughly familiar with contract and agreement drafting. Ms. Townsend earned her J.D. in 2006 from the University of Wisconsin Law School, where she participated in the Thurgood Marshall Mock Trial and Frederick Douglass Moot Court Competitions and was a “Friends of LEO” Fellow. While in law school, she served two judicial internships: first, in 2004, to Hon. Patrick Fiedler, of the Dane County Circuit Court, and second, in 2006, to Justice Louis Butler, of the Wisconsin Supreme Court.

Ellie A. Levy, 35. Ellie Levy is an experienced insurance attorney, routinely engaging in coverage litigation matters and analyzing insurance contracts for insurers. Graduating cum laude, Mr. Rice received his J.D. in 2004 from DePaul University College of Law.
