April Dendy Joins Nelson Mullins in Myrtle Beach
April Blair Dendy has joined Nelson Mullins Riley & Scarborough LLP in Myrtle Beach as an associate, where she practices in the areas of corporate law; partnership law; taxation of corporations, partnerships, and real estate transactions; and tax exempt organizations.

Before joining Nelson Mullins, Ms. Dendy interned with the South Carolina Senate Judiciary Committee. This internship was a University of South Carolina semester program, where Ms. Dendy was one of 12 students selected to participate, observe, and contribute to Senate Judiciary Committee meetings.

Ms. Dendy earned a Master of Laws (LL.M) in Tax from New York University in May 2007. In 2006, Ms. Dendy earned a Juris Doctor, magna cum laude, from the University of South Carolina School of Law, where she was a member of the Order of the Coif, Phi Delta Phi, and the Order of Wig and Robe. While in law school, Ms. Dendy served as research editor of the ABA Real Property Probate and Trust Journal. She served as a peer mentor for incoming first year law students and attended a transnational dispute resolution seminar in London. In 2003, Ms. Dendy earned a Bachelor of Science in Business Administration, magna cum laude, from the University of South Carolina Honors College, where she was a member of Phi Beta Kappa.

Miller Canfield Attorney Speaks at National Association of Credit Management Expo
The law firm of Miller Canfield announces that Todd A. Holleman, a principal in the Detroit office, recently gave a presentation entitled “Understanding the Legal Process” at the National Association of Credit Management’s Credit Congress and Exposition in Las Vegas, Nevada.

Holleman’s practice includes litigation in the areas of securities, commercial contracts, equipment leasing, and construction.

He is a member of the American Bar Association, State Bar of Michigan, State Bar of Ohio, and Detroit Metropolitan Bar Association. He is also a volunteer host at the Selfridge Air National Guard Museum.

He received his J.D. summa cum laude from the Wayne State University Law School, where he was the assistant editor of the Wayne Law Review. He earned a B.B.A. magna cum laude from Grand Valley State University where he majored in marketing.

The law firm of Miller Canfield was established in Detroit in 1852 and employs more than 800 in offices in Michigan, Massachusetts, Florida, New York, Canada and Poland.

Jones Day Advises Atlas Pipeline Partners L.P. in $1.85 Billion Acquisition
Jones Day advised Atlas Pipeline Partners L.P. (APL) in the $1.85 billion acquisition of control of Anadarko Petroleum Corporation's interests in the Chaney Dell and Midkiff/Benedum natural gas gathering and processing systems.

The Chaney Dell natural gas gathering and processing system, previously 100% owned by Anadarko, is located in northwest Oklahoma and southern Kansas, near the center of the Anadarko Basin. Throughput on the Chaney Dell system averaged 226 Mmcf/d in 2006, and is centered within an active drilling area.

The Midkiff/Benedum natural gas gathering and processing system, which was approximately 73% owned by Anadarko, is located in the Spraberry Trend of the Permian Basin, near Midland, Texas. In 2006, the Midkiff/Benedum system had approximately 139 Mmcf/d of average throughput.

Affiliates of APL and Anadarko effected the transaction through the creation of two separate joint ventures that will own the respective systems.

Jones Day Obtains Eleventh Circuit Victory in ERISA Case
The United States Court of Appeals for the Eleventh Circuit affirmed the grant of summary judgment to Jones Day's client - CBS Corporation - in a case brought under ERISA by former employees of CBS seeking permanent job separation benefits.

The plaintiffs worked at a facility that was initially owned by Westinghouse Electric Corporation (which became CBS Corporation) and was later sold to Siemens Corporation. The pension plan for Westinghouse employees included permanent job separation (i.e. layoff) benefits for participants who satisfied certain requirements, but not if an employee was offered continued employment by a "successor employer." The pension plan established by Siemens when it purchased the facility did not include permanent job separation benefits. Siemens eventually closed the facility at which the plaintiffs worked. The plaintiffs sought permanent job separation benefits from CBS, which informed them that they were ineligible under the terms of the Westinghouse plan because they had been offered employment with Siemens, a "successor employer." The plaintiffs then sued CBS, the Westinghouse Plan, Siemens, and the Siemens Plan, contending that the defendants violated ERISA's anti-cutback and merger rules by denying them permanent job separation benefits.

Affirming the district court's grant of summary judgment, the Eleventh Circuit unanimously rejected the plaintiffs' claims. ERISA's anti-cutback provision, the Eleventh Circuit explained, "does not override conditions originally imposed by the pension plan." Because the plaintiffs never qualified for the benefits at issue under the terms of the Westinghouse plan, no plan amendment rendered them ineligible for benefits, and the anti-cutback provision did not apply. The court further explained that ERISA's merger rules did not apply because the Westinghouse and Siemens plans were separate entities, and there was no transfer of assets or liabilities between them.

The Eleventh Circuit issued its decision in McCay v. Siemens Corp., (No. 06-12346) on July 25, 2007. The Jones Day lawyers who worked on the case were Glen Nager, Shay Dvoretzky, and Sandra Kaczmarczyk (Washington), and Amy Dias (Pittsburgh).

Bentley Board Certified in City, County & Local Government Law
Mark Bentley, a shareholder with the law firm GrayRobinson who practices in the firm's Tampa office, has been certified by The Florida Bar as a specialist in City, County and Local Government Law. City, county and local government law is the practice of law dealing with legal issues of county, municipal or other local governments. Board certification is the highest level of recognition by The Florida Bar, and recognizes an attorney's special knowledge, skills and proficiency in an area of law approved for certification by the Supreme Court of Florida, along with professionalism and ethics in practice.

To be certified in city, county and local government law, a lawyer must practice law for at least five years and been substantially involved in the practice of city, county and local government law during the three years preceding application. Each certified lawyer has passed peer review, a comprehensive written examination, and completed 60 hours of continuing legal education within the three years immediately preceding application.

Mark is also a member of the American Institute of Certified Planners of the American Planning Association and has recently been appointed by the Association to its national Amicus Curiae Committee.

Kim Hernandez Vance Appointed to Tampa Bay Regional Planning Council
Kim Hernandez Vance was appointed by Governor Crist on July 17th to the Board of the Tampa Bay Regional Planning Council. Kim is a second generation Tampa native and great granddaughter of Casimiro Hernandez, the founder of the world famous Columbia Restaurant in Ybor City. Kim, a commercial litigation attorney in the Tampa office of GrayRobinson, represents clients in cases involving creditors' rights, banking regulation and defense, real and personal property rights, foreclosures, replevins, landlord-tenant disputes, uniform commercial code litigation and other matters. She is an "AV" rated lawyer by Martindale-Hubbell, the highest rating given by this service. Since passing the Florida Bar, her experience has encompassed a diverse commercial litigation practice. Most recently, Kim earned her certification as a Circuit Civil Mediator. Her civic activities include the Ybor City Rotary Club, The Spring of Board of Trustees, Boyscouts of America and Gulf Ridge Council Hispanic Outreach Committee.

The Tampa Bay Regional Planning Committee is made up of local government officials and community leaders from each of Tampa Bay's 43 jurisdictions. The committee is charged with investing in future of the region by developing strategic plans for environmental management, water quality, emergency preparedness, planning, protecting, and restoring the Tampa Bay estuary, coastal zone management, hurricane evaluation and recovery planning, local government comprehensive plan review, dispute resolution and review of transportation plans. The Tampa Bay Regional Planning Committee is one of 11 regional planning committees in the state of Florida.
