Buchanan Ingersoll & Rooney Shareholder Darin Zenov Named in 2007 Florida Legal Elite™
Buchanan Ingersoll & Rooney PC is proud to announce that tax shareholder Darin Zenov has been honored by his peers as one of the 2007 Florida Legal Elite™, a select group comprising the top two percent of lawyers practicing in Florida.

The selection process included balloting members of the Florida Bar to provide the names of Florida lawyers they hold in the highest regard. Lawyers were allowed to cast only one ballot and could not vote for themselves. The results were tallied by an independent research firm, and a Blue Ribbon Panel of prominent lawyers reviewed the list of attorneys who garnered the most votes.

The 2007 Florida Legal Elite™ is published in the July 2007 issue of Florida Trend magazine.

Buchanan Ingersoll & Rooney Shareholder Bill Manning Selected as Delaware Super Lawyer
Buchanan Ingersoll & Rooney PC announced today that shareholder William E. Manning has been honored by his peers and selected as a Delaware Super Lawyer 2007. Only the top 5 percent of Delaware lawyers received this distinction.

The criteria reviewed for the award include: noteworthy verdicts or settlements; creativity or innovation within the legal process; number of cases tried or transactions handled; years in practice; position within firm; professional activities; writings and lectures; community involvement and volunteer work; professional degrees or training; and academic background, including honors and clerkships.

The results of the survey will be published by Law & Politics Media, Inc. in its annual publication Delaware Super Lawyers.

Baker & McKenzie Advise Abacus on the $A85 Million Purchase of Swissotel Sydney
Baker & McKenzie has advised Abacus Property Group on its A$85 million acquisition and management agreement of the Swissôtel Sydney. The purchase from Singaporean company MCH (Services) PTE Limited, brings the total assets of Abacus' Hospitality Fund to A$265 million, with over 1360 rooms under management.

The 359-room, deluxe five-star hotel will continue to be managed by Swissôtel Hotels and Resorts, which currently operates 22 luxury hotels worldwide. Swissôtel is one of four brands owned by Fairmont Raffles Holdings International.

Situated between the city's busiest shopping precinct and the CBD's main thoroughfare, the Swissôtel is central to Sydney's prime business, tourist, shopping and entertainment districts. Baker & McKenzie lawyers Roy Melick (Partner) and David Jones (Senior Associate) led the hotel real estate and business acquisition team, with Graeme Dickson (Partner) and Jacqui Keller
(Associate) acting on the management agreement between Abacus and Swissôtel.

Commenting on the deal, Roy Melick said "this transaction is significant for our client, providing them with a valuable hotel asset. The hotel is uniquely located in a mixed use building that comprises a carpark, Myers department store and residential apartments located in the retail centre of Sydney. The negotiations for the acquisition were lengthy and involved discussions with parties in Canada, the United States and Australia."

The sale was managed by David Gibson of Jones Lang LaSalle Hotels. MCH (Services) PTE Limited was advised by Freehills and Swissotel were advised by Heller Ehrman LLP.

Baker & McKenzie Acts for TradeDoubler AB in the IMW Group Acquisition
Baker & McKenzie LLP has advised TradeDoubler AB on its acquisition of all the shares in Interactive Marketing Works Ltd and its subsidiaries (The IMW Group) for £56 million.

The IMW Group consists of The Search Works, a search engine marketing agency, and The Technology Works, a technology provider for search engine marketing.

TradeDoubler, listed on OMX Nordic Exchange, Stockholm, is a pan-European digital marketing company, with headquarters in Sweden. The acquisition is strategically important to TradeDoubler AB's growth plans in product expansion and for further internationalisation.

General Counsel, Niklas Lundquist, said: "We were delighted to extend our existing relationship with Baker & McKenzie through this significant transaction. We have a strong relationship with Baker & McKenzie in Stockholm and on many of our 18 other markets in Europe. The responsive and highly commercial team in Baker & McKenzie, London, led by Michael Herington, have definitely helped to cement that relationship. I am sure that we will be working together again as TradeDoubler moves forward with realising its growth strategy.''

Baker & McKenzie LLP Represent Mobile Network Operators in Significant Copyright Tribunal Win
Baker & McKenzie LLP has represented four Mobile Network Operator (MNOs) - O2 (UK) Limited, Orange Personal Communications Services Limited, T-Mobile International (UK) Limited and Vodafone UK Content Services Limited - in a successfully concluded high-profile matter before the UK Copyright Tribunal.

The MNOs were challenging the reasonableness of the licensing terms offered by the Mechanical-Copyright Protection Society Limited (MCPS) and the Performing Right Society Ltd (PRS) for the use of the MCPS's and PRS's copyright protected repertoire in online and mobile music services. The reference commenced in mid-2005. The Copyright Tribunal has the jurisdiction to determine the reasonableness of terms offered by copyright collecting societies like the MCPS and PRS. This reference was significant because it involved the first consideration of what terms should apply to music licensed for digital use online and via mobile networks and originally included all the major players in the music industry, including the record companies (via their trade organisation the British Phonographic Industry Ltd), iTunes S.a.r.l, Yahoo! UK Ltd, RealNetworks Ltd, Sony United Kingdom Ltd, AOL (UK) Ltd, MusicNet (UK) Ltd and Napster LLC.

The majority of issues originally in dispute between the MNOs, and the MCPS and PRS, were settled in September 2006, but the parties were unable to settle the scope of the revenue base to which the agreed royalty rates should be applied. In particular, the MNOs, iTunes, Yahoo!, RealNetworks and AOL continued to challenge the reasonableness of the terms offered by the MCPS and PRS for the treatment of advertising revenue earned by licensees. As a result, this issue went to trial at the end of 2006. The MCPS and PRS argued for a broad, indeterminate revenue base, which the MNOs said was unreasonable and over-reaching.

In its decision of 16 July 2007 (which can be found at http://www.ipo.gov.uk/ctribunaldownloadingdecision.pdf), the Copyright Tribunal agreed with the substance of the MNOs' complaint and on 31 July 2007 the Copyright Tribunal recognised this by ordering that the MCPS and PRS pay a significant proportion of the MNOs costs of pursuing the reference. A costs order of this nature is very unusual in the Copyright Tribunal, where the usual High Court costs rule do not automatically apply, and this is the second one secured by Baker & McKenzie for a client in recent years - the previous one being in favour of Universities UK v Copyright Licensing Agency Ltd in 2002 (decision available at http://www.ipo.gov.uk/uukvclacosts.pdf).

The MNOs were represented by Mr Henry Carr QC of 11 South Square (Senior Counsel), Ben Allgrove of Baker & McKenzie (Lead Associate and Junior Counsel) and Michael Hart of Baker & McKenzie (Lead Partner).

Andrews Kurth Attorney Receives “Dealmaker” Recognition: Kathleen Wu Named a Top 500 Practitioner on Lawdragon List
Lawdragon, a quarterly print and online publication serving the legal community, has named Kathleen J. Wu of Andrews Kurth as one of the nation's top 500 "Dealmakers." The attorneys listed encompass a wide range of transactional expertise involving mergers and acquisitions, securities, private and public financing, and real estate. Ms. Wu is one of only 11 Dallas-based attorneys on the Lawdragon list.

To complete the list of top transactional attorneys, Lawdragon staff interviewed thousands of legal professionals about who they would trust to handle their own legal affairs. The results of that survey and independent research make up the prestigious list, which includes less than .01 percent of all the lawyers in the nation. Andrews Kurth’s Corporate Practice Continues its Growth With Addition of Greg Rayford
Andrews Kurth is pleased to announce that Greg W. Rayford has joined the firm's Houston office as a Partner and will practice in the Corporate/Securities group.

Rayford was most recently Corporate Counsel for Science Applications International Corporation, serving as lead counsel on domestic mergers and acquisitions and divestitures.

Before his recent in-house role, Rayford spent eight years at Kirkland & Ellis where his deal experience included various strategic and leveraged buyouts and recapitalizations, divestitures, venture capital and minority investments, strategic alliances, public and private offerings of debt and equity securities, restructurings, senior and subordinated debt financings, private equity fund formations, and executive incentive arrangements.

Rayford earned his J.D., magna cum laude, in 1998 from the University of Wisconsin Law School. He earned a B.A. in business administration from the University of Wisconsin in 1989.
