GUNSTER YOAKLEY EXPANDS INTO NORTH FLORIDA, OPENS OFFICE IN JACKSONVILLE
Palm Beach County’s oldest and largest full-service law firm, Gunster, Yoakley & Stewart, continues to expand its scope and service area with the opening of its newest office in Jacksonville, Fla. With six additional offices in Ft. Lauderdale, Miami, Palm Beach, Stuart, Vero Beach and West Palm Beach, Gunster Yoakley has more than 130 attorneys who concentrate their practice in one of the firm’s core legal practice areas: corporate matters, real estate, litigation and private wealth services.

“As one of the premier law firms in Florida, it’s only natural that we continue to expand and establish a strong presence in North Florida, just as we have done for more than 80 years in South Florida,” said Donald J. Beuttenmuller Jr., managing shareholder. “The Jacksonville office will feature a dynamic roster of seasoned attorneys that not only complement, but add to the firm’s vast array of legal services and capabilities.”

Gunster Yoakley recently announced that two attorneys have joined the Jacksonville office. Michael Cavendish is a shareholder and litigation attorney who concentrates his practice in complex commercial litigation, including the representation of national mortgage bankers. Recently appointed by Governor Charlie Christ to the Jacksonville Transportation Authority and named a member of Florida’s Legal Elite by Florida Trend magazine, Cavendish is also a member of the Florida Chapter of the Order of the Coif, a legal honorary scholastic society. He also served as director of the Community Connections of Jacksonville, Inc. from 2002 to 2005. Cavendish earned his juris doctorate and master’s degree in business administration from the University of Florida, and his bachelor’s degree from Florida State University. William E. Adams is a shareholder and litigation attorney who concentrates his practice in complex commercial litigation. He was named a 2006 Up & Coming Legal Elite by Florida Trend magazine. Adams earned his juris doctorate magna cum laude and his bachelor’s degree in arts from Southern Methodist University. He was most recently a shareholder with Jacksonville, Fla.-based McGuire Woods, an AmLaw 100 law firm.

Doug Arnold Reappointed Chair of the American Bar Association's Environmental Enforcement Committee
Doug Arnold has been reappointed chair of the Environmental Enforcement and Crimes Committee for 2007-2008 by the American Bar Association’s Section of Environment, Energy and Resources. The Section of Environment, Energy and Resources currently has more than 9,000 members. "It’s an honor to be asked by my peers to continue in this leadership position for a second term," said Doug Arnold. "In the next year, I look forward to continuing to work with other members of the American Bar Association from both the government and private sector on a wide range of issues relating to enforcement of our country’s environmental statutes and programs. Our committee will also again be sponsoring several teleconferences on such topics as the U.S. Department of Justice’s recent enforcement accomplishments and U.S. EPA’s national enforcement priorities in 2008."

Mr. Arnold was also recently appointed as co-chair of the Mass Environmental/Toxic Tort Subcommittee of the Environmental Litigation Committee of the ABA Section of Litigation. "Alston & Bird has a strong environmental practice, and Doug’s leadership in environmental enforcement and litigation matters is an integral part of our success," said Bob Mowrey, chair of Alston & Bird’s Environmental and Land Use Group. "We’re proud that his colleagues at the American Bar Association recognized his leadership and expertise, and appointed him to these important positions."

Professionally, Mr. Arnold has a national practice focusing on toxic tort and environmental litigation. He also represents clients in criminal and civil enforcement proceedings under the Clean Water Act, Clean Air Act, the Resource Conservation and Recovery Act, and other environmental statutes. Mr. Arnold is listed for environmental law in The Best Lawyers in America and heads Alston & Bird’s role as national environmental counsel for a national appliance manufacturer, as well as serve on the national litigation and trial teams for a Fortune 50 chemical manufacturer in lawsuits for injuries allegedly caused by exposure to isocyanates.

Mr. Arnold received his J.D. degree, magna cum laude, from the University of Georgia, where he was a member of the Georgia Law Review and Order of the Coif, and his B.A. degree from the University of Virginia.

WilmerHale Represents BAE Systems in Antitrust Clearance for $4.5 Billion Acquisition
BAE Systems, a leading global defense and aerospace company, completed its $ 4.5 billion acquisition of Armor Holdings Inc. WilmerHale represented BAE Systems in obtaining antitrust clearance from the US Department of Justice. This was one of the largest transactions in the history of BAE Systems and the largest transaction in the defense sector so far this year.

The WilmerHale Antitrust and Competition team was led by partners Bill Kolasky and Lee Greenfield.

$30BN Qatargas Series Culminates with Financing of Qatargas 4 LNG Project
White & Case represented project sponsors Qatar Petroleum and Shell in relation to the financing of the Qatargas 4 Liquefied Natural Gas ("LNG") project, the financing documents for which were signed on 27 July. The total amount of financing raised is in excess of $4 billion. The financing consists of different facilities provided by 30 international, regional and Qatari banks, as well as a co-financing facility provided by a wholly-owned subsidiary of Shell. All the facilities have a maturity of 15.5 years. It is expected that when completed the facility's production capacity of 7.8 million metric tonnes of LNG per annum will be mainly available to the North American markets.

The four Qatargas projects are the largest series of sequential LNG project financings to be brought to market, with a combined value of $30 billion and a total production capacity of 40.8 million metric tonnes per annum. The projects, on all of which White & Case has acted for either the sponsors or the lenders on the financing, include the construction of seven LNG trains, with the LNG shipped worldwide by a fleet of 44 tankers.

"The Qatargas series has really pushed back the boundaries of LNG financings, not just in terms of the scale of the four deals, but also in terms of their complexity and innovation. Qatargas II was the largest-ever energy financing in its own right and also the first LNG project to be funded right through the LNG chain; Qatargas 3 was the first LNG financing based entirely on sales to the US alone," commented White & Case partner Philip Stopford, head of the Firm's Energy, Infrastructure, Project and Asset Finance Practice in London. "The successful completion of the Qatargas series, along with the RasGas projects, will cement Qatar's position as the world's premier producer of LNG."

The White & Case team advising the sponsors of Qatargas 4 was led by partner Philip Stopford, working alongside partners David Baker and Craig Nethercott, as well as associate Mark Castillo-Bernaus.

White & Case's Energy, Infrastructure, Project and Asset Finance Practice in London numbers more than 60 lawyers, including 13 partners. The team has been active in London for two decades working on market-leading deals. The Firm's work on the Qatargas series of LNG financings, along with its role on the ongoing $20 billion Sakhalin II (Phase 2) project make it the world's premier legal advisor for LNG project financings.

Governor Taps Thompson Hine Partner for Venture Capital Board
Thomas Zych, a partner at Thompson Hine LLP, has been appointed by Ohio Governor Ted Strickland to serve on the board of the Ohio Venture Capital Authority (OVCA), which oversees the Ohio Venture Capital Fund Program (OVCFP). The program was established by the governor’s office and the Ohio General Assembly to provide investment capital for early-stage companies to help drive entrepreneurial growth and job opportunities.

“I am honored to be selected to serve as part of the OVCA,” says Zych. “The Ohio Venture Capital Fund Program is an important driver of our state’s economic and job growth, and to have the opportunity to assist new businesses in obtaining start-up funds is very gratifying. I look forward to serving the governor and the needs of Ohio’s entrepreneurs.”

Zych leads Thompson Hine’s Emerging Technologies practice. His technology practice focuses on providing strategic counseling to both mature and early-stage technology ventures, including click-and-mortar enterprises, biotechnology and bioinformatics ventures, and established businesses adopting electronic and technologically advanced means of competition. He also is an adjunct professor at the Case Western Reserve School of Law and chair of the American Bar Association’s Privacy and Information Security Committee.

Jessum Authors Chapter in Intellectual Property Law Book
Stradley Ronon attorney Kim R. Jessum has authored the chapter Patent & Trademark License Agreement in the just-released Intellectual Property volume of The In-House Counsel’s Essential Toolkit – a seven-volume set created by the American Bar Association Business Law Section’s Committee on Corporate Counsel.

As a member of Stradley Ronon’s intellectual property group, Jessum focuses her practice in patent, trademark, copyright and trade secret matters. She represents chemical, pharmaceutical and biotechnology clients in both intellectual property litigation and transactional matters.

Verizon Wireless to Acquire Rural Cellular
Skadden is representing Rural Cellular in its approximately $2.67 billion acquisition by Verizon Wireless, announced on July 30. The transaction is expected to close in the first half of 2008. Rural Cellular, based in Minnesota, provides wireless communication services to more than 700,000 customers in 15 states. Verizon — a joint venture of Verizon Communications and Vodafone — is the nation's largest wireless company, providing service to 62.1 million customers.
