Loeb & Loeb Announces New Partners
Loeb & Loeb LLP announced that six associates have been named to the firm partnership. Kevin Eisenberg, Jeffrey Fried, and Laura Maines Vasey of the New York office and David Grossman, Loretta Thompson, and Lawrence Venick of the Los Angeles office have all been promoted to partner.

Kevin Eisenberg (New York) represents a wide array of national senior lenders, second lien lenders, mezzanine debt funds, private equity funds and private equity sponsor groups in all types of financing transactions. He has extensive experience in structuring and closing various debt facilities including senior debt loans, subordinated debt loans, mezzanine loans, second lien loans and private investments in public equity (PIPEs). These financings are made in connection with recapitalizations, restructurings, mergers and acquisitions and private equity transactions.

Jeffrey Fried (New York) has worked on numerous asset-based financing and factoring transactions for major money center financial institutions and investment banks. He has been involved in providing exit financing to debtors and structuring acquisition facilities for purchasers of assets. Mr. Fried also represents equity sponsor groups and mezzanine lenders in private loan and equity transactions. In addition, Mr. Fried has experience in commercial real estate transactions and in the securitization of entertainment-related assets and various other structured finance transactions.

David Grossman’s (Los Angeles) practice focuses on intellectual property and business litigation. Mr. Grossman has represented a variety of clients in all aspects of litigation, including prosecuting and defending claims involving trademark and trade dress infringement, idea submission, false advertising, copyright infringement and unfair competition. Mr. Grossman also has extensive experience in litigating commercial business disputes and appeals in both federal and state courts.

Loretta Thompson’s (Los Angeles) practice includes negotiating and facilitating real estate acquisitions and dispositions as well as handling tax exchanges for national REITs, corporations and individuals. She is also experienced in negotiating and administrating finance transactions, commercial leasing, property management contracts and construction and design contracts.

Laura Maines Vasey’s (New York) experience is in the defense of complex securities fraud actions and related fraud, contract, and tort claims. Her current practice encompasses all aspects of the firm’s litigation practice, including intellectual property and commercial litigation.

Lawrence Venick’s (Los Angeles) practice focuses on the representation of both public and private emerging growth companies, as well as financial institutions. His transactional experience includes venture capital financings, representing both issuers and investors; mergers and acquisitions, representing both acquirers and targets; public offerings of securities; debt financing transactions, including secured and unsecured loans and general corporate representation of public and private companies.

Gulley Appointed to Committees of the Association of Commerce & Industry
Lewis and Roca is pleased to announce that Tom Gulley, a partner with the firm’s Albuquerque office, has been appointed as the chair of both the Legal Reform Committee and the Judicial Review Committee of the Association of Commerce and Industry.

The Association of Commerce & Industry of New Mexico (ACI) is the statewide, legislative advocate of business interests that serves as the state chamber of commerce. The Judicial Review and the Legal Reform Committees focus on issues such as punitive damage limits, defamation, auto insurance reform, liability issues and frivolous claims.

Mr. Gulley is a partner with the firm's Commercial and Tort Litigation, Employment Law and Professional Malpractice Practice Groups. He has extensive experience in complex commercial cases for plaintiffs and defendants. Mr. Gulley has also represented numerous clients in real estate litigation, foreclosures, collections, personal injury, claims, construction disputes, partnership and corporate shareholder disputes, business tort litigation, and lender liability cases.

Gulley received his J.D. from the University of Illinois College of Law (1974, with honors; Order of the Coif) and his B.A. from the University of Illinois (1969).

Attorneys Advise Scholarship Chicago Summer Interns on Understanding the Fundamentals of a Contract
Jenner & Block Associate Mercedes M. Davis and Chris-Tia Donaldson, corporate counsel at Oracle Corporation and a former Jenner & Block Associate, led a luncheon discussion on July 13 for a group of Scholarship Chicago Summer Interns interested in pursuing a career in law.

The session, entitled, “Anatomy of a Contract,” focused on the different components of a contract, from the “Representations and Warranties Section” to “Covenants and Agreements” and the importance of the “Miscellaneous” sections.

The panelists spoke in depth about the importance of thoroughly reading over contracts to understand what both parties are agreeing to. They explained in detail the importance of each section, including what information the other party would need, and how to prevent any confusion that could lead to a breach in contract. As an example, Ms. Davis and Ms. Donaldson told the students how the selling party is required to disclose all pertinent information about the deal that may affect the purchase, and how failure to do so could allow the other party to get out of the contract, which can be costly for both sides.

The panelists also discussed how they decided to pursue a career in law and advised the interns to “do [their] research and do what is best for [them],” in making decisions about law school and a career.

The luncheon discussion is part of an initiative by Scholarship Chicago and law firms in Chicago to give students exposure into the field of law. For eight weeks, the students, who are interning in the participating law firms, learn about different areas of law, applying to law school, the fundamentals of oral argument in court, and mock interviews through weekly seminars.

Scholarship Chicago aims to help underserved students graduate from college and transition into productive careers, by providing them with college preparatory workshops, mentors, summer internships and career networking opportunities. Scholarship Chicago has helped over 1,200 deserving students to date.

Jenner & Block is active in the “High 5” sponsorship of Scholarship Chicago, a campaign dedicated to ensuring financial and professional support for Scholarship Chicago scholars.

Firm Files Brief on Behalf of NAACP Fund Regarding Sentencing Guidelines in Crack Cocaine Cases
The U.S. Sentencing Guidelines that apply to crack cocaine offenses “represent a stain on the criminal justice system, disproportionately affecting African Americans without any legitimate penological justification and engendering a disrespect for the law that undermines the criminal justice system itself,” said a Jenner & Block brief filed in the U.S. Supreme Court on July 26, 2007.

The Firm filed the amicus curiae brief on behalf of the NAACP Legal Defense & Educational Fund, Inc., in the case of Kimbrough v. United States, which the Court will hear on October 2, 2007.

In the case, Derrick Kimbrough, who is African American, was convicted in U.S. District Court in Norfolk, Va., of distributing crack cocaine. A U.S. district judge imposed a 15-year mandatory minimum sentence, declining to sentence Kimbrough to the 19 to 22 years that the Sentencing Guidelines recommend.

The 4th U.S. Circuit Court of Appeals in Richmond reversed, however, saying that judges are not free to impose sentences shorter than the Guidelines “based on a disagreement with the sentencing disparity for crack and powder cocaine offenses.”

A federal law and the Guidelines treat one gram of crack cocaine as the equivalent of 100 grams of powder cocaine. According to the brief, 100-1 crack-powder ratio has been widely criticized as racially discriminatory because African Americans are disproportionately convicted of crack cocaine offenses, even though a majority of crack cocaine users are actually white or Hispanic.

The Jenner & Block brief, which urged the Court to reverse the 4th Circuit and reinstate the 15-month sentence, contended that “the results of these disparities for African Americans have been devastating.” It pointed out that scientific research does not support the conclusion that crack is more addictive or more dangerous than powder cocaine.

Jenner & Block Attorneys Volunteer at JUF Uptown Café
Jenner & Block attorneys and summer associates recently volunteered at the Jewish United Fund’s Uptown Café, an anti-hunger program that provides kosher meals to economically disadvantaged individuals in a restaurant-like setting. This is the fourth consecutive year that attorneys and summer associates from the Firm have volunteered at the Café.

According to the JUF, the Uptown Café atmosphere aims to offer dignity to the people of all faith it serves. The Café also links people to a range of social services, including shelter, counseling, supplementary assistance and advocacy services. Volunteers at the Café socialize with the guests and provide them with personalized table service.

“The Café is a wonderful place,” said Jenner & Block Associate Elizabeth L. Fine, who organized the Jenner & Block event and has volunteered at the Café numerous times. “The evening was great opportunity to reach out to the community and also bond as a group.”

Holland & Knight Charitable Foundation Announces Winners of Second Annual Young Native Writers' Essay Contest
The Holland & Knight Charitable Foundation is pleased to announce the five winners of the firm's second annual Young Native Writers' Essay Contest. The writing contest focuses on the richness of Native American life and history.

The contest, which encourages young Native American writers to explore their heritage in order to become positive forces in their communities, was expanded this year to include high school students from all tribes throughout the United States. This year the project partnered with the National Museum of the American Indian after receiving a strong endorsement last year from its school program manager, Genevieve Simermeyer (Osage).

“We were pleased to give all Native American high school students throughout the United States the opportunity to participate in the contest this year,” said Angela Ruth, executive director of Holland & Knight’s Charitable Foundation. “It is our hope that the contest offers the writers a sense of pride for their rich heritage.”

The five high school student winners will receive an all-expenses-paid trip to Washington, D.C., where their activities will include an honor ceremony and educational program at the National Museum of the American Indian, touring the Capitol and American University, visiting the National Zoo and meeting with students from WINS (Washington Internships for Native Students). The winners, accompanied by the teachers who inspired their entries, also will receive a scholarship ranging from $1,000-$5,000 to be paid to the college or university of their choice during a scholarship ceremony taking place at Holland & Knight''s office in Washington, D.C.

The contest debuted last year in Red Lake, Minn. in response to the March 2005 event where a student at Red Lake High School shot five of his fellow students, a teacher, a security guard, members of his family and then himself. The foundation set up the contest with the hope that the Red Lake community would find healing by promoting its rich culture and traditions.

“I am pleased that Holland & Knight is encouraging American Indian youngsters to share their thoughts and perspectives,” said Honorable Ben Nighthorse Campbell, a former U.S. Senator and currently a senior policy advisor with Holland & Knight. “Indian people have made great strides in recent years, but there is still much to overcome. The voices of our youth give us the perspective of tomorrow's leaders, allowing today''s leaders the opportunity to look at these issues through fresh eyes.”

Donna Greenspan Designated As Board Certified Business Litigation Lawyer
The Florida Bar has designated Donna M. Greenspan as a Board Certified Business Litigation Lawyer, effective August 1, 2007. This certification identifies Ms. Greenspan as an attorney with the special knowledge, skills and proficiency of a specialist in business litigation. Ms. Greenspan has also been a Board Certified Appellate Attorney since 2003.

Ms. Greenspan counsels and represents insurers and reinsurers through all stages of litigation and appeal, in both state and federal courts. She handles complex commercial litigation, including coverage and bad faith, professional liability, contract disputes and business torts.
