Baker & McKenzie Advises on US$416 Million Global Offering of Media Nusantara Citra
Baker & McKenzie’s US securities team in Asia Pacific and Hadiputranto, Hadinoto and Partners, a member firm of Baker & McKenzie, recently acted as US and Indonesian counsel to the international selling agents – UBS, Lehman Brothers, Deutsche Bank and Danareksa - in the IPO and global offering of PT Media Nusantara Citra Tbk (“MNC”), Indonesia’s leading integrated media company, which has significant operations in television, radio and print media.

The global offering of 4.125 billion shares priced at Rp900, has raised gross proceeds of Rp3.71 trillion (approximately US$416 million), making this transaction the second largest Indonesian IPO since the Asian financial crisis.

Two thirds of the shares sold originated from new share issues. A further one third came from the divestment of PT Global Mediacom, who had a 100% interest in MNC before the IPO. The share units commenced trading on the Jakarta Stock Exchange on June 22, 2007.

Baker & McKenzie’s US securities team was led by Ashok Lalwani and Yeo Jih-Shian, with Tuti Dewi Hadinoto and Rambun Tjajo from Hadiputranto, Hadinoto and Partners representing the underwriters as Indonesian counsel.

Commenting on the deal, Tuti Dewi Hadinoto said, “We are extremely pleased to have acted for the international and domestic underwriters on this landmark offering for the largest integrated media company in Indonesia. The involvement of Baker & McKenzie and Hadiputranto, Hadinoto and Partners in this high profile IPO reinforces our leading position in Indonesia’s capital markets, having also recently advised on the global offering of PT Mobile-8 Telecommunications Tbk (Indonesia’s largest IPO in 2006). The MNC IPO is a significant deal for the Indonesian market, and we will no doubt see more companies seeking a listing in Indonesia.”

Ashok Lalwani added, “We are pleased to have acted on this prominent IPO - demonstrating once again our experience in giving comprehensive advice, assisting in the preparation and implementation of equity capital markets transactions. Jones Elected President of John Mercer Langston Bar Association
Janine Hancock Jones, an associate in the firm's Columbus office, has been elected to a two-year term as President of the John Mercer Langston Bar Association (JMLBA), effective July 2, 2007.

In her role as President, Ms. Jones will focus on implementing the JMLBA's new Speakers' Series. The Speakers' Series will be held monthly and the bar association will invite prominent leaders in the Columbus legal profession to come and share their words of wisdom on a variety of topics. The kick-off session, "An Interview with the Honorable Robert M. Duncan," will be held on September 27, 2007 at Baker Hostetler.

Ms. Jones will also focus on increasing the visibility of the JMLBA through targeted programs and an increased active membership. Her responsibilities will include overseeing the numerous annual activities of the bar association, serving as a part of the Columbus Bar Association's Managing Partners Diversity Initiative and ensuring that the JMLBA remains an effective and relevant organization.

Ms. Jones, who practices in the area of employment and labor law, previously served as Vice President of the JMLBA and was honored by the organization as an "Emerging Leader" at its recent annual "Barristers' Salute."

Ms. Jones also serves on the Columbus Bar Association's Law 2010 and Minorities in the Law committees, is a graduate of the Leadership of Columbus Class of 2007, and is Secretary of the Board of Directors for the Columbus Early Learning Centers, the newly created entity formed as a result of the merger of Northside Child Development Center, Westside-Eastside Child Care Centers Association and BIT-C.

Former Treasury Department Official Joins Morgan Lewis’s Employee Benefits and Executive Compensation Practice
Morgan, Lewis & Bockius LLP is pleased to announce that Daniel L. Hogans, formerly an attorney-advisor in the Office of Benefits Tax Counsel at the U.S. Department of the Treasury, has joined the firm as a member of the Employee Benefits and Executive Compensation Practice, resident in the Washington, D.C. office.

While at the Department of the Treasury, Mr. Hogans had a leading role in the development of tax policy in a number of significant areas, including nonqualified deferred compensation plans (under Section 409A of the Tax Code), employee stock ownership plans (ESOPs), and equity compensation arrangements. Mr. Hogans also served as an advisor to senior Treasury officials and congressional staff on both legislative and regulatory matters relating to employee benefits and executive compensation arrangements of corporations and partnerships.

“Dan’s Treasury background and extensive experience in executive compensation, ESOPs, and transactional matters fits perfectly with our very broad-based and diversified employee benefits and executive compensation practice,” said Robert Lichtenstein, head of Morgan Lewis's Employee Benefits and Executive Compensation Practice. “Dan will be able to step in immediately and work with our clients and his new colleagues here at Morgan Lewis in addressing cutting-edge issues in a broad range of areas. Morgan Lewis’s Employee Benefits and Executive Compensation Practice consists of more than 60 professionals based in nine offices. It is one of the largest in the country and offers a level of substantive knowledge, industry experience, and technical skill that makes the firm a nationwide leader in finding creative solutions to companies’ benefits and compensation problems. Mr. Hogans’s practice will focus on equity and incentive compensation plans, employment arrangements, nonqualified deferred compensation plans, qualified retirement plans, transactional matters, and tax planning advice. In addition to working with colleagues in the Employee Benefits and Executive Compensation Practice, Mr. Hogans will work closely with former Deputy IRS Commissioner Mark Matthews and former IRS Deputy Chief Counsel Gary Wilcox, each of whom has brought considerable tax policy and planning experience to the firm.

Miller Canfield Attorney Appointed to Chair of ABA Petroleum Marketing Committee
Amy M. Johnston, a principal in the Troy office of Miller Canfield, has been appointed to a two-year term as chair of the American Bar Association Section of Environment, Energy, and Resources Petroleum Marketing Committee, effective August 12, 2007.

The ABA is the largest voluntary professional association in the world, with more than 400,000 members. The Committee provides attorneys whose practice includes petroleum marketing matters with an opportunity to exchange ideas, obtain timely information concerning cases, statutes and regulations in the industry, and address issues that affect their practice.

Johnston’s practice includes petroleum marketing litigation, franchise litigation, product litigation and torts, corporate discovery management, and product safety. She is an experienced lead trial lawyer in complex commercial, franchise, product liability, business and personal injury matters, primarily for corporate defendants.

She is named in Michigan Super Lawyers, a ranking of the top 5% of lawyers in Michigan and Marquis Who’s Who of Emerging Leaders 2007. Johnston is a Fellow in the Litigation Counsel of America, a trial lawyer honorary society composed of less than one-half of one percent of American lawyers. She serves as Master of the Bench of the American Inns of Court and is president and serves of on the board of directors of the Catholic Lawyers’ Society. Johnston is also a member of the Federal Bar Association, State Bar of Michigan, Ohio Bar Association, Association of Defense Trial Counsel.

She received her J.D, cum laude, from the University of Detroit School of Law, and holds a B.G.S. from the University of Michigan.

She resides in Grosse Pointe, with her husband and two children

New Practice Head Named for Orange County Intellectual Property Practice
Senior intellectual property partner Mark Itri has been named head of the Orange County office intellectual property practice. Mr. Itri succeeds Fay Morisseau, who will continue to lead the Firm’s Orange County office in addition to his extensive litigation practice.

"Mark is a leading patent lawyer and key member of our intellectual property practice. His prosecution and counseling experience, engineering background and his history with the Firm are an invaluable combination to lead our Orange County intellectual property practice to continued growth," commented Terrence P. McMahon, head of the Firm’s global Intellectual Property, Media & Technology Department.

Mr. Itri leads the Orange County office’s Patent and Trademark Procurement Group, the IP Transaction Group, and heads the West Coast IP Due Diligence Team. His practice encompasses the preparation and prosecution of patent and trademark applications, and he has considerable involvement in both patent and trademark litigation matters. Mr. Itri has extensive experience in client counseling, negotiating and drafting technology transfer agreements, joint development agreements and licenses for various technology clients. He also has significant experience in intellectual property strategic planning, patent and trademark portfolio management, opinion work, and due diligence in connection with technology and trademark acquisitions.

Mr. Itri has more than 15 years of legal experience. Prior to practicing law, Mr. Itri gained practical engineering experience in the private aerospace industry in research and development of microprocessor designs and flight control systems. He now concentrates his practice on high technology relating to electronics and computer software arts, semiconductor, microprocessor design, the internet, image processing, pattern and speech recognition, server and network systems, and mechanical devices and instruments. He earned his J.D. from Suffolk University Law School and his B.S. in electrical engineering from Boston University.

Mr. Itri regularly hosts and lectures at McDermott’s IP Management Roundtable programs. He is admitted to practice in California and before the U.S. Court of Appeals for the Federal Circuit. He is a registered patent attorney admitted to practice before the U.S. Patent and Trademark Office.

Ileana M. Hernandez, Partner, Manatt, Phelps & Phillips, LLP Elected to Hispanic College Fund’s Board of Trustees
The Hispanic College Fund today announced the election of Ileana M. Hernandez, Partner, Manatt, Phelps & Phillips, LLP to the board of trustees. She will begin serving a three year term effective August 1, 2007.

Ileana M. Hernandez’s practice focuses on general business and commercial litigation. She represents clients in federal and state courts and is actively involved in all phases of litigation. In addition, she specializes in bankruptcy litigation and has practiced extensively in federal bankruptcy court.

"We are excited to have her on our board," said Fernando Barrueta, CEO, Hispanic College Fund. "As our programs continue to grow both nationally and particularly in California, she will be instrumental in our progress."

Ms. Hernandez is active in the firm’s pro bono program and has represented Spanish-speaking families in adoption and guardianship cases, children seeking asylum in the United States and battered women seeking permanent resident status. Prior to joining Manatt, Ms. Hernandez served as a judicial extern to District Court Judge Audrey B. Collins in the Central District of California.
