Robert Doyle Named Director of Nassau-Suffolk Trial Lawyers Association
Robert Doyle was recently named a Director of the Nassau-Suffolk Trial Lawyers Association. Bob and fellow attorney William Burdo were sworn in as Directors by State Supreme Court Justice Joseph Spinola at the Association's meeting on July 9, 2007. The Nassau-Suffolk Trial Lawyers Association was founded more than 40 years ago and serves the needs of Long Island's trial lawyers.

Holme Roberts & Owen LLP Acquires Two Partners for Tax/ERISA Group
Holme Roberts & Owen LLP announces the acquisition of two new partners in their Tax/ERISA practice group. Irene F. Gallagher and Sheldon H. Smith, formerly of Holland & Hart, joined the firm’s Denver office to assist with employee benefits and tax issues.

Irene Gallagher advises employers on all aspects of their employee benefit programs, including matters affecting tax-qualified retirement plans, executive and equity compensation plans, and welfare benefit plans. Ms. Gallagher also represents buyers and sellers in the employee benefits and executive compensation aspects of merger, acquisition, and reorganization transactions. Ms. Gallagher has extensive experience in representing clients before government regulatory agencies, including the Internal Revenue Service and the Department of Labor. She currently serves as the President-Elect of the Denver Chapter of Western Pension & Benefits Conference and Co-Chair for the Los Angeles Benefits Conference. She is a frequent speaker on employee benefit matters, particularly in the area of executive compensation and legislative and regulatory developments in employee benefits.

Sheldon Smith advises clients on ERISA, executive compensation, fiduciary duties, and qualified retirement plans. Mr. Smith designs and assists clients with the implementation and operation of pension benefit plans and equity-based compensation plans, advises clients with regard to fiduciary duties, performs fiduciary duty compliance audits on employee benefit plans, represents clients before the IRS, Department of Labor, and the PBGC, and, with over 30 years of litigation experience, defends clients in ERISA and benefits, tax, and probate litigation.

Mr. Smith has been one of the country's foremost continuing professional education instructors for over 25 years and has served on the visiting and adjunct faculties of the University of Denver Sturm College of Law. A Fellow in the American College of Employee Benefits Counsel, Mr. Smith has been a member of the Western Pension and Benefits Conference since 1986 and has served as its President and as President of the Denver Chapter. He is currently Vice President of ASPPA and is a member of its Executive Committee and Board of Directors. He also serves as Co-Chair for all ASPPA Conferences. Mr. Smith is the President of the Colorado Regional Cabinet of Washington University in St. Louis and is Chair of the Jewish Community Foundation of Colorado.

Securities Specialist John W. Menke Returns to Haynes and Boone Houston
John W. Menke, an attorney with rich experience in corporate securities work, has returned to the Houston office of Haynes and Boone, LLP, in an of counsel capacity.

Mr. Menke has more than 20 years experience in securities transactions, including public and private offerings of debt and equity securities, securities laws compliance, corporate governance, mergers and acquisitions and monetization transactions.

He has represented clients in a wide array of transactions. Since earning his law degree with honors from The University of Texas in 1985, he has handled acquisitions, divestitures and mergers of public and private companies in the United States; capital markets transactions including public, Rule 144A and private placements of common stock, preferred stock and debt securities; and private equity and mezzanine debt transactions and asset monetization transactions, such as royalty trusts.

Mr. Menke returns to Haynes and Boone after three years serving of counsel at Boyer & Ketchand. He previously held an of counsel position at Haynes and Boone from 2000 to 2004.

J. Mark Grundy Elected Secretary of the Kentucky Bar Association Construction and Public Contract Law Section
Greenebaum Doll & McDonald PLLC has announced that J. Mark Grundy, a Member in the firm’s Louisville office, has been elected Secretary of the Kentucky Bar Association Construction and Public Contract Law Section. The Section assists lawyers in the practice of construction and public contract law and conducts programs of interest to lawyers and the construction industry.

Grundy is a member of the Litigation and Dispute Resolution Practice Group, and the Construction Litigation Team Chair. He concentrates his practice in construction litigation law and dispute resolution. Grundy's representation includes owners, developers, general contractors, subcontractors, and design professionals. He also concentrates his practice in business litigation and dispute resolution. His range of experience includes products liability, trade secrets, ERISA, commercial, real estate, construction, and contract law.

In addition to his other civic involvement, Grundy is a planning committee member and former president of the Kentuckiana Banking Association and Chairman of the Board for Lakeside Corporation. He received both an undergraduate degree and law degree from the University of Louisville.

Gide Loyrette Nouel Casablanca advises the Office Chérifien des Phosphates (Moroccan Agency for Phosphates) in the context of one of the largest financial restructurings of Morocco (€ 3 billion):
The Casablanca office of the international law firm Gide Loyrette Nouel advised the Office Chérifien des Phosphates (Moroccan Agency for Phosphates - OCP) on the financing plan for the outsourcing of its pension fund for an amount of 33 billion dirhams (close to € 3 billion).

The restructuring reached a new level on the 19th of July with the signing of an agreement between the Moroccan State, the OCP, and the Caisse de dépôt et de gestion (Deposit and Management Fund - CDG) which sets out the main terms for the financing of the outsourcing.

This transaction is one of the largest institutional and financial restructurings that Morocco has ever known. It will increase the financial means of the OCP and, for the first time, it will give Moroccan public investors the opportunity to accompany the OCP in its industrial development on a long term basis, through the acquisition of financial holdings in the OCP.

The Gide Loyrette Nouel legal team advising the OCP on this transaction comprised Hicham Naciri, partner, and Thomas Urlacher, senior associate.

Jas Mayall Appointed to Committee on Character and Fitness for the Second, Tenth and Eleventh Judicial Districts
Effective today, the Appellate Division, Second Department of the Supreme Court of the State of New York, appointed Jaspreet S. Mayall as a member of the Committee on Character and Fitness for the Second, Tenth and Eleventh Judicial Districts, for a four-year term, expiring July 31, 2011.

Since 1991, Mr. Mayall has practiced law at the firm of Certilman Balin Adler & Hyman, LLP. A Partner in the Debtor/Creditor Rights and Bankruptcy Group, he litigates construction and commercial matters and in bankruptcy proceedings he acts as counsel to trustees, debtors, secured and unsecured creditors. Mr. Mayall has significant experience in Trials and Appeals before New York’s State and Federal courts; is involved in non-judicial workouts; and has expanded his practice over the years to include a unique concentration in the telecommunications industry.

In January 2003, Mr. Mayall was named by Long Island Business News as one of Long Island’s 40 Under 40 Rising Stars. Additionally, Nassau County recognized him as an Indian American Leader by presenting him with the Nassau County Community Service Award.

Mr. Mayall earned his Bachelor of Business Administration from Hofstra University in 1988 and his Juris Doctorate from the Hofstra University School of Law in 1991.
