Firm Handles Three Deals for One Client Worth $248 million
A $248 million deal involving the ""selling off"" of client Brandywine Senior Care Inc. was featured in The Legal Intelligencer's Deal Makers section. The company was sold in three different deals in 18 months. Managing Partner David S. Antzis, who has represented Brandywine Senior Care Inc. since 1996, was lead lawyer on the case. Patricia A. Gritzan and Stanley J. Kull, Partners in the Business Department in the Philadelphia office, and Real Estate Department Chair John P. Pierce were also instrumental in negotiating the complex deals.

Brandywine owned several assisted living and skilled nursing facilities in Pennsylvania, New Jersey and Delaware.

Mr. Antzis said that the challenge of the deal was finding a way to maximize the shareholder return and minimize the taxes paid because of the appreciation of assets. He estimated that if the deal took place in only one phase, the company would have paid about $20 million more in taxes.

Mr. Kull worked with Mr. Antzis on the tax end of the deal; Ms. Gritzan on the corporate side, and Mr. Pierce on the real estate end.

Kenneth C. Segarnick, general counsel to Brandywine, said Mr. Antzis would call him every day during the 18-month deal, and leave a message stating where and how he could be reached that day. Mr. Segarnick said that he felt like Brandywine was Mr. Antzis' only client.

Kent-Smith Discusses Indian American Cultural Complex
In this article, Henry L. Kent-Smith, a Partner in the Real Estate Department in the Princeton office, discusses the impact the development of the proposed $142 million Indian American Cultural Center will have on the community. Mr. Kent-Smith said the center would create jobs, help existing area businesses, and raise property values.

Mr. Kent-Smith and fellow Saul Ewing Partner Marc Citron are the lead lawyers on the project.

Marc A. Lieberstein Elected Chair of Cardozo Law School Alumni Association
Pitney Hardin LLP announces that Marc A. Lieberstein, partner in the Intellectual Property group, resident in the New York office, was sworn in as Chairperson of the Benjamin N. Cardozo Law School Alumni Association for 2006-2008 at the 2006 Annual Meeting held on June 21, 2006. At the ceremony Mr. Lieberstein shared his vision for “a more integrated alumni body that can support each other and the law school.”

Mr. Lieberstein is a 1992 graduate of the Cardozo School of Law, and has also served as Chair of the Career Development Committee of the Alumni Association. With close to 9,000 members, the Cardozo Alumni Association, comprised of lawyers, judges, teachers, and corporate executives, works closely with the administration, board of directors, faculty, and students to develop and implement programs and initiatives that will enhance the law school’s status among the local, regional, and national professional communities. The Alumni Association also instills a spirit of loyalty and pride among students, alumni, and faculty.

Mr. Lieberstein’s practice focuses on intellectual property litigation in the areas of patents, trademarks, and copyrights, including related e-commerce, domain name, trade secret, unfair competition, and commercial litigation. His work also includes providing counseling and opinions to aid clients in effectively procuring, protecting and enforcing their intellectual property. He has significant experience in copyright and trademark prosecution, opposition and cancellation proceedings in the United States Patent and Trademark Office, and all types of intellectual property and software licensing.

New York Super Lawyers Names Five Mintz Levin Attorneys to List
Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C. today announced that five of the firm's attorneys -- Robert Bodian, Peter Chavkin, John Delehanty, Jeffrey Moerdler and Joel Papernik -- were selected as New York Super Lawyers for 2006. The list will be published in the July 18, 2006 issue of The New York Times, and in a stand alone magazine, New York Super Lawyers - Manhattan Edition. The publication identifies lawyers who have attained a high degree of peer recognition and professional achievement. Only five percent of New York lawyers were named 2006 New York Super Lawyers.

Robert Bodian is Managing Partner of, and head of the Litigation Section in, the New York office. He also is a member of the Policy Committee. He has extensive experience in the areas of employment and commercial disputes, insurance, securities, real estate and banking. Mr. Bodian earned his B.S. in accounting, summa cum laude, from the State University of New York at Binghamton (1977), and his J.D. from Stanford Law School (1980).

Peter Chavkin is a Member in the firm's New York office where he practices in the Litigation Section, heading up the White Collar Criminal and Corporate Investigative Practice. Mr. Chavkin has more than 25 years experience focusing on white-collar criminal defense, physician and attorney disciplinary inquiries, securities matters, and other regulatory and enforcement matters. In 2006, he was named to The Best Lawyers in America as one of the best white collar criminal defense lawyers. Mr. Chavkin received his B.A. from Princeton University's Woodrow Wilson School, magna cum laude, and received his J.D., cum laude, from Harvard Law School.

John Delehanty is a Member in the firm's New York office, where he practices in the Intellectual Property and Litigation Sections. He is a trial lawyer with 30 years of experience in litigating patent, trademark, antitrust and corporate matters for companies throughout the United States. Mr. Delehanty received his A.B. from Brown University (1966) and earned his J.D. from the University of Chicago Law School (1969).

Jeffrey Moerdler is the New York office Section Head for the Real Estate and Communications Sections and is a member of the Environmental Section. He has been a general commercial real estate attorney for over twenty years with a specialty in real estate telecommunications matters and has represented large national companies, particularly in the financial services, telecommunications, high tech, supermarket and oil and gas sectors, as well as smaller local clients. Mr. Moerdler was awarded his B.A. by Columbia College of Columbia University (1978), and his J.D. by the New York University School of Law (1981).

Joel Papernik is a Member of the firm's New York office, where he practices in the Business and Finance Section, concentrating on corporate, commercial and securities matters, as well as strategic transactions and corporate structuring, especially in the biotechnology area. Mr. Papernik has been a member of the firm's Policy Committee, co-chair of the firm's mergers and acquisitions practice and a member of its opinions committee. He is currently the Director of the New York Biotechnology Association. Mr. Papernik received his B.A. from Yale University (1965) and earned his J.D., cum laude, from Columbia Law School (1968).

Miller Canfield Attorney Elected to MPLP Advisory Board
Bree Popp Woodruff, an associate in the Lansing office of the law firm Miller Canfield, was recently elected to the advisory board of the Michigan Political Leadership Program (MPLP), the guiding board of the MPLP.

The MPLP is administered by the Institute for Public Policy and Social Research at Michigan State University. It recruits and trains public policy leaders of the future, preparing them with vision, commitment, and the skills for effective governance.

At Miller Canfield, Woodruff practices in the Public Law Group. She is a member of the American Bar Association (State and Local Government Section), and the State Bar of Michigan (Environmental Law Section), Fellow of the 2004 Michigan Political Leadership Program of Michigan State University, where she is Alumni Steering Committee Vice Chair, Finance Committee Member, and a class representative of the Alumni Steering Committee, and she is a member of the Alumni Advisory Committee of the National Association of Environmental Law Societies (NAELS).

Woodruff received her J.D. from the University of Michigan. Her B.S. was received cum laude from Michigan State University where she majored in Environmental Studies and Applications.

She resides in Howell, Michigan.
