Arnold & Porter Takes Steps To Offset Its Carbon Footprint As Part of Green Office Initiative
As part of its recently launched Green Office Initiative, Arnold & Porter LLP is partnering with Carbonfund.org to make contributions based on the amount of the firm's business air travel to support renewable energy and reforestation projects in the U.S. and other parts of the world.

Arnold & Porter is the first major U.S. law firm to partner with Carbonfund.org. Carbonfund.org is a Washington, D.C. metro area-based nonprofit that educates businesses and the public on climate change issues and supports carbon-reducing projects such as renewable energy, energy efficiency, and reforestation projects. The firm's support of these projects will substantially offset the carbon produced by the firm's air travel. Renewable energy refers to wind, solar, geothermal, biomass, and other non-carbon producing energy sources, and reforestation refers to the capture and removal of carbon dioxide from the atmosphere.

"Although the firm cannot eliminate business travel, we want to demonstrate our commitment to sustainable business practices wherever possible," said Arnold & Porter Chair Thomas Milch. "We believe in carbon offsets as a cost-effective way to reduce our carbon footprint, and our program generally aligns us with what many of our clients are doing to address climate change."

In March, the firm adopted a firmwide Green Office Initiative that focuses on resource conservation and sustainable business practices. As part of this initiative, Arnold & Porter closely collaborated with members of the American Bar Association (ABA) Section of Environment, Energy, and Resources ("SEER") and officials at the U.S. Environmental Protection Agency (EPA) on the development of a Climate Challenge policy. The Climate Challenge was designed to encourage law firms to take simple, practical steps to become better environmental and energy stewards.

In addition to its Green Office Initiative, Arnold & Porter has long represented environmental groups in a pro bono capacity in activities relating to recycling and waste reduction, and its attorneys are active writers and lecturers on global climate change issues. The firm has environmental expertise in its Washington, D.C., New York, Denver and Los Angeles offices.

Greenberg Traurig Expands Texas Health Care Practice with the Addition of Joseph F. Coniglio
The international law firm Greenberg Traurig, LLP has announced Joseph F. Coniglio as the newest member of its Texas health care group, where he will serve as of counsel in the Dallas office.

Coniglio focuses his practice in the area of health law with an emphasis on litigation and counseling regarding corporate entity disputes and professional liability of healthcare providers. He represents hospitals, physicians, and other related healthcare entities in complex litigation. In addition, Coniglio represents physicians in State Board investigations and issues on licensure. He also advises healthcare clients on operational issues, physician credentialing, contractual compliance issues, and risk management.

Prior to joining Greenberg Traurig, Coniglio was a partner at Strasburger & Price, LLP in Dallas. He was twice named by Law and Politics Media, Inc. as a Texas Rising Star in the area of Healthcare Law, which was published in Texas Monthly and Texas Super Lawyers. Coniglio has worked with the Dallas County District Attorney’s office as a prosecutor in numerous jury trials through the Lawyers on Loan Program.

“In addition to Joe's skills as a commercial litigator, his wealth of knowledge and experience in health law makes him a great addition to our growing health care practice both in Texas and nationwide,” said Ralph Santos, Managing Shareholder for the Dallas office.

Coniglio earned his Juris Doctorate at Texas Tech University School of Law in 1997 and his Bachelor of Business Administration at Southern Methodist University in 1994.

Simpson Thacher Obtains Dismissal for Petrohawk Energy Corp. of Bondholder Claims Arising from Merger
Simpson Thacher has obtained summary judgment on behalf of Petrohawk Energy Corp., dismissing with prejudice all claims asserted by an Indenture Trustee on behalf of holders of a majority of $275 million in aggregate principal amount of Senior Notes issued by KCS Energy, Inc. The Amended Complaint alleged that Petrohawk's acquisition of KCS triggered a default under various components of a Change of Control provision in the indenture governing the Notes, allegedly entitling the bondholders to have their bonds repurchased by Petrohawk at 101% of their face value. On August 1, 2007, the Delaware Court of Chancery (Strine, V.C.) issued a 31-page opinion granting summary judgment dismissing the action in its entirety. Petrohawk previously had moved to dismiss the initial Complaint, which resulted in plaintiff filing the Amended Complaint and abandoning claims against the present and former directors of Petrohawk and KCS, and all tort and conspiracy claims.

Simpson Thacher Advising Dow Jones Board of Directors in Announced Sale to News Corp.
Simpson Thacher is advising the Board of Directors of Dow Jones & Company, Inc. in connection with Dow Jones' announced sale to News Corporation, the company owned and controlled by Rupert Murdoch, in a transaction valued at approximately $5.6 billion. Dow Jones & Company, Inc. is a leading provider of global business news and information services and owns, among other ventures, the Wall Street Journal. Under the terms of the transaction entered into between the parties, Dow Jones stockholders will be entitled to receive $60 in cash for each share of common stock they own, while up to 250 holders of common stock may elect to have their shares of Dow Jones, subject to a specified maximum number of shares, converted into units of a newly formed subsidiary of News Corp. The transaction remains subject, among other things, to approval of stockholders of Dow Jones. Certain members of the Bancroft family and the trustees of trusts for their benefit who collectively own approximately 37% of Dow Jones' voting stock have agreed to vote to approve the transaction. In addition, the parties have agreed on the terms of an editorial agreement that provides for the establishment of a five-member special committee with the objective of assuring the continued journalistic and editorial integrity and independence of Dow Jones' publications and services.

Shearman & Sterling Advises PPP Arbiter on Metronet Claim and Administration
Shearman & Sterling is currently advising the PPP Arbiter, Chris Bolt, on Metronet’s request for just under £1 billion of additional funding from London Underground and on the administration of Metronet.

The London Underground PPP is widely recognised as one of the most complex PPP structures in the world. Metronet has faced financial difficulties over the difference between the costs of the multi-billion pound Tube modernisation programme and the infrastructure service charge it receives from London Underground that have ultimately led to it going into administration under the special PPP administration regime.

Chris Bright and Nick Buckworth of Shearman & Sterling’s London office have been advising the PPP Arbiter, the statutory arbiter appointed under the Greater London Authority Act, on the extraordinary review triggered by Metronet Rail BCV Limited and the request by the company for an interim adjustment to the infrastructure service charge.

The Arbiter recently announced a draft interim award to Metronet of £121 million in response to Metronet's claim for approx £500 million. The firm will continue to provide advice on the extraordinary review in which Metronet has claimed approx £1 billion in total. That review has now been deferred at the request of the administrator.

Montgomery inducted into International Academy of Trial Lawyers
John T. Montgomery, a litigation partner at Ropes & Gray and the firm's managing partner, has been inducted into the International Academy of Trial Lawyers.

Chartered in 1954, the Academy limits membership to 500 Fellows in the United States. Academy members must demonstrate outstanding skills and extensive experience as trial lawyers, unimpeachable personal and professional character, and integrity and honesty. Following an extensive and thorough evaluation, Massachusetts judges and attorneys have highly recommended Mr. Montgomery for his possession of these qualifications and characteristics.
