Ashurst acted for Cinven and Warburg Pincus on the €2.85 billion acquisition and combination of Casema and Multikabel
Ashurst acted for Cinven and Warburg Pincus on the acquisition of the Dutch Casema cable business, Casema Holding B.V., from the Carlisle Group, Providence Equity Partners and GMT Communication Partners. Ashurst also acted for Cinven in relation to the contribution of Warburg Pincus' stake in Multikabel to a new holding company and Cinven's arrangements with Warburg Pincus. The total enterprise value of the transaction is €2.85 billion.

Casema is the third largest cable operation in the Netherlands serving the central and western parts of the country. Multikabel is the fourth largest cable operator in the Netherlands and is based in the north of the country. Multikabel has been owned by Warburg Pincus since September 2005.

Head of private equity Charlie Geffen led the Ashurst team assisted by senior corporate associate Gavin Gordon and corporate solicitors Lucy Lewis and Alliott Cole. In addition, tax partner Richard Palmer and finance partner Helen Burton assisted on the transaction.

44 Kramer Levin Attorneys Nominated to Appear in First Edition of New York Super Lawyers, Four in Top 100
In a special advertising supplement to The New York Times, Law & Politics launched its first Manhattan edition of New York Super Lawyers. The magazine describes a process for selecting ""super lawyers,"" which includes a lawyer survey and candidate search, research, a blue ribbon panel review and a final selection in which only 5% of the pool of candidates are designated as ""New York Super Lawyers.""

Neveloff, Selver Quoted in Super Lawyers
Jay Neveloff and Paul Selver were quoted in three articles in New York Super Lawyers, a special supplement to The New York Times.

Neveloff was quoted first in an article on choosing the right sized law firm for your needs. He says that as a reputable, mid-size firm, Kramer Levin is often approached with offers of mergers with larger firms. He also talks about the firm’s alliance with London-based Berwin Leighton Paisner LLP as a way of offering international expertise without sacrificing staff quality and client service. Neveloff is also quoted in another article on the growing trend amongst baby boomers to increase their wealth and ensure investment stability through real estate. He says that investors buying residential condo units are using them as a way of diversifying their portfolios away from the stock market. He warns that while real estate is a wise investment choice, all the costs involved need to be considered when deciding if it is worthwhile – including considering interest rates, competition, and capital improvements.

Paul Selver was quoted in an article on landmark preservation laws in New York City. He says that an independent agency should be in charge of administering landmark preservation laws, as they are better able to apply the laws in determining a landmark status.

America's Top Health Litigators: Jones Day
A couple of years ago, famous trial lawyer Dicky Scruggs filed a number of class action lawsuits against some of the largest nonprofit hospitals in the country. Under the gun for allegedly charging uninsured patients more than insured patients, eight of the hospitals immediately turned to the law firm Jones Day for defense.

It turned out to be a wise decision. All the cases at the federal level and nearly all at the state level were dismissed, the firm said, thwarting Scruggs' attempt to duplicate his success against the asbestos and tobacco industries.

""That's what we do best, and that's what we're known for,"" said Kevin Lyles, co-chair of Jones Day's health care practice group and a partner in the firm's Columbus, Ohio office. ""When the industry is hit with something big, we get lawyers ready to handle it for them.""

With over 2,200 lawyers in 30 offices around the world, Jones Day is one of the largest international law firms. Its health care practice group alone has about 75 attorneys, with expertise in mergers, acquisitions, joint ventures, finance, antitrust, managed care, executive compensation and numerous other areas of the law.

""We have a very deep bench in a lot of different subjects,"" said Greg Luce, another co-chair in the health care practice group. ""But what's really the hallmark of our practice is that we have a very collaborative approach to representing our clients.""

Luce, a partner in the Washington, D.C. office, said he worked with attorneys at the other offices around the country to find the right lawyers for each client.

""Jones Day, unlike most other law firms, has a compensation system that awards integration and cooperation as opposed to what's mine is mine and what's yours is mine as well,"" added Ross Stromberg, a partner in the San Francisco office and a third co-chair of the health care practice group. ""We try to put the best people on the ground for a project.""

Along with the firm's pharmaceutical team, the health care practice group represents some of the biggest multi-hospital health systems, hospitals, physician groups, health care insurers, managed care organizations, pharmaceutical companies and assisted living companies in the country.

For example, it has served as national coordinating counsel for Wyeth in all product liability claims involving the antidepressant drug Effexor, and it is also defending Bayer Corp. in 37 antitrust cases that arose out of a 1997 settlement regarding the antibiotic Cipro.

The firm is also representing Abbott Laboratories in patent litigation with Mylan Pharmaceuticals over Depakote, King Pharmaceuticals in litigation with Teva Pharmaceuticals over a generic version of the sleep aid Sonata, Pfizer in litigation with Dr. Reddy's over the patent for Norvasc before the Federal Circuit Court of Appeals, and P.N. Gerolymatos in litigation with Prana Biotechnology and Massachusetts General Hospital over the patent

for the topical skin medication Clioquinol. Other well-known Jones Day clients include Capital Blue Cross in Pennsylvania, Merrill Lynch & Co. in New York, the Cleveland Clinic in Ohio, and the Ohio State University Medical Center.

Furthermore, the firm is currently defending much of the hospital system in two large class action suits. In the first of those cases, nurses have sued hospitals for depressing wages, while the other case, filed by Erin Brockovich of movie fame, deals with Medicare secondary payer litigation.

""Very few law firms could step up to the plate, and I don't think there are any firms that could handle it the way we do,"" Stromberg said. ""We've got the scale and the large scope to handle those matters,"" Lyles added. ""We can coordinate those things on a national basis for our clients because of the breath of our experience."" Lawsuits against the health care industry have soared in recent years, and by extension, so has Jones Day's practice.

""This is an industry that's just become the favorite target of plaintiffs lawyers that used to pursue their living looking at other industries,"" Luce said. The health care practice group was founded more than 15 years ago to bring together expertise from a number of legal disciplines. At first, it had a nucleus of 15-20 lawyers, Luce said, but it has since grown to its current level of 75.

""Our litigation practice has grown exponentially in the last five years,"" Luce said. ""Our reach is…both vertically and horizontally substantially broader than what it was.""

With so many attorneys in the practice group, each is specialized toward a specific subgroup of health care law. The practice group also keeps in regular contact with the Internal Revenue Service, monitors Congressional hearings and keeps its clients posted on relevant developments.

""It's truly trying to get the right lawyer for the job with the right expertise,"" Lyles said.

Fennemore Craig Attorney to Serve as Phoenix Chamber General Counsel
The Greater Phoenix Chamber of Commerce has appointed Fennemore Craig law firm attorney Anne Kleindienst as its new general counsel. Ms. Kleindienst replaces Jay Ruffner, also a partner with Fennemore Craig and past Chairman of the Chamber’s Board of Directors.

In her role as general counsel, Ms. Kleindienst will assist the Chamber with governance and other legal compliance matters. In her capacity as general counsel, Ms. Kleindienst also sits on the board and the executive committee of the Chamber.
