Proskauer Rose Announces 83 Attorneys Named As New York Super Lawyers
Eighty-three attorneys at Proskauer Rose LLP, an international law firm with more than 650 lawyers in the United States and Europe, have been listed in the inaugural edition of New York Super Lawyers 2006, a guide to the top attorneys in the New York metropolitan area.

The attorneys included in New York Super Lawyers 2006, which accompanied the July 17 edition of The New York Times, encompass 22 practice areas in Proskauer's New York office. The attorneys who made the list were nominated by their peers and were selected based on peer recognition and professional accomplishments including verdicts and settlements, transactions, representative clients, experience, and honors and awards, among other criteria.

David Snyder Appointed to Corporate Directors Forum
David R. Snyder, a partner in the San Diego office of Pillsbury Winthrop Shaw Pittman LLP, has been appointed to the board of directors of the Corporate Directors Forum in San Diego. The professional trade group consists primarily of corporate executives who are actively serving on boards of directors of private and public for-profit companies in a variety of industries.

Pillsbury’s San Diego office has been a member of CDF since 2001, and Snyder will begin his term in August.

Snyder has served as lead counsel to local, national and international companies in numerous public offerings of equity and debt securities, SEC reporting obligations and private placement and M&A transactions. He has counseled boards and special committees of directors in contested takeovers and in stockholder litigation in California, Delaware and federal courts.

Paul Hastings Represents Applied Biosystems in the Acquisition of Agencourt Personal Genomics for $120 million
The Mergers & Acquisition Group of Paul, Hastings, Janofsky & Walker LLP (Paul Hastings), a leading international law firm, represented client Applied Biosystems, an Applera Corporation business in the acquisition of Agencourt Personal Genomics (APG), a privately-held developer of next-generation genetic analysis technologies, for approximately $120 million in cash. The transaction closed on July 10, 2006.

APG was incorporated in 2005 as a separate company owned by Agencourt Bioscience Corp. The parent company was acquired by Beckman Coulter Inc. later that year. Since then, Beckman Coulter has owned 49 percent of APG, with 51 percent held by APG management and other shareholders.

The Paul Hastings team, led by M&A partner Deyan Spiridonov, also included associates Teri O'Brien and Iver Larson.

Paul Hastings Represents River Capital in its Acquisition of Signature Designs
Paul, Hastings, Janofsky & Walker LLP (Paul Hastings), a leading international law firm, represented River Capital, Inc., an Atlanta-based private investment firm, in its purchase of Signature Designs International, Inc.. The deal closed on July 17, 2006. Financing was provided by a combination of senior debt from CIT and subordinated debt from River Capital affiliates.

The Paul Hastings team, led by Atlanta partner Wayne Bradley, also included associates Browning Afield and Tong Zou.

Under the agreement, Signature Designs, an importer of artificial floral arrangements for the home décor market, will operate as a wholly-owned subsidiary of New Image Group, Inc.-a portfolio company of River Capital that was formed to facilitate the investment in and development of complementary craft and home décor companies.

O'Melveny Represents TCW in Formation of New Distressed Debt Fund
O'Melveny represented Trust Company of the West in the formation of TCW Shared Opportunity Fund V, L.P., a $500 million private equity fund that recently had its final closing. This new fund is the fifth in TCW's family of SHOP funds, and will invest primarily in the distressed debt of middle market companies.

The OMM team was led by partner Kathy Sanders and associates Brad Mandel and Svetlana Attestatova. Partners Gary Tell and Howard Bergtraum handled ERISA issues.
