Freshfields Bruckhaus Deringer advises Ipsen on collaboration in endocrinology with Tercica
French pharmaceutical manufacturer Ipsen and California-based biopharmaceutical company Tercica announced on Tuesday that they have agreed to a worldwide collaboration in endocrinology, including the acquisition by Ipsen of a 25 per cent stake in Tercica.

International law firm Freshfields Bruckhaus Deringer advised Ipsen on the transaction. Under the collaboration, Ipsen will grant to Tercica exclusive rights to sell Somatuline Autogel, a treatment for a pituitary gland disorder, in the United States and Canada. Tercica will grant to Ipsen rights to sell Increlex, a leading product in the United States for the treatment of short stature in children. The companies will also grant to each other product development rights and share the costs for improvements to or new indications for Somatuline Autogel and Increlex.

The alliance is designed to allow Ipsen and Tercica to offer global care solutions to patients suffering from growth and other endocrine disorders. In the context of the partnership, Ipsen will acquire newly issued shares of Tercica representing a 25 per cent stake, and Tercica will issue convertible notes and a warrant to Ipsen giving it the opportunity to increase its equity stake up to 40 per cent.

The Freshfields team was led by New York corporate partner Matt Jacobson and associates Rupert Rowland-Clark and Alison Lam, with intellectual property counsel Jodie Flynn, partners Patrick Bonvarlet (corporate, Paris) and Bob Schlossberg (antitrust, competition and trade, Washington DC), plus associates Francois Devedjian (corporate, Paris) and Tom Ensign (antitrust, competition and trade, Washington DC).

MLA Partner Anthony Morris named to the Fulton Arts Council of Georgia
Anthony Morris, a prominent attorney and noted playwright and theatrical producer, has been appointed to the Fulton County Arts Council (FCAC), the largest funder of the arts in the Georgia.

With John Gibson, Morris co-authored Peachtree Battle, the longest running play in Atlanta theatre history. He also authored the Limousine Ride and the popular Veranda trilogy. Morris is the co-owner and co-founder of the Ansley Park Playhouse and the Peachtree Playhouse, two for-profit professional theatres that receive no public funding.

A partner in the law firm of McKenna, Long & Aldridge, LLP, Morris practices business litigation, professional ethics and entertainment law. Morris serves as co-counsel to the current and formers Speakers of the U.S. House of Representatives and represents many current and former Members of Congress. Morris has also negotiated contracts for several national best sellers.

Fulton County Commission Chair Karen Handel nominated Morris, and the Fulton County Commissioners confirmed the appointment to the 15-member Council on July 5.

The FCAC assists in the development of public policy on public support for the arts industry, makes recommendations on funding for the arts and generally oversees the development of publicly assisted programs that address the cultural needs of Fulton county residents.

Firm Counsels General Dynamics in Disposition of Certain Assets of Anteon Corporation
Jenner & Block client General Dynamics recently sold certain assets of Anteon Corporation’s program management and engineering services business to Alion Science and Technology Corporation, a provider of technical services related to national defense, homeland security and energy and environmental analysis. The purchase price was $225,000,000 less an adjustment for certain assumed liabilities.

Partners Thaddeus J. Malik and Edward J. Neveril and Associates Edward G. Quinlisk, Robert H. Clarke and Jessica A. Garascia served as counsel to General Dynamics in the disposition. Summer Associate Shelley D. Keesler (Northwestern University School of Law, 2007) also provided assistance.

General Dynamics, headquartered in Falls Church, VA, employs approximately 72,200 people worldwide and had 2005 revenues of $21.2 billion. The company is a market leader in mission-critical information systems and technologies; land and expeditionary combat systems, armaments and munitions; shipbuilding and marine systems; and business aviation.

13 Fulbright Attorneys Make the 2006 New York Super Lawyers List
New York Super Lawyers 2006 listed 13 Fulbright lawyers from the New York office.

Based on surveys of more than 59,000 lawyers in Manhattan, New York Super Lawyers names the top attorneys in Manhattan selected by their peers and through the independent research of Law & Politics magazine. The New York Super Lawyers list represents less than five percent of New York lawyers admitted to the New York Bar.

The list is published annually in a The New York Times supplement that reaches 684,000 Manhattan readers.

Covington Advises Procter & Gamble in Alliance with ARYx Therapeutics
The San Francisco office of Covington & Burling LLP advised Procter & Gamble Pharmaceuticals, Inc., a division of The Procter & Gamble Company, in its strategic alliance with ARYx Therapeutics, a private drug discovery and development company based in Fremont, CA. Under the terms of the agreement, P&G will develop and commercialize ARYx's novel drug, ATI-7505, for the treatment of gastrointestinal disorders such as gastroesophageal reflux disease (GERD) and gastroparesis.

ARYx will grant P&G rights for the worldwide development and commercialization of ATI-7505 in exchange for a $25 million upfront fee, milestone payments, and royalties on product sales according to the terms of the deal. In addition, ARYx will retain an option to co-develop and co-promote ATI-7505. In total, payments could reach $435 million over the life of the project, including $250 million that could be earned prior to commercialization.

The Covington team included Jim Snipes, Amy Toro and Chelsea Tanaka-Delgado, all in Covington's San Francisco office.

Willkie Assists Level 3 in Sale of Software Spectrum Subsidiary
Willkie client Level 3 Communications announced a deal to sell Software Spectrum, its wholly-owned subsidiary, to Insight Enterprises Inc. for $287 million in cash. Software Spectrum, the world’s largest Microsoft reseller, helps companies select, purchase and manage software. It services about 5,600 customers in North America, Latin America, Europe and the Asia-Pacific region. In recent months, Willkie has advised Level 3 on several transactions including its $1.24 billion deal to acquire Telcore, it’s $165 million acquisition of Looking Glass Networks Inc., its $680 million acquisition of WilTel Communications, and its $880 million offering. Level 3 is an international communications and information services company, offering a wide range of communications services over its 23,000-mile broadband fiber optic network. The transaction was handled by partner David Boston and associates Mark Getachew and Andrew Reardon.
