Covington Receives Human Rights Campaign's "National Ally of Justice" Award
The Human Rights Campaign presented Covington & Burling LLP and partner David Remes with their 2006 National Ally of Justice Award today. The HRC National Ally of Justice Award was created to recognize legal allies, coalition partners and others in the legal profession who have made significant contributions to HRC's work in support of equality for gay, lesbian, bisexual, and transgender Americans.

""David Remes and his team at Covington have worked tirelessly with us, providing outstanding legal work and showing a deep commitment to the cause of justice,"" said HRC Legal Director Lara Schwartz. ""The associates -- and the summer associates -- bring exceptional talent and purpose to our mission. David's extensive knowledge of constitutional law and creativity as a legal thinker are an asset and an inspiration to HRC's legal staff,"" she said.

""We are honored to receive this award from the Human Rights Campaign,"" stated Stuart C. Stock, chair of Covington's Management Committee. ""We are proud of our firm's long tradition of public service and the many Covington lawyers who continue to serve the community.""

The Covington lawyers who provide counsel to HRC include partner David Remes, associates Paul Ainsworth, Stefanie Doebler, Jimmy Kirby, and David Stetson. Summer associates Lubna Alam, Amy Bergquit, Erica Blachman, Erin Goodsell, Alisa Kaplan, Katy Johnson, Tanya Lau, and Chris Murray also worked on matters for HRC.

Intellectual Property Attorney Patrick Higgins Joins Buchanan Ingersoll & Rooney
Intellectual Property (IP) attorney Patrick H. Higgins has joined Buchanan Ingersoll & Rooney PC as a shareholder in its Princeton office. Higgins joins an international IP practice that is more than 110 attorneys strong.

During his career, Higgins has focused his practice on IP law in the pharmaceutical industry, particularly in leveraging discovery assets toward developing and maintaining market exclusivity, opinion work and patent litigation. His practice is in portfolio development, resolution of freedom to operate issues, as well as enforcement and defense of rights in the drug-discovery industry. Higgins has also served as senior patent counsel for AstraZeneca in portfolio development, life-cycle planning, legal risk evaluation and due diligence matters.

According to Ivan Punchatz, head of the firm's Princeton office, the arrival of Higgins is consistent with the firm's plan to continue its growth in strategic practice areas, especially IP.

""Adding an attorney with Patrick's level of IP experience is extremely valuable to the innovative companies in this region,"" said Punchatz. ""New Jersey is a hotbed of research and life sciences pioneering, and combining Patrick's practice with our existing FDA and IP practices firmwide allows us to provide full representation to life sciences companies and clients.""

About Higgins

Prior to joining Buchanan, Higgins was a partner in the Princeton office of an East Coast-based law firm, where his practice concentrated on strategic portfolio development and litigation, and the evaluation of third party rights in the pharmaceutical industry. Before that, he was associated with a firm in Wilmington, DE.

Before entering law school, Higgins worked as a research scientist in the biochemistry industry, enabling him to work with clients ranging from small biotech companies to large pharmaceutical corporations in in such matters as drug discovery, freedom to operate and life cycle planning issues.

Higgins received his J.D. degree from Widener University, the Delaware Law School, in 1993 while also working at DuPont Corporation (E.I. DuPont de Nemours & Company). He earned a B.S. degree in biochemistry from the University of Maryland at Baltimore in 1983 as well as an M.S. degree in applied molecular biology in 1984.

WENDEL ROSEN ENVIRONMENTAL ATTORNEY CARITA SHANKLIN WALKER NAMED TO STATE BAR ETHNIC MINORITY RELATIONS COMMITTEE
Oakland law firm Wendel, Rosen, Black & Dean LLP announces that environmental attorney Carita Shanklin Walker has been named to the Board of Directors for the California State Bar Ethnic Minority Relations Committee (EMRC). She is one of 15 attorneys in the State to sit on this committee. Her term begins October 8, 2006 and expires on September 13, 2009.

The Ethnic Minority Relations Committee is one of five Access & Fairness committees, which seek to eliminate bias in the bar and the legal profession. EMRC consists of attorney and public members with expertise or an interest in diversifying the legal profession for ethnic minorities. The charge of EMRC includes:

• Serve as a liaison between the State Bar and ethnic minority attorneys;
• Encourage ethnic minority attorneys to become active participants in programs of the State Bar of California;
• Study and report on the status of ethnic minorities in the legal profession;
• Produce and present programs and materials designed to maximize opportunities for ethnic minorities in the administration and governance of the State Bar's programs and activities, as well as in the profession as a whole; and
• Analyze, report and comment, where requested by the Board of Governors or the Executive Director, on proposed court rules or legislation directly relating to access opportunities for or discrimination against ethnic minorities in the legal profession.

Walker, who practices in the area of environmental law, is an active member of several organizations, including the Oakland African American Chamber of Commerce Board of Directors, California Minority Council Program, Charles Houston Bar Association, and the African Queens Dance Company Board of Directors. She has spoken before groups on environmental and diversity topics, including at the 2005 California Minority Council Program and the 16th Annual Business Development Conference on the subject of mentoring relationships. She also has taught “Appellate Advocacy and Advanced Legal Writing” at John F. Kennedy University School of Law as an Adjunct Professor since 2004. In 2005, she was named by Bay Area Lawyer Magazine one of the “Best Lawyers in the Bay Area, Environmental.” Walker received her J.D. from the University of California, Berkeley, Boalt Hall School of Law in 1997; attended Harvard University as a special student to the Ph.D. Program in Health Policy with a special emphasis in environmental health policy in 1993; and received her B.A., magna cum laude, in political science from Xavier University of Louisiana in 1993.

Mr. Luck is a registered patent attorney with the U.S. Patent and Trademark Office. He received his J.D. in 1986 from South Texas College of Law, and his B.S from Texas A&M University in 1982.

Mr. Sankey represents clients in commercial litigation with a special emphasis in intellectual property, unfair competition, securities fraud, oil and gas, insurance, employer-employee disputes, and uniform commercial code litigation. He is Board Certified in Civil Trial Law by the Texas Board of Legal Specialization. Mr. Sankey received his J.D. in 1986 from South Texas College of Law, and his B.A., magna cum laude, from the University of Tennessee at Knoxville in 1983.

Simpson Thacher Advising Buyout Group in Largest LBO in History
The firm is representing a group of private equity firms and founders led by affiliates of Bain Capital LLC, Kohlberg Kravis Roberts & Co., Merrill Lynch Global Private Equity and Dr. Thomas F. Frist, Jr., in their $33 billion acquisition of HCA Inc, the largest for-profit hospital operator in the U.S. Under terms of the deal, which includes the assumption of $11.8 billion of debt, HCA stockholders will get $51 in cash for each share of HCA stock they hold. The deal is expected to close in the fourth quarter of this year.

This is the largest LBO in history, topping KKR's $31 billion acquisition of RJR Nabisco in 1989, on which Simpson Thacher also advised. The STB team includes David Sorkin, Sean Rodgers, Doug Bacon, Chris May, Anthony King, Nomaan Raja and Keri Richardson (M&A); James Cross, Matt O'Shea (Credit); Ed Tolley (Securities); Steve Todrys and Nancy Mehlman (Tax); Andrea Wahlquist and Carl Berry (Exec. Shearman & Sterling Advises HCA on $33 billion LBO
Shearman & Sterling is advising the Special Committee of the Board of Directors for HCA Inc. in the largest leveraged buyout in history. The hospital operator announced today that it will be acquired by a consortium of private equity firms, including Bain Capital, Kohlberg Kravis Roberts & Co. and Merrill Lynch Private Equity. The transaction is valued at $33 billion, including debt.

HCA operates approximately 190 acute care, psychiatric, and rehabilitation hospitals and about 80 ambulatory surgery centers across 20 states. With nearly $25 billion in revenue in 2005, the company is one of the top hospital operators in the US.

Shearman & Sterling advised the Special Committee of the Board of Directors for HCA. Partner Creighton Condon (New York - M&A) led a team of lawyers that include partners Larry Bambino (New York - Tax), John Cannon (New York - Executive Compensation & Employee Benefits), Rob Evans (New York - Capital Markets), Alan Goudiss (New York - Litigation), Bill Hirschberg (New York - Finance Group), George Karafotias (London - M&A) and Clare O'Brien (New York - M&A), as well as Of Counsel Bob Mundheim (New York - Capital Markets).
