Attorney Linda Watson Joins Clark Hill PLC
Linda M. Watson has joined Clark Hill PLC as a member with the Litigation Practice Group in the firm’s Birmingham office. Her practice is devoted to representation of small to large privately-held business entities, as well as public corporations and entrepreneurs on various subject matters, including contract disputes and business torts, employment law, trade secret violations, non-competition lawsuits, shareholder disputes, technology disputes, healthcare and probate litigation. Watson is of counsel to Kohn Associates, P.C., and serves as the firm’s litigator for intellectual property disputes.

In business litigation, Watson has tried numerous complex commercial cases to verdict and is experienced in arbitration, facilitation and mediation. Watson serves as Corporate Counsel for several companies in the automotive and technology industries. In that capacity, she manages and provides counsel on various business, commercial and employment matters.

In probate litigation, Watson handles complex trust and estate matters involving, among other things, will and trust contests, breach of fiduciary duties, mental incapacity, fraud, fee disputes, duress and undue influence.

Watson is a graduate of the National Trial Institute for Trial Advocacy, one of the leading institutions for intensive professional training in the art and skills of trial advocacy. Watson was Managing Editor of Law Review while in law school, is a former Michigan Court of Appeals clerk to the Hon. Roman Gribbs, past board member of the Automotive Women’s Alliance, founded a round table for in-house counsel, has written articles and is a frequent speaker for the Institute of Continuing Legal Education programs and for The Michigan Association of Certified Public Accountants. Watson serves as a member of The Oakland Circuit Court Committee, is on The State Bar Publications and Website Advisory Committee, and serves as a discovery master.

Watson earned her B.A. from Oakland University and her J.D., cum laude, from Michigan State University Detroit College of Law.

George Parker Appointed President of the Alabama Young Lawyers Section of the Alabama State Bar
George Parker, a partner in the firm’s Montgomery office, has been appointed President of the Alabama Young Lawyers Section of the Alabama State Bar. The section conducts various seminars throughout the year for lawyers and other professionals. It also sponsors service projects designed to aid the public in their understanding of the law and assist in solving legal problems.

Simpson Thacher Advises Ingersoll-Rand in $4.9 Billion Sale of Bobcat Unit
The Firm is advising Ingersoll-Rand Company Limited in its announced sale of its Bobcat, Utility Equipment and Attachments business units to Doosan Infracore for approximately $4.9 billion in cash. The combined businesses manufacture and sell compact equipment, general-purpose light construction equipment and attachments, and in 2006 generated approximately $2.6 billion in revenues. The sale is targeted to close early in the fourth quarter of 2007.

The Simpson Thacher team working on this deal includes: Mario Ponce, Elizabeth Cooper and Jeff DeMartino (M&A); Alvin Brown and Wonda Joseph (Executive Compensation & Employee Benefits); Charlie Rappaport and Sean Austin (Tax); Chase D’Agostino (Summer Associate); and paralegal Ellen Dadanina.

Simpson Thacher Represents Underwriters in IPO of lululemon athletica inc.
The Firm represented the underwriters, led by Goldman, Sachs & Co. and Merrill Lynch & Co., in connection with the initial public offering of 20,930,000 shares of common stock of lululemon athletica inc. (including full exercise of the overallotment option), for a total of approximately $377 million. lululemon’s shares are dual-listed on the NASDAQ Global Select Market, under the symbol "LULU", and on the Toronto Stock Exchange, under the symbol "LLL". This is the largest IPO in Canada so far in 2007.

lululemon is a Vancouver-based designer and retailer of yoga-inspired technical athletic apparel, with approximately 60 stores concentrated in Canada and the United States.

The Simpson Thacher team for the transaction included Kevin Kennedy, Dan Webb, Sam Kwak and Kyle Wirth; Mindy Lok (Intellectual Property); Mark Lab and Sean Cotton (NASD); Ben Applestein (Tax); and John Walgren and Matt Goldberg (paralegals). Powell Goldstein Continues Growth of Business & Finance Group With the Addition of Howard Hirsch in Atlanta
Powell Goldstein LLP is pleased to welcome Howard S. Hirsch as counsel in its Business & Finance Practice Group in the firm's Atlanta office.

Prior to joining Powell Goldstein, Mr. Hirsch was with Holland & Knight LLP. His practice focuses on REITs, and he also has significant experience in the areas of securities law and commercial transactions, general corporate law, and M&A. His work includes handling securities matters and general corporate issues, along with SEC reporting and Sarbanes-Oxley compliance, for publicly-held REITs. Mr. Hirsch has also worked with the NASD, the SEC and various state securities commissioners in connection with registrations of public offerings of non-traded REITs and real estate partnerships.

"Howard brings a wealth of experience to the firm, particularly with respect to his REIT practice," said Thomas R. McNeill, chair of the firm's
Business & Finance Practice Group. "We are very much looking forward to having him on the team, and we know he will be a significant asset for our clients."

Mr. Hirsch advises clients on state health care regulatory matters for assisted living facilities, and has previous litigation experience, including airline litigation, medical malpractice litigation, municipality defense and insurance coverage litigation. He holds a B.S. from Indiana
University and a J.D. from The John Marshall Law School in Chicago, Illinois.

O’Melveny Announces Expansion Of China Practice With Puff’s Appointment As Head Of Asia M&A
O'Melveny & Myers LLP announced today a substantial expansion of its China practice and the appointment of Gregory D. Puff as the Head of Asia M&A.

Gregory D. Puff has relocated to the firm's Hong Kong office from Tokyo to take on the new role of Head of Asia M&A for O'Melveny, with a continued coverage of the Tokyo office and the Asia region as a whole. The China practice has been further strengthened over the past few months by seven additional lateral hires in Hong Kong and six in mainland China, including Peter Chen as Counsel in Hong Kong.

The new additions will significantly bolster O'Melveny's already robust corporate-related transactional practice in the greater China region.

Gregory D. Puff has been involved in a wide array of public and private transactions, including both U.S. and cross-border tender and exchange offers, contested mergers and hostile transactions, stock and asset purchases, and joint ventures. Puff represents multinational corporations and global investment and commercial banking firms in their M&A transactions around the world. Last year, Puff represented eAccess Ltd. in subsidiary eMobile Ltd.'s financing of more than US$3 billion. The deal was awarded "Asian Telecom Deal of the Year" by Project Finance International.

"Corporate and M&A practices are a key part of our Hong Kong practice," says the firm's Hong Kong office head and China practice co-chair Michael Moser. Moser was recently selected as Asialaw Leading Lawyers 2007 in the area of Dispute Resolution and also has been elected chairman of the Hong Kong International Arbitration Centre (HKIAC). "We are excited to have a lawyer of Greg's strength join our office and lead the Asia M&A practice. His experience will add further depth to our high-quality team and will complement our existing corporate finance practice."

In the first six months of this year, O'Melveny's China practice has completed 10 capital markets deals, closed more than 10 FDI/M&A transactions and more than 20 private equity/venture capital deals.

"Our Asia practice is the busiest that it has ever been. In July alone, we signed or closed deals with an announced value of more than $4 billion, including very high profile transactions like the Promise/Sanyo Shinpan merger in Japan and the Westinghouse's nuclear contract in China," said Howard Chao, partner in charge of O'Melveny & Myers' Asia Practice and Co-Head of the firm's China pratice. "We believe the M&A opportunity in Asia is too big to pursue piecemeal. We have decided we need to approach the region in an integrated fashion using dedicated specialists, just like our clients are doing."

With the arrival of the lateral hires, the firm's China practice boasts over 100 professionals.

In Asia, O'Melveny has offices in Beijing, Hong Kong, Shanghai, and Tokyo, and maintains the largest office of any international law firm in Shanghai.

Two McGuireWoods Lawyers are Finalists for "Top Washington Lawyers 2007"
Two McGuireWoods LLP partners in the firm’s Tysons Corner office have been named finalists for “Top Washington Lawyers 2007” by the Washington Business Journal. M. Melissa Glassman was recognized for Real Estate Litigation and Stephen W. Robinson for Employment Litigation. Winners will be announced at an awards program to be held on September 11, in Washington, D.C.

The finalists for “Top Washington Lawyers 2007” were selected from a pool of almost 500 nominations, the most since the Washington Business Journal started the competition in 2003. The weekly business paper initiated the “Top Washington Lawyers” program to honor the outstanding work of the area’s lawyers.

Glassman, who is managing partner of McGuireWoods’ Tysons Corner office and chair of the firm’s Complex Commercial Litigation Department, focuses her practice on litigating complex commercial cases including shareholder matters, lender/borrower relationships, construction, commercial leasing, real estate, land use, zoning and all manner of business disputes.

Glassman currently serves on the Virginia Bar Association’s Construction and Public Contracts Committee, of which she is past chair, and recently served on the Civil Litigation Committee. She also is a member of the Advisory Board of the National Association of Legal Professionals. She has served on the Fairfax County Superintendent of School Business and Industry Advisory Council and was a board member of the Fairfax Bar Foundation. In addition, Glassman is on the board of directors for the Girl Scouts of the National Capital Area. She is listed in Who’s Who and has been named both a “Washington, D.C. Super Lawyer” and “Virginia Super Lawyer” by Law & Politics magazine.

Robinson is a partner in McGuireWoods’ Labor and Employment Department. He represents public and private employers and professional athletes, including former Masters champion Fred Couples, long jumper Mike Powell (the current world record holder), and double-gold-medal-winning sprinter Michael Johnson. He focuses his practice on advising employers on all aspects of employment and labor relations matters. He is a court appointed mediator for cases in the United States District Court for the District of Columbia and is a member of the Judicial Conference of the District of Columbia Circuit.

Robinson is co-author of the book, The Virginia Employer’s Guide to Labor Law, and has made presentations and been interviewed by the media on labor and employment issues. He is listed in Best Lawyers in America, Chambers USA: America’s Leading Lawyer for Business and as one of “Virginia’s Legal Elite” by Virginia Business Magazine. He also has been named a “Virginia Super Lawyer” and “Washington, D. C. Super Lawyer” by Law & Politics magazine.
